w ith a principal office address of 303 Norfolk Avenu e, Roanoke, Virginia, 2401 6 ("Grantor "), and the
CITY OF ROANOKE, VIRGINIA, a muni c ipal corporation o rgani zed and existi n g under the laws of
the Commonwealth of Virginia, with a principal offi ce address of Noel C. Taylor Municipal Building,
2 15 Church A ven ue, Roan oke, Virgin ia ("Grantee"),
RECITALS:
A. G rantor owns real property located in the City of Roanoke, Virginia bearing Roanoke
Official Tax Map No. 1272602X ("Property"), being a portion of the form er "Beltline" rail line operated
by Norfo lk Southern Rail way Company. The Property runs from the Norfolk Southern main line adjacent
to the intersection of McClan ahan Avenue and Franklin Road almo s t to Warwick Street.
B . G rantee needs to acqui re several permanent public access eas ements (collectively, the
"Easements") across a portion of the Property fo r access by the public to th e Roanoke River Greenway
located adjacen t to the Property, as well as public park and o ther C ity -owned real property, as s uch
property is referenced herein.

C. Grantor has agreed to convey the Easements to Grantee on the term s and conditions
stated below.
NOW THEREFORE, FOR AND IN CONSIDERATION of the sum of TEN AND
NO/DOLLARS($ I 0.00), and other good and valuable consideration , the receipt of which is hereby
acknowledged by Grantor, the GRANTOR h ereby GRANTS and CONVEYS unto the Grantee, its
successors and ass igns, for the purpose of providing the Easement for public ingress and egress to the
Roanoke River Greenway, public parks referenced herein, and other City-owned real property referenced
herein, and constructing and thereafter maintaining, and operating the Easements, and all necessary
appurtenances thereto, installed by Grantee within the Easements, said Easements being over, under,
through and across portions of real estate lying in the City of Roanoke, Virginia, bearing Official Tax
Map No. 1272602X, the following d escri bed easements, to-wit:

A 30' PUBLIC INGRESS/ EGRESS EASEMENT, containing 1,333 sq. ft., more or
less, upon, over, through and across a parcel of land belonging to the Grantor,

particularly shown on the plat entitled "Exhibit A Showing 30' Public Ingress/Egress

The above-descri bed Easements shall be subject to the following terms and conditions agreed
to by Grantor and Grantee:

l. Members of the public shall have free access to and use of the Easements ,
subject to Federal and Virginia laws, as well as the laws and ordinances of the
City of Roanoke or its assigns. There shall be no access by the City of
Roanoke or the public at large granted by these Easements to any real
property of the Grantor other than that which is located with in the area of the
Easements. The public shall have no right to construct or improve any portion
of the Easements.
2. No bui lding, sign, guardrail, or other structure property shall be erected on
the Easements by the Grantor or located in such manner to render the
Easements inaccessible to the Grantee or the public. In the event that this
covenant is violated, Grantor must remove such items, and the Grantee shall
not be obligated to repair, replace, or otherwise be responsible for such
improvements if damaged o r removed by Grantee, after 30 days prior notice
to the Grantor.
3. Grantee may erect directional signage within the area of the Easements.
4. Grantee and its agents shall have the right and duty to inspect the Easements
and to cut, clear, and remove all undergrowth , obstructions, or improvements
lying within or upon the Easements that in any way endanger or interfere with
the proper use of the same by Grantor, after 30 days prior notice to the
Grantor.
5. Grantee shall have the right within to grade the land w ithin the area of the
Easements, clear brush , provided that any work perfonned by Grantee within
the Easements shall not inhibit use of the rail tracks situated on the Property,
and that the grade of the railroad tracks and ballast shall not be disturbed.
6. Grantee shall have the right and duty to ensure maintenance and repair of the
Easements at its expense and keep them in good and safe condition, and in a
manner designed not to interfere with Grantor's business operations on the
Property, and such other agreements as agreed upon by Grantor which
agreement will not be unreasonably withheld.
7. Grantee will maintain the Easements identified as Easement No. 2 and
Easement No. 3 as described herein , in a manner su fficient to preserve the
abi lity of Grantor to restore its tracks, locate and store material related
thereto, store rolling stock, conduct periodic light weight rail operation and to
op erate a pennanent tourist h eavyweig ht rail operation.
8. Gran tor and Grantee agree that if at any time a crossing within the area of the
Easements becomes a public grade crossing, and the City of Ro anoke or any
other governmental authority determines that a crossing granted herein by the

Easements constitutes a hazard to the general public or for any other reason
requires the installation and maintenance of automatic signals or other
protective devices, Grantee shall bear the cost of such in stallation and
maintenance of the same.
9. Grantor and Grantee acknow ledge that Grantee maintains all ri ghts of way
within the City, including Franklin Road and all Easements conveyed herein,
and w ill maintain s u ch public rights of way in accordance w ith all local , state,
and federal laws.
The covenants agreed to and the terms, conditions, and restrictions imposed herein shall be
binding upon the Grantor and its agents , heirs, and assigns , and successors in title, and shall continue as
a servitude runn in g in perpetuity with the Property for the benefit of Grantee, its successors and assigns
in title, unless abandoned by the Grantee for a period of 25 consecut ive years. The covenants agreed to
and the terms , conditions, and restrictions imposed herein shall be binding upon the Grantee and its
agents , hei rs , and assigns, and successors in t itle, and shall continue as a servitude running in perpetuity
with the Property for the benefit of Grantor, its successors and assigns in title, un less abandoned by the
Grantee for a period of 25 consecutive years.
These Easements are subject to all covenants , conditions , restrictions, and other easements of
record insofar as they may affect these Easements.
The terms and conditions stated in the Pu rchase and Sales Agreement between the City of

Roanoke, Virginia and R oanoke Southern, LLC dated March _j.J_~024 on fi le in the City Clerk's
Office for the City of Roanoke, V irginia shall survive the closing of this Temporary Easement.
Pursuant to Ordinance No. 42814-101623 , adopted by Roanoke C ity Council on October 16 ,
2023 , the City of R oanoke, Virginia, by and through its duly authorized City Manager , accepts thi s
conveyance in accordance with Section 15.2-1803 of the Code of Virginia ( 1950) as amended, as
evidenced by his signature below.
