THIS DEED OF EASEMENT and AGREEMENT, is entered into this 1/....--aay of March,
2024, by ROANOKE SOUTHERN, LLC, a Virginia limited liability company, with a principal office
address of 303 Norfo lk A venue, Roanoke , Virginia, 24016 ("Grantor"), and the CITY OF ROANOKE,
VIRGINIA, a municipal corporation organized and existing under the laws of the Commonwealth of
Virginia, with a principal office address of Noel C. Taylor Municipal Building, 215 Church Avenu e,
Roanoke , Virginia ("Grantee "),
RECITALS:
A. Grantor owns real property located in the C ity of Roanoke, Virginia bearing Roanoke
Official Tax Map No. 1272602X ("Property"), being a portion of the former "Beltline" rail line operated
by Roanoke Southern Railway Company. The Property runs from the Norfolk Southern main line
adjacent to the intersection of McClanahan Avenue and Franklin Road and almost to Warwick Street.
B. Grantee is engaged in the construction and replacement of the Main Street Bridge,
commonly known as the Wasena Bridge (the "Bridge"), that will extend above and across the Property.
Grantee needs to acquire a permanent easement ("Permanent Easement") across a portion of the Property
for the purpose of installing a portion of the foundation ("Foundation") underneath the Property that will
be used for the support columns for the Bridge, to be installed by Grantee in the public right-of-way
along Winchester A venue adjacent to the Property.
C. In addition to the Permanent Easement, Grantee needs to obtain an
easement for air rights ("Air-Rights Easement") from Grant or to accommodate the portion of the Bridge
that will extend above and across the Property, including Y-shaped pillars , and Bridge Deck that will
extend from the aforementioned support columns , and light fixtures. The Permanent Easement and the
Air-Rights Easement are collectively referred to herein as the "Easements" except when referred to
otherwise.
D . Grantor has agreed to convey the Easements to Grantee on the terms and conditions
stated below.
NOW THEREFORE, FOR AND IN CONSIDERATION of the sum of TEN AND
NO/DOLLARS($ I 0.00), and other good and valuable consideration, the receipt of which is hereby
acknowledged by Grantor, GRANTOR hereby GRANTS and CONVEYS unto the Grantee, its
successors and assigns, for the purpose of replacing, constructing, installing and thereafter maintaining
the Bridge, and Grantor does hereby grant, assign, transfer and set over unto Grantee A NON-
EXCLUSIVE PERMANENT EASEMENT for the future Bridge and Foundation facilities and all
necessary appurtenances thereto (defined to include, and not be limited to Bridge and Foundation
infrastructure and light fixtures), to be installed by Grantee on , over, across and within the area of the
Easements, said Easements being over, through and across a portion of real estate lying in the City of
Roanoke , bearing Official Tax Map No. 1272602X, and being more particularly described as follows:

Permanent Easement
A PERMANENT NON-EXCLUSIVE EASEMENT, containing 459 sq. ft., more or
less, upon, through and across that portion of a parcel ofland belonging to Grantor,
depicted as "Pennanent Easement (459 SQ. FT.)" as more particu larly shown on the
plat entitled "Plat Showing Limits of Air Rights Easement and Pennanent Easement
to be Acquired from Roanoke Southern, LLC, Being Situated Along Winchester
Avenue, SW" prepared by Mattern & Craig, dated July 31, 2023 , on file in the Office
of the Roanoke City Engineer, a copy of which plat is attached hereto as Exhibit A,
and incorporated by reference herein for the purpose of replacing, constructing,
installing and thereafter maintaining the Bridge; together with
Air-Rights Easement
A PERMANENT NON-EXCLUSIVE AIR-RIGHTS EASEMENT, containing 3,367
sq. ft., more or less, over, through , and across a parcel of land belonging to the
Grantor, depicted as "Limits of Air Rights Eas ement (3 ,367 SQ. FT.)" as more
particularly shown on the plat entitled "Pl at Showing Limits of Air Rights Easement
and Pennanent Easement to be Acquired from Roanoke Southern, LLC, Being
Situated Along Winchester Avenue, SW" prepared by Mattern & Craig, dated July
31 , 2023 , on file in the Office of the Roanoke City Engineer, a copy of which plat is
attached hereto as Exhibit A, the legal description of which is more thoroughly
detailed on the attached Exhibit B, which exhibits are incorporated by reference
herein, for the purpose of removing an existing bridge, and installing, constructing
and thereafter maintaining a replacement bridge that will extend above, over and
across the Grantor 's Property. The distance between the bottom of the air rights
(bridge) and the grade level of the railroad tracks is variable, and further described on
Exhib it B.
Grantor and Grantee AGREE that Grantee shall have the following rights within the area of
the Permanent Easement:
1. To grade the existing land and perform excavation and removal of soil.
2. To inspect the Easements and to cut, clear, and remove all undergrowth
obstructions or improvements lying within or upon the easement or that in
any way endanger or interfere with the proper u se of the same.
3. To remove portions of an underground foundation and construct and

install a replacement Foundation to be used to provide support for support
columns that will be constructed by Grantor within the public right-of-way
adjacent to Grantor's Property.
4. To provide access to the Bridge for construction, removal, repair,
replacement and mainten ance.
5. To bring machinery, vehicles, and tools onto the easement when deemed
necessary by Grantee to construct, repair, replace and thereafter maintain the
Bridge.
Grantor and Grantee AGREE that Grantee shall have the following rights within the area
of the Air-Rights Easement:
1. The exclusive right and easement to construct, install , repair, replace, and
thereafter maintain a vehicular and pedestrian bridge above Grantor 's
Property as further described in Exhibits A and B.
2. The right to install light poles and light fixtures from the structure to be
installed within the area of the Air-Rights Easement.
3. The right to locate pillars that will extend over, above, and across a portion of
Grantor's property that will attach to support columns, which pillars shall be
used to provide support for the Bridge and such other structures that may be
installed by Grantee within the area of the Air-Rights Easement.
Grantor and Grantee AGREE that all of the above-described Easements shall be subject to
the following conditions:
1. Grantee shall take no actions within the area of the Easements or construct
any structure that will interfere with the operation and maintenance of the
railroad which Grantor anticipates restoring for use as a heavy weight tourist
railroad. In the event that this covenant is violated, Grantee must remove such
items, and the Grantor shall not be obligated to repa ir, replace, or otherwise
be responsible for such improvements if damaged or removed by Grantor.
2. Grantor shall take no action or construct any structure in a manner that
renders the Permanent Easement and the Air Rights Easement inaccessible. In
the event that this covenant is violated, Grantor must remove such items, and
the Grantee shall not be obligated to repair, replace, or otherwise be
responsible for such improvements if damaged or removed by Grantee.

3. After construction of the rep lacement is completed, any access to the
replacement bridge by Grantee shall only be from the Permanent Easement ,
the Air-Rights Easement, or the publi c right-of-way adjacent to the Property
unless Grantor authori zes access otherwise pursuant to a separate instrument.
4. Grantee shall have the right to grade the land withjn the Permanent Easement,
clear brush, provided that any work performed by Grantee within the
Easements shall not inhibit the operation and maintenance of the railroad on
the Property.
5. Grantee shall have the right and duty to ensure maintenance and repair of the
Easements at its expense and in good and safe condition , and in a manner
designed so as not to interfere with Grantor's business operations on the
Property.
The covenants agreed to and the terms, conditions , and restrictions imposed herein shall be
binding upon the Grantor and Grantee , their agents , heirs , and assigns , and successors in title, and shall
continue as a serv itude running in perpetuity with the Property for the benefit of Grantee and Grantor,
their successors and assigns in ti tle.
These Easements are subject to all covenants , conditions , restrictions , and other easements of
record insofar as they may affect these Easements.
The terms and conditions stated in the Purchase and Sales Agreement between the City of
Roanoke, Virgin ia and R oanoke Southern , LLC dated March ~' 2024 on file in the City Clerk's
Office for the City of Roanoke, Virginia shall survive the recordation in the C lerk's Office of the Circuit
Court of the City of Roanoke, Virginia of this Temporary Easement.
Pursuant to Ordinance No. 42814-101623 , adopted by Roanoke City Council on October 16,,
2023 , the C ity of Roanoke, Virginia, by and through its duly authoriz ed City Manager, accepts this
conveyance in accordance with Section 15.2-1803 of the Code of Virginia (1950) as amended, as
evidenced by hi s s ign ature below.

LEGAL DESCRIPTION OF AIR RIGHTS EASEMENT
BEGINNING at the intersection of the northerly Right of Way line of Winchester Avenue, S.W.,
and the westerly edge of Wasena Bridge; thence leaving the aforesaid Right of Way; with the
westerly edge ofWasena Bridge and through the Right-of-Way of Roanoke Southern, LLCa curve
to the right having a delta of04° 26' 14", a radius of 777.87 feet , an arc length of60.24 feet , a
chord bearing N 40° 07' 51" E for a distance of 60.23 feet to a point in the northerly Right-of-
Way of Roanoke Southern , LLC; thence with the northerly Right-of-Way of Roanoke Southern,
LLC a curve to the right having a delta of 02° 27' 38", a radius of 1301.40 feet, an arc length of
55.89 feet , a chord bear ing S 43 ° 47' 16" E for a distance of 55.88 feet to a point at the intersection
