Roanoke Official Tax Map No. 1272602X Property Owner: Roanoke Southe rn , LLC, a Virginia limited liability company Cons ideration $10.00 THIS DEED OF TEMPORARY EASEMENT AND AGREEMENT , is entered into this JJ'fn day of March, 2024, by ROANOKE SOUTHERN, LLC, a Virginia limited liability company, with a principal office address of 303 Norfolk Avenue, Roanoke, Virginia, 24016 ("Grantor"), and the CITY OF ROANOKE, VIRGINIA, a municipal corporation organized and existing under the laws of the Commonwealth of Virginia ("Grantee"), W I T NE S S ETH: WHEREAS, Grantor is the owner of certain property located in the City of Roanoke, Virginia, bearing Roanoke Official Tax Map No. 1272602X ("Property"), a portion of which is situated under the Main Street Bridge (commonly known as the Wasena Bridge) (hereafter referenced as "Bridge") located in th e City of Roanoke; WHEREAS , Grantee is engaged in the construction and maintenance of the Bridge and needs, in addition to acquiring a PERMANENT EASEMENT for new Bridge Pier 1 containing 459 square feet , and an AIR RIGHTS EASEMENT containing 3,367 square feet , as both 1 , I 8 I f) ') 1 "'I r lJ O 2 t) 111 (.. I l t easements are shown on Exhib it A a ttached , to acquire a temporary construction easem ent (the "Temporary Easement") from Granter across a 3 ,367, more or less, square foot portion of the Property to p erfo rm removal and replacement of the Bridge ("Project"); and WHEREAS , Granter desires to convey th e Temporary Easem ent to Grantee in connection with the Proj ect, upon the te rm s and conditions s tated below. NOW THEREFORE, FOR AND TN CONS ID ERA TION of the sum of TEN AND NO/DOLLARS ($10 .00) cas h in hand paid by the Grantee to Granter, a nd other good and valuable considerat ion, receipt of which is hereby acknowledged, and th e above recitals which are incorporated herein , Granter hereby GRANTS AND CONVEYS unto Grantee, a t emporary con struction easement ("Temporary Eas ement") for the purpose of p rovid ing G rantee access to th e Temporary Easement to perform such work in connection wi th th e Project, said Temporary Easement being over, through and across a porti on of th e Property, as m ore parti cularly described as follows : Officia l Tax Map No. 12726 02X A T EMPO RARY CONSTRUCTIO N EASEMENT , contammg approxi mate ly 3 ,367 square feet, mo re o r less, upo n , over, through and across that area ofland be lo ng ing to Granter underneath that area depicted as "Air Rights Easement" as more particularly s hown on th e p lat entitled "Plat Showi ng Limits of Ai r Rights Easement and Permanent Easement to be Acquired from Roanoke So uth ern, LLC , Being S ituated Along Winchester Avenue, SW" p re pared by Mattern & Craig, dated Jul y 3 1, 2 023 , o n fi le in the Office of the Roanoke City Engineer, a copy of which plat is attached hereto as Ex hibit A, and incorporated by reference h erei n , for the purpose of a llowi ng Grantee access to that portion of the Bridge located above Grantor's Property, in connection wi th the Project. Granter acknow led ges that Grantee s h a ll have the forego ing ri g hts within the area of the Temporary Easement: 1. To use Grantee's Temp orary Easement as a stagin g area in connect ion w ith the cons tructio n of th e new Brid ge. 2 2. To bring machinery, vehicles, and tools within the area of the Temporary Easement to construct the new Bridge. Grantee AGREES that it will restore any of Grantor's Property disturbed or damaged as a result of Grantee's work within the area of the Temporary Easement I, to the same condition in which the Property existed prior to commencement of Grantee's work at Grantee's expense. Grantor AGREES that Grantee will not be expected to restore the Property to the identical original condition, but rather as near thereto as is practicable, and that the Grantor, at no cost to Grantor, will cooperate with the Grantee in effectuating such restoration. Grantor further AGREES that it will take no action to obstruct the Temporary Easement.. Grantee shall take no action to disturb the rail tracks or ballast situated on the Property in order to preserve the integrity of the rail tracks. Grantor further acknowledges that the scope of the Project, the purpose of the Easement, and the manner in which the Easement will be utilized by Grantee, have been explained to Grantor by representatives of Grantee .. The Temporary Easement herein granted shall expire upon completion of the Project. Completion of the Project is defined as final acceptance by the City of Roanoke of the work to be performed by its contractors who are constructing the Bridge or on January 1, 2033 , whichever date first occurs. The Easement conveyed herein , and the terms, conditions, and restrictions imposed therein, shall be binding upon the Granter and its agents , heirs, and assigns , and successors in title, and shall continue until such time when the Easement expires upon completion of the Project by Grantee. The tenns and conditions stated in the Purchase and Sales Agreement between the City of -th Roanoke, Virginia and Roanoke Southern, LLC dated March ~ 2024 on file in the City Clerk's Office for the City of Roanoke , Virginia shall survive the closing of this Temporary 3 l'G O 2 1 0 ~'.1 21 24 Easement. Pursuant to Ordinance No. 42814-101623, adopted by Roanoke City Council on October 16, 2023 , the City of Roanoke, Virginia, by and through its duly authorized City Manager, accepts this conveyance in accordance with Section 15.2-1803 of the Code of Virginia (1950) as amended as evidenced by his signature below.
