Mayor Bowers and Council Member Harvey were absent. The Invocation was delivered by Vice-Mayor Beverly T. Fitzpatrick, A moment of silent prayer was observed in memory of Mr. Herbert Weaver, father-in-law of Mayor Bowers, who passed away on May 22, 1993. Bowers, Mayor and Members of City Council Roanoke, Virginia CiTY '93 li Y 20 A9:32 Roanoke, Virginia May 24, 1993 Dear Mayor Bowers and Council Members: Subject: Public Hearing on Intermodal Surface Transportation Efficiency Act Enhancement Projects The Intermodal Surface Transportation Efficiency Act (ISTEA) was signed into federal law December 1991, representing a new vision for transportation in America. The law provides ~or $155 billion to be spent nationwide to rebuild and redirect surface transportation over 6 years (1992-1997). The intent of ISTEA is to move out of the interstate highway age and to encourage states and localities to make transportation decisions that make communities more livable, that are environmentally sound, and economically efficient. For the first time, federal transportation legislation places the power of decision making with state and local government. The purpose is to allow increased flexibility and public input in how federal funds can be spent to solve local transportation problems. ISTEA requires state departments for transportation to set aside a MINIMUM of 10 percent of their Surface Transportation Program (STP) allocation each year to be used for ten specific types of "enhancement" activities that enhance the physical environment. In Virginia, this minimum 10 percent figure equals $7.5 million in enhancement funds. While any one locality is not assured any of these funds, every effort will be made by VDOT for an equitable distribution of these funds. Enhancement projects may be initiated by any group or individual, and need to be formally endorsed by City Council prior to being submitted to VDOT. Six (6) applications have been received by the City and are being evaluated by staff prior to submitting a prioritized list to Council on June 14, 1993, following consideration by the Planning commission on June 2, 1993. While ISTEA does not require a public hearing by localities, it is recommended that Council concur in the City administration advertising a public hearing for June 14, 1993, in order to provide maximum citizen input into the selection of projects to be recommended to the state for funding under this new transportation enhancement program. B. Flshburn Parkway I. Background: A minor land slide or slope failure of the roadway embankment for the J. B. Fishburn Parkway occurred in mid March 1993. Be The ~lope failure was most likely caused by snow melt from the 'Blizzard of '93' and subsequent heavy rainfall. This excess water contributed to saturating the soil at the site, which in turn reduced the strength of the roadway embankment, thereby causing the failure. II. Current Situation: Repairs to the slide area have been completed. Repair work was started on Monday, March 29, 1993 by Aaron J. Conner, General Contractor, Inc. The work was completed on Friday, April 29, 1993. Storm drainage improvements constructed include a new pipe system to intercept surface drainage and carry it to a stable outfall location away from the slide area. An underdrain system was also being constructed to collect groundwater and direct it to a stable outfall. Both of these systems will act to reduce the volume of water acting upon the roadway embankment. Reconstruction of the roadway embankment was necessary to restore the roadway cross section. The failed embankment material was removed and placed downslope from the slide. A blanket under- drain has been installed beneath this new material to enhance drainage of any groundwater which may be present. Honorable Mayor and Members of City Council Page 2 May 24, 1993 E. Funds are available from various sources as follows: State reimbursement for street maintenance - the current revenue estimate of $6,100,000 can be increased to $6,137,449 based on the State's acceptance of additional lane miles for maintenance reimbursement. Funds are available in account 008-052-9700-9176, Public Improvement Bonds - Series 1992, for the Salem Avenue and 1st Street Storm Drain Project. The current balance available for this project is $184,898. This project has been deferred pending completion of the 2nd Street Bridge. It is currently projected that this project will not start construction until 1994. Background: The City is occasionally confronted with the need to make a variety of minor repairs~ maintenance or improvement to City owned storm drains. Many times these projects are unanticipated and therefore unbudgeted. The majority of these projects are of limited scope and require relative- ly small expenditures. II. Current Situation: Whenever possible City forces are utilized to complete these minor projects. On occasion, situations arise where City forces are unable to provide the needed repair services due to schedule constraints or the need for specialized skills or equipment. Under these circumstances it is in the City's best interest to use private local contractors to complete the needed work. An example of such a project is repairs that were recently completed to a storm drain located at Houston Avenue, N.E. at Carvins Creek. This project was a case where prompt repairs prevented further damage to the drainage system and avoided more costly future repairs. The City used a private contractor to complete this work due to the critical nature of the schedule. The repairs were completed within a weeks time and cost $2,797.58. In order to provide payment to the contractor, this project was paid from contingency funds remaining in the Luck Avenue Storm Drain account (008-052-9659-9065). Funding for most of these minor projects comes from capital improvement reserve accounts, or unobligated funds and contingencies for larger capital projects. Only one (1) firm, Lawrence Perry and Associates, Inc., of Roanoke Virginia, responded to the request. An interview was conducted with this firm and it was established that they were experienced and qualified to perform this service. Project consists of a survey of the existing heating, cooling, and ventilating system in the Main Library, determining the areas of the system that need correction and designing those corrections, and designing a humidity control system for the entire building complex. On the first floor, Jefferson Street side of the building, there has never been enough conditioned air delivered to adequately heat or cool the area from the main entrance to the Bullitt Avenue face of the building. Backqround Council Member, James Harvey requested, on February 8, 1993, that the City Manager report to Council with regard to the City rendering assistance to Roanoke City residents who have lost, or will lose, their jobs and are not generally qualified for current programs. "Economically disadvantaged" Dersons are served under Job Training Partnership Act (JTPA) Title II programs and dislocated/laid off workers receive assistance under the JTPA Title III Economic Dislocation and Worker Adjustment Assistance (EDWAA) Act. Terminated workers, individuals who have been terminated from employment due to plant closures and substantial lay-offs, are eliqible to receive needed services under the EDWAA program. (See Attachment A) Activities allowable under EDWAA are: the provision of information on services available, emergency assistance, intake/assessments, career counseling and supportive services, occupational training and retraining, and relocation assistance. Funds are received to address the needs of EDWAA applicants through the Fifth District Employment and Training Consortium (FDETC). (This year's formula funding allocation totaled $238,890, plus $69,199 from the State Office of the Virginia Employment Commission (VEC)) . II. Current Situation A. Current resources have been exhausted. City Council Report May 24, 1993 Page 2 FDETC does not have sufficient resources to address all the requests for retraining and other needed services of all the EDWAA eligible applicants seen by the agency. Notice was received from both Gardner-Denver and First Union Corporation of total layoffs to occur during the calendar year of 1993: Gardner-Denver layoffs total 408 - due to their plant closure; Dominion Bankshares with 750 layoffs (in the Roanoke area) due to their merger with First Union. Both Gardner-Denver and First Union have requested the FDETC's assistance in providing services to those workers affected and needing assistance. To address the needs of the affected workers, a JTPA Title III National Reserve Grant (NRG) application was completed by the FDETC, and submitted to the U.S. Department of Labor (DOL) by the Governor's Employment and Training Department. FDETC received the Notice of Award (NOA) ~E-01 in the amount of $793,161 from the Governor's Employment and Training Department. (Preliminary notification of funding was received on April 15, 1993). NRG funds for this Droject, under Category I (Intrastate Dislocated Worker Project), will be used to provide services to 382 workers estimated to be in need of services. Estimates of persons eliqible and likely to participate in the program range from 350 to 390. (This estimate was based on factors such as the likelihood of retirement or transfer, and the possession of locally transferrable skills). The Fifth District Employment and Training Consortium operates this program in partnership with the Virginia Employment Commission. The program is designed to assist employees effected by plant closings, or work force reductions, and employers who are faced with such occurrences. This is not an "entitlement program" and services are provided on a basis of timeliness of application, need for services, and availability of resources. ELIGIBILITY Guidelines for participant eligibility are listed in four categories: Terminated or laid off, or have received notice of termination or layoff, eligible for or have exhausted unemployment insurance, and unlikely to return to their previous industry or occupation. Terminated, or have received notice of termination, as a result of any permanent closure or substantial layoff [Worker Adjustment and Retraining Notice (WARN), 60 day advance notice given]. Long term unemployed and have limited opportunities for employment in the same occupation in the area in which they reside. Were self-employed and are unemployed as a result of general economic conditions in the community. PROGRAM SERVICES Needs assessment, supportive services (child care, transportation), job development, job search assistance, relocation services, basic and remedial education, GED preparation, on-the-job training, and skill training/ retraining. TYPES OF DISLOCATED WORKER PROGRAMS JTPA Title III Formula Allocation Services and activities for those affected by "routine" closings and layoffs. Funds are allocated by formula by the State, based upon projected needs in the service delivery areas (Examples: Crestar Bank, Couvrette Building Systems). Governor's "40% Reserve" funds - Services and activities for those affected by closings and layoffs over and above those which may be addressed by Title III Formula Allocations. (Examples: ITT Electro-Optical, Grumman Emergency Products, Alleghany Apparel). National Reserve Grant funds - Services and activities for those affected by major closings and substantial layoffs which are beyond the resources of the Formula Allocations and "40% Reserve" funds. (Examples: Gardner Denver Mining and Construction, Dominion Bank, and potentially Sears). CURRENT SERVICE LEVELS Total enrolled 268 persons, from 58 companies. (35 of these businesses were located in Roanoke, including firms such as Crestar Bank, Thalhimers and C & P Telephone). Total placements 5__9 persons, placed with 46 companies. (33 of these businesses were located in Roanoke, including Community Hospital, Keltech, Inc. and Roanoke City Sheriff's Dept.) APPLICANT SERVICES Clients eliqible for any EDWAA proqram are served based on timeliness of application, need for services and availability of resources. FDETC staff meet individually with clients to determine eligibility, assess service needs and develop employability development plans. 3. Clients are enrolled in FDETC service proqrams and/or referred to other supportive service agencies, as appropriate. 4 o FDETC staff work with clients throughout their enrollment in the program providing counseling and additional services as the need indicates and services are available. ATTACHMENT B Results of National Reserve Grant Survey FDETC conducted a survey of laid off employees from Gardner Denver and Dominion/First Union to gauge service needs and support for the grant application. Surveys were distributed during meetings with workers of both companies during which representatives from FDETC and the Virginia Employment Commission outlined available services and resources. FDETC received 433 survey responses, 91 from Gardner Denver, 342 from Dominion. Anticipated In-Kind Resources for National Reserve Grant Project Classroom space and assistance with financial oversiqht will be provided by the City of Roanoke. Office space for the Community Resource provided by Roanoke County in a convenient walking distance of the bus line). Center will be location (within Rotatinq staff and computer links to the statewide automated job service system (ALEX) will be provided by the Roanoke Office of the VEC. Additional resources will be solicited from the public and private sectors. EFFORTS TO TEMPER THE EFFECTS OF FUTURE LAYOFFS GOAL: To establish a mechanism for anticipating future economic development/labor market trends in order to design appropriate education and job training programs and to develop targeted marketing strategies directed towards growth industries. All available resources must be used for such an undertaking to be successful. [This determination should take into consideration the needs of prospective businesses (existing, newly developing and those wishing to relocate), as well as the Roanoke Valley's "niche"]. o Develop a blue print for economic development and labor market growth for the short-term, as well as long range (i.e., developing ,,Roanoke Regional Workforce 2000" or "Roanoke Regional Workforce 2010"). [Short-term and long- range planning should incorporate information and input from the State Office of Economic Development, State VEC Economic Information Services Division, as well as the U. S. Departments of Labor and Commerce]. o Periodically assess local, state, regional, national and international commerce and labor market trends to: gauge economic development opportunities for attracting, expanding or maintaining local businesses prepare regional workforce for jobs both within and outside the local area [Western Virginia could become a regional training center - making vocational/ technological training one of the local "products"]. DEVELOPING A PLAN OF ACTION Use the information gathered during the planning process to: o Determine future vocational/technological training needs, based on current employer needs plus business/industry growth projections. [Determinations should take into account partner or "feeder" businesses {i.e. suppliers, customers, etc.), as well as primary businesses]. o Identify the types of businesses feasible to recruit, determine recruitment strategies and where to concentrate any resources available for business growth/expansion, lin order to make the most informed decisions, current economic development/business/labor market trends must be weighed along with previously obtained information]. o Develop linkages between local school systems and colleges/universities for the development and provision of vocational/technological training programs that meet identified employer needs. o Establish ties between private sector businesses and schools/colleges in the development of an apprenticeship system to provide a variety of specific skills training programs. This plan of action would promote the concept of education and training institutions providing and updating curricula that is "in-line" with the current and future labor market needs of all local employers. BACK~ROUND July 1989, City Council authorized implementation of a third party billing program for emergency medical transports. Using this process, insurance companies only were billed. Rates were set at $100 for basic life support (BLS) and $130 for advanced life support (ALS). 1. Rates were calculated based on full cost of ser- vices, impact of inflation, and other cost in- creases associated with the delivery of emergency medical service. 2. Revenue qenerated for fiscal year 1989/90 was $215,569. July 1990, City Council authorized implementation of an emergency medical user fee for all patients transported to a medical facility. Patients were then responsible for the portion of the bill not covered by insurance. No change was made in user fee rates, even though the cost of providing this service had increased. 1. Revenue qenerated during fiscal year 1990/91 was $508,172. Fiscal year 1991/92, user fee rates remained constant. Again, the cost of emergency medical service increased by $10,260. 1. Revenue qenerated during fiscal year 1991-92 was $542,000. Revenue collected since implementation in 1989 and tho cost of providinq emerqency medical servic~ are outlined in Attachment "A". Roanoke Emergency Medical Services, REMS (volunteers) provide two facilities, 8 ambulances, medical supplies, gas and maintenance for ambulances, insurance coverage, uniform and equipment for volunteers and medical malprac- tice insurance for career and volunteer EMS personnel. This rate results from medicare and medicaid transport fee allowances set lower than the City EMS user fee, prohibiting total collections. The collection rate is also impacted by the large number of low income and transient population currently utilizing this service. * Projected charges and revenue at current rates Revenue projection for fiscal year 1992/93 is $548,000 while expenditures are projected to be $1,182,235. Demand for service increases 3 to 5 percent annually thereby increasing annual operational cost to maintain adopted levels of service. This increase is attributed to the increase in the low income and elderly resident population and the increase in dependent care (nursing homes) and medical (clinics) facilities in the City. Emerqency Medical Services budqet for fiscal year 1993/94 requires additional temporary wage funding for the following: Traininq/continuinq education leavm - Training leave for full-time employees to attend classes for maintaining and enhancing state required certifica- tions. OSHA Trainin~ - Training leave for EMS employees to attend State mandated OSHA classes. 24-hour shift coveraq~ based on a projected 3 to 5 percent annual increase in service demand. New OSHA requirements regardinq employees who come into contact with blood and other potentially infectious materials in the performance of their job duties necessi- tate the provision of additional funding for personal protective equipment, spare uniforms, vaccinations, annual training and lab work for employees suffering exposures. Emergency Medical User Fee May 24, 1993 Page 3 1993/94 budqet for REMS (volunteers) requires additional fundinq because REMS' operating cost has increased with the demand for EMS, placing a financial strain on this organization and its ability to maintain service. Comparisons with similar services in other jurisdiction~ indicate Roanoke's user fees are below state-wido averaqes as other EMS agencies charge for medical supplies, milage, and, in some cases, charge a "response fee" for non-transports and an increased fee for non- residents. Comparison of ambulance rates are outlined in Attachment "B". Emerqenc¥ Medical Services Advisory Committe~ (EMSAC) recommendations cannot be funded. See Attachment "C" for recommended enhancements. A committee is currently reviewing cost effective option~ for Fire/EMS service delivery in order to mitiqatn associated future cost. Grisso, Acting Director of Finance Financial Report for April, 1993 Attached are the monthly financial statements for the period ending April 30, 1993. I would like to highlight the current status on several of the City's tax revenues. April 5 was the due date for the second installment of real estate taxes. As of April 30, we were within approximately $300,000 of collecting the 835,495,845 adopted revenue estimate. Minor collections will continue through the end of the fiscal year. It appears that collections will be right on target with the estimate. Sales tax collections are up 5.00% year-to-date compared to last fiscal year. Collections for the month of April compared to last April are up 8.92%. Year-to-date collections are slightly lagging the estimate by .77% with only two months remaining to close the gap. The personal property tax and second installment of business license receipts deadline of May 31 is rapidly approaching. Judging from the tax levies issued by the Commissioner of Revenue, collections are predicted to be very close to the revenue estimate. Grisso, Acting Director of Finance Appropriations Transfer of Internal Service Fund Charges The City of Roanoke's Internal Service Fund accounts for certain services provided to departments of the General fund. The service providing departments within the Internal Service Fund recover their costs by charging the receiving departments. Budgeted funds for internal services are allocated in each fiscal year's budget throughoutthe various departments based on estimated usage. Usage usually varies from the original estimates. Each fiscal year at this time it is necessary to make appropriation transfers between several of the departments to provide sufficient funds for internal services for the remainder of the fiscal year. These transfers do not increase the original overall budget, only reailocates amounts between departments. The attached budget ordinance will accomplish the required transfers. Dr. Merritt's property is located in an RM-1 district, and the amendment of Section 36.1-108 of the City Code covering the RM-1 district has been approved by the Planning Commission and will be considered by City Council on May 17, 1993. However, the amendment for Section 36.1-127 of the City Code, covering the RM-2 district, has been the subject of objections and was considered separately by the Planning Co~unission and recommended for disapproval. I. Backaround: Purpose of the proposed ordinance amendment is to provide for medical offices, in an existing structure, as a special exception use in the RM-1, Residential Multifamily, Low Density District. Petition to amend the ordinance was filed by Daniel F. Layman, Jr., attorney, representing Dr. and Mrs. Guy Merritt, on February 10, 1993. The following amendment was proposed by the petitioner: Amend Section 36.1-108 (Special exception uses in the RM-1 District), by adding new subsection (15) as follows: (15) Medical offices in an existing structure, provided that the use is located no closer than 1,500 feet to another medical office in a residential zone. Ordinance amendment Dromosal is the result of a rezoning request filed by Dr. and Mrs. Merritt which was vehemently opposed by the Greater Raleigh Court Civic League and was recommended by both the Planning staff and Roanoke city Planning Commission for denial. Purpose of original rezoning request was to place a "legal nonconforming" dental office into a conforming zoning district classification. City Council public hearinq to consider the rezoning request was held on Monday, February 8, 1993. Mr. Daniel Layman, attorney, appeared before the Council representing the petitioners, Dr. and Mrs. Guy Merritt. Both spoke in regard to the continuance of the dental practice as a "legal, nonconforming use" as provided for through the zoning ordinance and the City Board of Zoning Appeals to meet and address the immediate needs of Dr. Merritt. Ms. Beth Brooks, member of the Greater Raleigh Court Civic League, appeared before City Council in opposition to the rezoning request and reviewed the physical limitations of the property. Mr. Robert Turcotte, president of the Greater Raleigh Court Civic League, appeared before City Council to speak on behalf of the neighborhood organization in opposition to the rezoning request. Mr. Turcotte explained to Council that the neighborhood concern was that the rezoning of this property to commercial would set a precedent for other commercial rezonings in that block. Considerable discussion took place among Council members Musser and McCadden, attorney Dan Layman, and neighborhood spokesperson, Robert Turcotte as to the purpose of the rezoning request, change of a legal, nonconforming use (property) as far as ownership, modern day operations of a dental practice and the nature of this level of controversy. A motion was made by Mr. McCadden to table the request and refer it back to the staff, petitioner, and neighborhood to mutually work out a compromise prior to going back to the Planning Commission for reconsideration. The motion was seconded by Mr. Musser and the vote was unanimous (Mr. Harvey abstained from voting on the matter). II. Current Situation: An informal meeting was held on Wednesday, February 10, 1993, to discuss a proposed solution to the rezoning controversy. Mr. Layman stated that one possible solution would be an ordinance text amendment that would: (1) leave the zoning of the property as it is (residential); and (2) as proposed, would take the property out of a "legal, nonconforming status" and make it a conforming use in the existing residential district. He then reviewed the text of the proposed ordinance amendment with the group for their input or comments. All present stated that they could support the text amendment in lieu of the rezoning request. Mr. Turcotte informed Mr. Layman that he would put their support in writing to him to that effect, if desired. Ordinance and Names Subcommittee held a meeting with the city's Planning staff and Assistant City Attorney on March 5, 1993, to discuss and evaluate the proposed text amendment. The results of the review and comments are reflected in the First amended petition filed on March 24, 1993, which reads as follows: Page 3 Amend Section 36.1-108 (Special exception uses in the RM-1 District), by adding new subsection (15) as follows: (15) Medical offices in an existing structure, provided that the use is located no closer than 1,500 feet to another medical office in a residential zone. CJ Planning Commission public hearing was held on Wednesday, April 7, 1993. Ms. Evelyn Dorsey presented the proposed text amendment and summarized the course of events which led to the amendment as presented. Mr. Layman, attorney for Dr. and Mrs. Guy Merritt, appeared before the Commission on behalf of the petitioners and stated that he was available for any questions that the Commission may have pertaining to the amendment as presented. No one from the audience appeared before the Commission to speak in favor or in opposition to the request. III. Alternatives: City Council approve the proposed ordinance text amendment as presented. Petitioner, Dr. and Mrs. Merritt, would be able to file an application to the City's Board of Zoning Appeals for a special exception to provide for the dental office in the existing residential district; if approved, rezoning request for the subject property would be withdrawn. Approval of a special exception would remove the property from a "legal, nonconforming" status and place it in a conforming zoning classification; expansion of a business would be provided for and the sale or transfer of the existing dental clinic/office could easily be accommodated. Other similar "legal, nonconforming" uses throughout the community could be adequately addressed in lieu of requests to rezone the subject properties. City Council deny the proposed ordinance text amendment as presented. Controversial (tabled) rezoning petition for subject property would continue through the public hearing process by City Council. Subject property would remain in a "legal, nonconforming" status; existing dental practice can continue operation as is (with some limited modifications and/or expansion of support staff) or application can be made to the City's Board of Zoning Appeals to request a change from one nonconforming use to another nonconforming use. Page 4 Other similar "legal, nonconforming" use throughout the community would be subject to rezoning requests in order to facilitate the expansion or redevelopment of the nonconforming use. IV. Recommendation: The Planning Commission, by a vote of 7-0, recommended approval of the proposed ordinance text amendment as written, finding that the proposed amendment would facilitate the change of a number of existing "legal, nonconforming" support service uses and facilities throughout the residential community into a conforming zoning land use status. The applicant organization shall furnish public liability and property damage insurance contracts insuring the liability of such organization with regard to such events on the dates indicated above, and any other events and activities in Festival in the Park on or about May 27, 1993 through June 6, 1993, in the minimum amount of $2,000,000.00 general aggregate. SERVICES AGREEMENT THIS AGREEMENT, made the day of May, 1993, by and between the CITY OF ROANOKE, VIRGINIA, a political subdivision of the Commonwealth of Virginia, and WILLIANSON ROAD AREA BUSINESS ASSOCIATION, INC., a corporation organized under the laws of the Commonwealth of Virginia} WITNES SETH= I. BACKGROUND The Virginia General Assembly in 1981 enacted S15.1-18.3 of the Code of Virginia, which, as amended to date and in conjunction with 915.1-18.2 of the Code of Virginia, provides in part that the governing body of a city may, by ordinance, create "service districts" in order to provide additional or more complete services of government than are desired in the city as a whole. The governing body of a city may, under the provisions of S15.1- 18.2.C.4 of the Code of Virginia, contract with any firm to provide such additional governmental services in a service district. Under the provisions of ~15.1-18.2.C.6 of the Code of Virginia, the governing body may also levy and collect an annual tax on the property in such service district to pay the cost of providing additional governmental services in the district. Williamson Road Area Business Association, Inc., is a non- profit corporation organized in 1981 for the purpose of promoting the development of the Williamson Road Area Business District of the City of Roanoke. The Williamson Road Area Business Association, Inc., has recommended the establishment of the Williamson Road Area Service District for the City of Roanoke to promote economic development, management and community relations in the Williamson Road area. On April 12, 1993, the City Council of the City of Roanoke, at the request of the Williamson Road Area Business Association, Inc., held a public hearing pursuant to Virginia Code S58.1-3007 concerning the proposal of the Williamson Road Area Business Association to the City of Roanoke to create a Wllliamson Road Area Service District. On , 1993, the Council of the City of Roanoke adopted Ordinance No. providing for the creation of a Williamson Road Area Service District for the City of Roanoke in order to "provide additional governmental services not being offered uniformly throughout the entire City, including but not limited to, economic and business development and promotional activities intended to foster business retention, business recruitment and developer recruit- ment; planning for the development or revitalization of the Williamson Road area and for the transportation needs of the Williamson Road Area and to create a more attrac- tive environment in the Williamson Road area." Ordinance No. amended the Code of the City of Roanoke (1979) by the addition of new sections 32-103, Williamson Road Area service district created, 32-103.1, Additional tax imposed, 32- 103.2, Williamson Road Area service district defined, 32-103.3 Purposes of tax, and 32-103.4, Other powers and duties. The terms of Ordinance No. provide that it shall be in full force and effect on July 1, 1993. -2- II. PURPOSE OF AGREEMENT The City of Roanoke desires to contract with the Williamson Road Area Business Association, Inc., as an independent contractor on behalf of the City to foster economic advancement and develop- ment of the Williamson Road Area Service District, and the Williamson Road Area Business Association, Inc. desires to serve in such capacity, on the terms and conditions set forth below. III. AGREEMENT In consideration of the mutual covenants and obligations herein, the City of Roanoke (hereinafter "City") and the Williamson Road Area Business Association, Inc. (hereinafter "WRABA") covenant and agree as follows: 3.1. Independent Contractor Relationship. During the term of this Agreement, WRABA shall be the independent contractor of the City for the purpose of undertaking the development activities in the Williamson Road Service District hereinafter enumerated with tax revenues generated from the Wllliamson Road Area Service District pursuant to City Code S32-103.1. 3.2. Term. The term of this Agreement shall be for one year, commencing July 1, 1993 and ending on June 30, 1994. The term of this Agreement shall be automatically extended on each July, commencing July 1, 1994, for one year until June 30, 1996, at which time this Agreement shall terminate, unless the Agreement is terminated earlier by either party under the provisions of Section 3.16 herein. 3.3. Activities to be Undertaken. Funds made available to WRABA will be applied to provide additional governmental services to the Williamson Road Area Service District which are not being -3- offered uniformly throughout the entire City, including but not limited to: (a) Economic and business development and promo- tional activities intended to foster business retention, business recruitment and developer recruitment; planning for the development or revitalization of the service district; and (b) Those other activities set forth in Virginia Code S15.1-18.2.C as shall be agreed upon from time to time by the City Manager and WRABA. 3.4 Prohibited Activities. No Wllllamson Road Area Service District funds from the City shall be expended by WRABA for the following purposes: (a) Promotion of individual businesses; (b) Support of partisan political activities or lobbying of any legislative body, including the Roanoke City Council; (c) Acquisition of real property or construction of public facilities, except with the express consent of the City Council; (d) Promotion or development of any area outside the Wllliamson Road Area Service District not incidental to promotion or development of the Williamson Road Area Service District. 3.5. Overhead Reimbursement. The parties contemplate that the activities undertaken by WRABA in connection with the Wllliamson -4- Road Area Service District will constitute the principal activity of WRABA during the term of this Agreement. As compensation for its services, WRABA shall be entitled to apply from the funds received from the City an amount, approved by the City Manager, sufficient to cover a pro-rata share of WRABA's overhead expense, including salaries and benefits, expenses and rents based on total WRABA receipts; provided, however, that in no event shall more than 60% of funds received from the City be used to cover overhead expense. 3.6. (4) Work Proqram/Budget. Prior to the execution of this agreement, WRABA shall have submitted to the City Manager for approval a work program and budget setting forth in reasonable detail the Williamson Road Area Service District activities planned for the 1993-1994 fiscal year and the anticipated expenditures of City funds involved. The City Manager shall approve or otherwise respond to the proposed work program and budget no later than June 1 in order that any necessary modifications may be settled on or before July 1. (b) No later than April 1 of each subsequent year during the term of this Agreement, beginning with April 1, 1994, WRABA shall submit to the City Manager for approval a work program and budget setting forth in reasonable detail the Williamson Road Area Service District activities planned for the next year and the anticipated expenditures of City funds involved. The City Manager shall -5- approve or otherwise respond to the proposed work program and budget no later than May 1 in order that any necessary modifica- tions be settled upon before July 1. (c) Within the parameters established by the approved program and budget, and subject to the express limiting terms and condi- tions of SS15.1-18.2 and 15.1-18.3, Code of Virginia (1950), as amended, and S~32-103 through 32-103.4 of the Code of the City of Roanoke (1979), as amended, and of this Agreement, WRABA shall have the discretionary authority to carry out the Wllliamson Road Area Service District activities in such manner as it deems appropriate. 3.7 Disbursements to WRABA. (a) For purposes of this section, the phrase "actual net revenues" shall mean actual tax receipts to the City under ~32- 103.1, Code of the City of Roanoke (1979), as amended, less two percent (2%) of actual tax receipts for the City's administrative in collecting and administering such receipts. In total payments to WRABA exceed actual net revenues costs incurred no year shall for the year. (b) For City fiscal year 1993-1994 (July 1, 1993 to June 30, 1994) and succeeding fiscal years, the City shall make three (3) payments to WRABA: on or after November 5, May 5, and July 15. Each of the first two payments shall be in the amount equal to 1/2 of the actual net revenues to the City under ~32-103.1 for the City's fiscal year, and the third payment shall be the net difference between payments and the actual net revenues as of June 30, of such fiscal year. At the conclusion of the City's fiscal year, the City shall compare actual net revenues for such fiscal --6-- year to the two payments already made to WRABA for such fiscal year, and the difference between actual net revenues and the total amount of the two payments made to WRABA prior to the conclusion of the fiscal year. (d) For fiscal year 1994-1995 and each succeeding fiscal year, the Director of Finance shall prior to March 1 make an estimate of actual net revenues to be received by the City pursuant to S32-103.1 during the next succeeding fiscal year. Such estimate shall be provided to WRABA prior to March 1 of each year for use by WRABA in planning and budgeting for the next succeeding fiscal year (July 1 to June 30). 3.8. Subcontractinq. It is contemplated that WRABA will from time to time contract with firms and individuals for the acquisi- tion of goods or services in the furtherance of the activities contemplated by this Agreement. WRABA will not enter into any contract relating to activities contemplated by this Agreement or involving the expenditure of funds provided to WRABA by the City under this Agreement where the amount of such contract is $5,000 or more without written authorization of the City Manager unless the amount of the contract sum and the nature of the goods or services to be acquired were disclosed in the work program and budget submitted for the year in which the contract is to commence. 3.9. Books and Records~ Audits. WRABA shall keep accurate books and records of all City funds received and disbursed, and of all activities undertaken pursuant to this Agreement. WRABA will make such books and records available to the Municipal Auditor of -7- the City or other independent auditor selected by the City during its regular office hours. 3.10. Contacts with Prospective Developers. WRABA shall inform the City's Chief of Economic Development on a regular basis of all contacts with or by potential developers with services interest in the Williamson Road Service District. A representative from the City's Economic Development Office shall have the right to be present at any presentations by or to interested developers. 3.11. Board of Directors. During the term of this Agreement, WRABA shall elect one representative from and designated by the City Council to be an ex officio member of the Board of Directors of WRABA with full voting rights and privileges. 3.12. Indemnification. WRABA shall indemnify and hold harmless the City, its officers, agents and employees, from any and all claims, legal actions and Judgments advanced against the City or its officers, agents or employees, and for expenses the City may incur in this regard, arising out of WRABA's negligent acts or omissions, intentional and unintentional, with respect to carrying out this Agreement or exercising any rights, privileges or duties granted by the City to WRABA through this Agreement. WRABA shall have no indemnification obligation with respect to any claim, legal action, Judgment, loss, cost, expense or damage for which demand for indemnification is not received by WRABA on or prior to the date which is five years from the date of expiration or termination of this Agreement. 3.13. Insurance. -8- (a) WRABA shall obtain and maintain during the life of this Agreement a policy or policies of comprehensive general liability insurance with an insurance company or companies licensed to do business in Virginia with a Best Rating of A or better; which policy or policies shall provide coverage with respect to claims arising out of the subject matter of this Agreement. The amount of such insurance shall not be less than: 1. In the case of bodily injury liability insurance, $500,000.00 for injuries, including death, to one person in any one occurrence, and $1,000,000.00 annual aggre- gate; 2. In the case of property damage insurance, $500,000.00 for damage in any one occurrence, and $1,000,000.00 annual aggregate; 3. The above amounts may be met by "umbrella" coverage in a minimum amount of $1,000,000.00, provided that such "umbrella" coverage shall pick up at the maximum levels of underlying coverages so that there shall be no gaps in coverage. (b) WRABA shall name the City and its officers, agents and employees, as additional insureds on the above policies. (c) WRABA shall furnish the City with certificates of insurance evidencing the required coverage, referencing this agreement, and containing a statement to the effect that the coverage shall not be canceled or materially altered except after ten (10) days written notice to the City. -9- 3.15. Employment Discrimination Prohibited. In the perfor- mance of this Agreement, WRABA shall not discriminate against any contractor, subcontractor, sublessee, employee, applicant for employment, or invitee because of race, religion, color, sex, or national origin except where race, religion, color, sex, or national origin is a bona fide qualification reasonably necessary to the normal operation of WRABA. I am Evelyn D. Bethel, a resident of the Historic Gainsboro preservation District. MY home is located at 35 Patton Avenue, N. of the last remaining residential areas of North East Gainsboro. It saddens me tremendously to appear today because I believe last week was indeed one of the saddest in our city'5 recent history, our brightest young students were exposed to the worst of "politics-in-action". It occurred when one of Roanoke's elected officials publicly showed disrespect and complete disregard toward residents of the Gainsboro community by offering disparaging remark5 which could be considered racist. Therefore, it is my obligation to 5peak for the community I, represent by reminding you of a few facts about what--other than the music center--is "over there" in Gainsboro, the birthplace of Roanoke and its oldest neighborhood. By virtue of its architectural, historical and cultural significance to the City of Roanoke, Cainsboro has been declared by the Virginia Department of Historic ReSOUrCes to be eligible for the National Historic Landmarks Register. "over there" in ~ainsboro are hard working families living there for A to 5 generations; paying tames and fees; abiding by the law and voting for representation. "over there" in gainsboro are the St. Andrew's catholic Church, Arts Place at Old First occupying a former worship site, and a Head Start DaY Care center. Each of these sites is on both the National and Virginia Landmark Registers. These landmarks are living tribute to the fact that "over there" in gainsboro people of differing faiths and races have and continue to live together successfully. "Over there" in Gainsboro is another building pending historical landmark designation--the Gainsboro Library. This is a living manifestation of the positive and inspirational predominant presence of Blacks "over there" in Gainsboro since the early 1920's. The Day Gate Canter shows that there are future generations on the rise "over there" in Gainsboro. unless moved within the last few hours, "over there" in Gainsboro are the N&$, old Stone Printing buildings and can you believe it--Hotel Roanoke! Isn't this the structure Roanoke has received federal funds and million5 from the private sector to try to reopen? Surely, you need not be reminded that the proposed conference center will be located "over there" in Gainsboro. 5o, not only are there people and buildings of prominence "over there" in Gainsboro but new development of all types i5 proposed "over there". A lot of this development is against the wishes of residents and the community but apparently city council wants the dvelopments "over there" in Gainsboro. In conclusion, we residents "over there" in Gainsboro respectfully request that all poeople, and especially our elected officials, give fact5 about what i5 "over there" in Gainsboro.
