Honorable Mayor Noel C. Taylor and
Members of City Council

Members of Council:
Subject: Reallocation of Emergency Shelter Resource Funds
I. BACKGROUND
Ao
City Manager's Task Force on Homelessness studied the
homeless and low-income housing situation in Roanoke and
presented their findings and recommendations in a compre-
hensive report titled, "No Place To Call Home" in April,
1987.
City Manager appointed a follow-up task force to evaluate
how well the report's recommendations are implemented and
to recommend new activities based on future funding.
Roanoke City Council accepted an Emergency Shelter Grants
Program entitlement of $267000 on November 16, 1987,
Resolution #28872, allocated under the Stuart B. McKinney
Homeless Assistance Act, from the United State Department
of Housing and Urban Development to provide services to
the homeless.
Do
City invited applications from local agencies and pub-
licly advertised for proposals to assure that all inter-
ested organizations had an opportunity to submit their
funding requests. Requests totalling $60,500 were
received from Total Action Against Poverty, Roanoke Area
Ministries, Salvation Army, and the Roanoke Valley
Trouble Center {TRUST).
City Manager asked the Follow-up Task Force on the Home-
less to carefully review proposals and make recommend-
ations on the allocation of funds.
Council concurred with the recommendations submitted by
the Follow-up Task Force on January 25, 1988, Resolution
#28963, to allocate the funds as follows:
1. $3,000 to Roanoke Area Ministries
2. $3,000 to Salvation Army
3. $20,000 to Total Action Against Poverty
4. The committee did not recommend an allocation for
TRUST since they had received funding of $9,465
from the Virginia Shelter Grants Program through
the City of Roanoke.

IV.
CURRENT SITUATION
Salvation Army, with apologies to the City, has declined
to accept the grant due to objections by the Army's
national office to the exclusionary religious language
used by the Department of Housing and Urban Development.
The Follow-up Task Force on the Homeless studied each
proposal again using the application requirements,
federal guidelines, and predetermined criteria to
recommend reallocation of the Salvation Army's original
$3~000 allocation. Roanoke Area Ministries and Roanoke
Valley Trouble Center {TRUST} were found to be eligible
for funding.
Follow-up Task Force on the Homeless submitted the
following recommendation for the reallocation of these
funds to the City Manager based on the criteria and
guidelines:
$3~000 be allocated to Roanoke Area Ministries
for the RAM House Project designated as follows:
a)
$2,100 for the payment of maintenance and
operation costs {excluding staff), to include:
rent, insurance, utilities, and furnishings.
b)
$900 for the provision of essential services
concerned with employment, health, substance
abuse, education, or food.

ALTERNATIVES
Concur with the recommendation submitted by the Follow-up

from the Emergency Shelter Resource Funds and authorize
the City Manager to execute the attached subgrantee
agreement with Roanoke Area Ministries to administer
these funds.

Services to citizens - Day shelter facility
services would be enhanced for homeless citizens.
Timing - Funds must be obligated by Wednesday, April
20, 1988
Funding - Federal grant funding of $26~000 was pre-
viously appropriated and is available in account
#035-054-8830-xxxx. Necessary local match will be
provided by agency, and no City funds are required.
Do not concur with the recommendation and do not autho-
rize the City Manager to allocate funds at this time.
Services to citizens - Existing program would not
benefit from this additional funding.
2. Timing - No effect.
Funding - The City would have to obligate the funds
for emergency shelter by April 20, 1988 or risk
losing the grant allocation.
RECOI~ENDATION
Ao
City Council concur in the implementation of Alternative
A, Amend Resolution #28963, and allocate the $3,000 Emer-
gency Shelter Resource Fund as recommended by the Follow-
up Task Force on the Homeless and authorize the City
Manager to execute the sub-grant agreement (copy

Roanoke, Virginia
Dear Members of Council:
SUBJECT:
Temporary waiver of Deed Restriction NO. 6(c)
Roanoke Centre for Industry and Technology
Vitramon Site - Parcel 2A
I. Background
ao
Vitramon, Incorporated has purchased 22.307 acres, designated
as Parcel 2A, in the Roanoke Centre for Industry and
Technology to construct a computer chip manufacturing
facility.
Construction of the building is scheduled to begin in
mid-April.
II. Current Situation
The site plan submitted by Vitramon shows its main building
within 40 feet of the cul-de-sac at the end of Chip Drive; the
restrictive covenants require that it be 75 feet from such
road.
Vitramon desires a temporary waiver of the subject Deed
Restriction allowing it to proceed with construction of the
building until such time as the process can be undertaken to
amend the subdivision plat to vacate part of the cul-de-sac
that really is not needed by the City. This will ensure that
the Vitramon building is set back 75 feet from Chip Drive.
The temporary waiver is provided for under No. 13 of the Deed
Restrictions for the Roanoke Centre for Industry and
Technology. Letters from Gardner Denver and Vitramon, who own
or lease over 50% of the land sold or leased in the Roanoke
Centre for Industry and Technology, agreeing to the waiver,
are attached.

III. Issues
A. Timing.
B. Economic Development program.
IV. Alternatives
no
City Council approve a temporary waiver of the seventy-five
foot set back provision to Vitramon, thus allowing it to
proceed with construction of a computer chip manufacturing
facility, and to authorize the City Manager to file a petition
to vacate the part of the cul-de-sac that is unnecessary.
Timing is critical to meet Vitramon's proposed
construction schedule.
Economic Development program of the City of Roanoke would
be aided by the timely completion of the Vitramon
facility.
City Council deny a temporary waiver of Deed Restriction 6(c)
to Vitramon.
1. Timing of construction would be jeopardized.
Economic Development program of the City of Roanoke would
be hurt by delays in the Vitramon project.
V. Recommendations
It is recommended that City Council approve Alternative A granting
Vitramon, Incorporated a temporary waiver of the seventy-five foot
setback requirement in Deed Restriction 6(c) thus allowing it to
proceed with construction of a computer chip manufacturing
facility, and to authorize the City Manager to file a petition to
vacate the part of the cul-de-sac that is unnecessary.

Dear Members of Council:
Subject: Fund Appropriation - Mapping System
Capital Maintenance and Equipment Replacement Program (CMERP)
I. BACKGROUND:
Ao
City Mapping System is composed of over 1400 separate map
sheets that are manually prepared and maintained at various
scales. More than 950 changes and corrections are made
annually to maintain the system.
B. Existing maps suffer from numerous and sometimes significant
inaccuracies due to age and method of production.
Staff time required to maintain the existing manual mapping
system is multiplying due to increasing number of changes and
demand for more accurate map information.
November 9~ 1987, City Council designated funds in the
Capital Maintenance and Equipment Replacement Program for
Mapping System.
II. CUP~,ENT SITUATION:
Ao
En~ineerin$ Department is in the process of improving the
City mapping system by developing a computerized mapping
system to replace the manual mapping system. The project is
to be phased over seven years.
Pilot project will be prepared, using a section of the City
as a model, to demonstrate the benefits that will be derived
by converting to an automated mapping system.
Co
Purchase of computer equipment is necessary for Engineering
Department to implement Phase I of the automated mapping
system. Equipment will also be utilized by department to
perform other engineering related functions.
Page 2
D. Prices for equipment will be requested through the Department
of General Services in accordance with City Code.
E. Council action is necessary to appropriate CMERP funds.
III. ISSUES:
A. Need
B. Prices
C. Fundin~
IV. ALTERNATIVES:
ao
City Council authorize the appropriation of ~10,000.00 to
Engineering Department account number 001-052-4310-9015
(Other Equipment) to allow for designated Capital Maintenance
and Equipment Replacement Program expenditure.
1. Need to purchase computer equipment to implement Phase I
of the automated mapping system will be met.
Prices for computer equipment will be obtained by
Department of General Services in accordance with City
Code.
3. Fundin~ for mapping system is designated in the Capital
Maintenance and Equipment Replacement Program.
Do not authorize the appropriation of funds to the
Engineering Department account for Capital Maintenance and
Equipment Replacement Program expenditure.
1. Need to begin automated mapping system will be delayed.
2. Prices for computer equipment will not be obtained at
this time.
3. Fundin~ would not be encumbered or expended at this
time.
V. RECOMMENDATION:
City Council concur with Alternative "A" which will authorize
the appropriation of ~10~000.00 from Capital Maintenance and
Equipment Replacement Program to Engineering Department
account number 001-052-4310-9015 to implement Phase I of the
automated mapping system.

Dear Members of Council:
Subject:
Bid Committee Report
Awning Cover Replacement
Farmers Stalls on
Market Square
Roanoke, Virginia
I. Back~round:
Ao
Bids were received by D. D. Roupe, Manager, General Services, on
March 7, 1988, publicly opened and read aloud for the Awning Cover
Replacement at the Farmers Stalls on the Market Square.
B. One (1) bid was received from Sunnyside Awning & Tent Company,
Incorporated as follows:
Bid I
Ail coverings from Campbell to Kirk
$8,670.00
Bid II
Ail coverings from Kirk to Church
4~330.00
Total contract price
$13,000.00
Three (3) firms requested and received plans for the project but
only the one firm submitted a bid. Virginia Awning and Window Co.
received plans and attended the pre-bid conference but since then
has declared bankruptcy. Breakell, Inc. was trying to employ a
fabricator of Awnings in Danville but he did not submit a bid. In
working with the fabric manufacturer, he estimated the price for
fabrication could be as high as ~17~000.00. The bid price is
within the estimated cost.
D. Fabric selection has been approved by the Market Merchants
Committee and the Architectural Review Board.
Page 2
II. Issues in order of importance are:
A. Compliance of the bidders with the requirements of the contract
documents.
B. Amount of the low bid.
C. Fundin~ of the project.
D. Time of completion.
III. Alternatives are:
A. Award a lump sum contract to Sunnyside Awning & Tent Company,
Incorporated for Bid Items I and II in the amount of $13~000.00 and
35 consecutive calendar days for Awning Cover Replacement on the
Market Square in accordance with the Contract Documents, as pre-
pared by the City Engineer's Office.
1. Compliance of the bidder with the requirements of the contract
documents was met.
2. Amount of the low bid was within the Engineer's estimate and is
acceptable.
3. Fundin~ is available in Building Maintenance Account No.
001-052-4330-3056.
4. Time of completion is quoted as 35 consecutive calendar days
which is acceptable.
B. Reject the bid and do not award a contract at this time.
1. Compliance of the bidder with the requirements of the contract
documents would not be an issue.
2. Amount of the iow bid would probably increase if rebid at a
later date.
3. Fundin8 would not be encumbered at this time.
4. Time of completion would be extended.
IV. Recommendation is that City Council take the following action:
A. Concur with the implementation of Alternative A.
Page 3
Co
Authorize the City Manager to enter into a contractual agreement
with Sunnyside Awnin~ & Tent Company, Incorporated, of Roanoke,
Virginia to fabricate and install new Awning covers on the Farmers
Stalls on Market Square in accordance with the Contract Documents
as prepared by the City Engineer's Office in the amount of
$13~000.00 and 35 consecutive calendar days.
Authorize the encumberance of $13,000.00 in Building Maintenance

Acquisition of Property For

I. Back~round:
Utility Line Services Department's daily operations in maintaining
utility lines City-wide produce relatively small, truck load or
less, quantities of excess soil and rock material, usually wet,
which needs to be air-dried then regraded to a smooth contour.
Such materials are expensive to haul long distances, particularly
partial loads, and are not needed at the Regional Landfill as they
shorten the life of that facility by taking valuable space.
Bo
On-site disposal area at Read Road Facility of Utility Line
Services is full. This area is comprised of some 5 acres for a
fill area and another 5 acres for utility storage. The area has
been in use for approximately 20 years.
C. City-owned fill areas for this purpose are non-existent.
Current Situation:
A.
David D. Williams is the owner of a 10.74 acre tract identified by
four separate tax numbers, 3250801, 3250802, 3250804 and 3250805,
located on the easterly end of Sand Road, N.E. adjacent to the
City's Hollins Road Park. This property lies approximately 60 per-
cent within the flood plain of Tinker Creek. Filling may take
place on all of the property except the floodway (see map). It is
within three-quarters of a mile of Utility Line Services Read Road
Facility.
Bo
City Administration, based upon the property's value for tax pur-
poses established by the Office of Real Estate Valuation, initially
offered $46~000.00 for the property and suggested a donation for
tax purposes. Mr. Williams responded with a proposal to sell for
$60~000.00 cash and acknowledgment by letter of an appraisal in the
amount of $75~000.00 for the property established by American Real
Estate Appraisal Corporation (Joseph S. Durrer, Jr., MAI, SRPA)
dated as of April 16, 1987, prepared for Tommy Joe Williams,
Attorney, on Mr. Williams' behalf. The intent is that the City
acknowledge the purchase price of $60~000.00 and the appraisal of
$75~000.00. City Administration feels that this is a fair and
equitable offer (Appraisal information attached).
Page 2
David D. Williams has executed an option providing for the purchase
price to be as outlined in II. B (above) and extending until
August 31, 1988.
Williams Property adjoins Hollins Road Park. Portions of the pro-
perty which are within the flood way may be available immediately
for park/open space use. Useful life of the property for the use
by Utility Line Services is in excess of 20 years, based upon the
small amount of fill to be applied annually. Filling program can
be planned so as to provide usable property for park purposes on a
continuing basis until the filling is completed. This would
transfer maintenance and use of completed areas from Utility Line
Services to Grounds Maintenance, perhaps on an annual, or bi-annual
basis.
Fillin8 operations over a long period of time, even though it is
anticipated to be of very low volume, with infrequent traffic, will
require rezoning of the tract from its present RM-2, Residential
Multi-Family Zone to LM, Light Manufacturing Zone which zone per-
mits a public works service center.
F. Preliminary site development plan is attached.
III. Issues:
A. Need
B. Timin5
C. Cost to City
D. Fundin~
E. Ultimate utilization
IV. Alternatives:
mo
Committee recommend to City Council that it authorize the
appropriate City officials to seek a rezoning and, if successful,
acquire a 10.74 acre tract from David D. Williams, identified by
Official Tax Nos. 3250801, 3250802, 3250803 and 3250804, for
$60,000.00 and agree to acknowledge by letter a purchase price of
$60~000.00 and the Durrer appraisal of $75~000.00. It is antici-
pated that an additional $5~000.00 will be needed for closing costs
and fencing of the boundary of the property. Documentation
necessary to transfer title to be prepared by the Office of the
City Attorney. Committee further recomm~end that Council authorize
the City Administration to apply for rezoning of the optioned tract
from RM-2 to LM District.
Need by the Utility Line Services Department for an outside
utility equipment and pipe storage area and a soil, rock and
broken concrete and asphalt disposal area is met.
Page 3
2. Timin~ to provide replacement for existing disposal area needed
immediately is met.
Cost to City is $65,000.00. This cost is comprised of
$60~000.00 for purchase and an allowance of $5~000.00 for
security fencing and planting of vegetation to supplement
natural vegetation to help screen the area from adjacent
properties.
4. Fundin~ is available from Previous Years Retained Earnings in
the Internal Service Fund.
Ultimate utilization will be decided in future years. Options
that readily come to mind are park use and retention for con-
tinued utility or other public works use.
Committee not recommend to Cit~ Council that it purchase property
needed by the Utility Line Services Department for a disposal area.
1. Need is not met.
2. Timin~ to immediately provide replacement area is not met.
3. Cost to City is cost of transporting spoil to another area and
possible use of valuable space in Regional Landfill.
4. Fundin8 is moot.
5. Ultimate utilization is not an issue.
Recommendation: Committee recommend to City Council that it authorize
the purchase, subject to rezoning, and application for rezoning of pro-
perty needed by Utility Line Services Department in accordance with
Alternative "A" and appropriate $65~000.00 from Previous Years Retained
Earnings in the Internal Service Fund to a capital outlay account in
the Internal Service Fund to be established by the Director of Finance.

Honorable Mayor and City Council
Roanoke, Virginia
Dear Members of Council:
Subject:
Bid Committee Report
Replacement of Heat Pump System
City Health Center
Roanoke, Virginia
I. Back~round:
Capital Maintenance and Equipment Replacement Pro~ram approved by
City Council on November 9, 1987, allocated funding for the repla-
cement of heating and air conditioning system at Health Department.
City Council appointed a committee to receive bids on March 21,
1988 at 2:00 p.m. for the Replacement of the Heat Pump System at
the City Health Center.
Only one (1) bid was received from S. J. Conner and Sons, Inc. of
Roanoke, Virginia in the amount of $92~819.00 and 6_~0 consecutive
calendar days.
Do
Ten (10) firms requested the contract documents but only one bid
was submitted. Six of the firms that did not submit a bid were
contacted by the City Engineer to inquire as to why they had not
submitted a bid. One firm had just recently gone from a part-
nership to a one person owner and had not completed the transfer of
their bonding capacity. Two firms said they had not picked up the
contract documents in time to compile their bid. Two firms
received other work while they were preparing their bids and there-
fore, chose not to bid this project. One firm said that the State
does not require a bond on work less than $100,000.00 and he had
dropped his bonding capability.
E. This pro~ect is the replacement of a 1950's heat pump with a new
air conditioning system and a gas fired boiler for heating.
F. The followin8 expenses are also related to this project and need to
be approved:
Lawrence Perry and Associates~ Inc., Consulting Engineers, were
chosen after interviews, to design the Heat Pump Replacement
System for the fee of $7~800.00. The Building Maintenance
Department employed and paid the Consulting Engineer so this
project could be bid in time for the heat pump to be removed
and replaced between the major heating and cooling seasons (May
and June).
Page 2
The firm of Webster Construction Company submitted the low bid
(of four bids) for the removal and proper disposal of the
asbestos insulation on the existing heat pump and boiler room
piping in the amount of $9,773.00.
II. Issues in order of importance are:
A. Compliance of the bidder with the requirements of the contract
documents.
B. Amount of the bid.
C. Fundin~ of the project.
D. Time of completion.
III. Alternatives are:
Award a lump sum contract to S. J. Conner and Sons~ Inc., in the
amount of $92,819.00 and 60 consecutive calendar days for the
Replacement of the Heat Pump System at the City Health Center in
accordance with the Contract Documents as prepared by Lawrence
Perry and Associates, Inc., Consulting Engineers.
1. Compliance of the bidder with the requirements of the contract
documents was met.
2. Amount of the low bid is acceptable.
3. Fundin8 requirements for this project will be as follows:
Contract amount with S. J. Conner
and Sons, Inc.
Contract contingency amount
$ 92,819.00
4,608.00
b. Removal of asbestos by Webster
Construction Co.
9,773.00
Project cost
$107,200.00
This funding is available in the CMERP Fund.
4. Time of completion is quoted as 60 consecutive calendar days
which is acceptable.
Page 3
B. Reject the bid and do not award a contract at this time.
i. Compliance of the bidder with the requirements of the contract
documents would not be an issue.
2. Amount of bid would probably increase if re-bid at a later
date.
3. Fundin8 would not be encumbered at this time.
Time of completion would be extended. The work would then have
to be done during the cooling season or delayed until early
fall.
IV. Recommendation is that City Council take the following action:
A. Concur with the implementation of Alternative A.
Bo
Authorize the City Manager to enter into a contractual agreement
with S. J. Conner and Sons, Inc. for the Replacement of the Heat
Pump System at the City Health Center in accordance with the
Contract Documents as prepared by Lawrence Perry and Associates,
Inc., in the amount of $92~819.00 and 60 consecutive calendar days.
Concur with the issuance of a purchase order to Webster
Construction Company in the amount of $9~773.00 for the removal of
asbestos insulation and its proper disposal from the present heat
pump and boiler room piping in compliance with regulations
governing this work.
Co
Authorize the appropriation of $107~200.00 from CMERP funds to the
Health Department budget, Account Number 001-054-5110-9015;
$92,819.00 contract amount, $4,608.00 project contingency and
$9~773.00 for asbestos removal.

Honorable Noel C. Taylor, Mayor
and Members of City Council
Roanoke, Virginia
Dear Mayor Taylor and Members of Council:
Subject: Lake Drive, SW
I. Back~round on this subject includes:
Lake Drive~ SW was developed as a private street when the
Windsor Hills area was in the County of Roanoke, and the street
is still private. Most of the homes on this street were built
in the 1950's with at least one home built in 1929. Several new
homes have been built more recently.
B. Annexation of the area into the City occurred on January 1, 1976.
Some residents along the street would like to have additional City
services not available to residents along private streets. Such
services would include street maintenance, snow removal, leaf
collection, street lights, etc.
City Council authorized, on October 13, 1986, the City Administration
to proceed toward accepting Lake Drive for public maintenance
continKent upon 100% donation of ri~ht-of-way from abutting property
II. Current Situation:
Fully-executed deeds have been received from fifteen (15) property
owners representing all abutting property for a distance of approxi-
mately 957 feet west of Deyerle Road. This would provide for the
establishment of a publicly dedicated and maintained 50-foot wide
right-of-way.
Plat of survey has been prepared showing the parcels being deeded to
the City for the widening of Lake Drive.
III. Issues:
A. Citizen request for additional public services.
B. Cost to the City.
C. FundinE.

Authorize the City Administration to accept the donations of
right-of-way from fifteen (15) owners of property abutting Lake
Drive, SW for a distance of approximately 957 feet west of
Deyerle Road, and record the plat of dedication. There may
also be future dedications of contiguous right-of-way which
would allow the public street to be extended.
Citizen request for additional public services will be met
in regard to street maintenance, snow removal, leaf collection,
street lighting, etc.
Cost to the City will initially be approximately $8,000 for
street paving. Future costs for water service are dependent
upon the residents interest in submitting a request and
participating in the cost in accordance with regular City
policy for main extensions.
o
Fundin~ will be available in existing operating accounts for
street maintenance, street lighting, etc.
Bo
Do not authorize the City Administration to accept the donations of
right-of-way for Lake Drive, SW.
Citizen request for additional public services could not be met
on a private street.
2. Cost to the City would be zero.
3. FundinK would not be obligated.
Recommendation is that City Council approve Alternative "A," authorizing
the City Administration to accept the donations of right-of-way from
fifteen (15) owners of property abutting Lake Drive, SW, for a distance
of approximately 957 feet west of Deyerle Road, and record the plat of
dedication. It is further recommended that the City Administration be
authorized to accept the donations of any contiguous right-of-way which
are subsequently offered by abutting property owners to Lake Drive,
effectively extending this street from its presently anticipated terminus.

attest, respectively, an agreement with Tultex Corporation,
giving said Corporation and its agents the right to enter
upon certain portions of Official Tax No. 7050107, an approxi-

subject of and is further described in the Option Agreement

March 28, 1988
Honorable Mayor and Members of City Council
Roanoke, Virginia
Dear Members of Council:
subject: Tultex Corporation Right-of-Entry
Berkley Road site
I. Background
Tultex Corporation has contracted to buy an approximately 10.3
acre portion, official Tax No. 7050107, which consists of a
total of 20 acres off Berkley Road (See attached aerial map)
to construct a 50,000 square foot manufacturing facility to be
used as a sewing manufacturing plant.
Construction of the building is scheduled to begin in early
April. Tultex desires to be operating in the new facility by
the middle of August.
II. Current Situation
Subdivision of the site is necessary before the property
transaction can be closed and deed transferred. The City is
negotiating with the two affected property owners at this time
for the purpose of acquiring land needed for a public
right-of-way and have secured permission to enter their
properties to proceed with the necessary surveys. Tultex
desires to begin work on City-owned property, and has
therefore requested that it be granted right-of-entry to begin
grading prior to actual transfer of the land.
Indemnification by Tultex Corporation would be made to the
City of Roanoke as a part of the right-of-entry agreement, and
the City would be held harmless for any risks associated with
the construction of the project on City-owned land. Tultex
will also be required to insure the City's interest during
this period. A similar arrangement was entered into with
Orvis, Inc. and Advance Stores Company, Inc. to allow them to
begin their construction. Tultex will be expected to agree to
the same terms. (See attached agreement.)
Members of Council

Page 2
III. Issues
A. Timing.
B. Economic Development program.
IV. Alternatives
ao
Authorize the City Manager to execute a right-of-entry
agreement, in a form acceptable to the City Attorney, allowing
Tultex Corporation to enter City property, Berkley Road site,
for the purpose of constructing a sewing manufacturing plant.
Timing is critical to meet Tultex's proposed construction
schedule.
Economic Development program of the City of Roanoke would
be aided by the timely completion of the Tultex facility.
Do not authorize the City Manager to execute a right-of-entry
agreement for Tultex.
1. Timing of construction would be jeopardized.
2o
Economic Development program of the City of Roanoke would
be hurt by delays in the Tultex project.
V. Recommendation
It is recommended that City Council approve Alternative A,
authorizing the City Manager to execute a right-of-entry agreement
allowing Tultex Corporation to enter City property, official Tax
No. 7050107, for the purpose of constructing a sewing manufacturing
plant on the terms and conditions set out in the attached
right-of-entry agreement.
