Member ~_urisdictions of the Consortium gave up twenty (20) slots to serve clients in their jurisdictions in exchange for the City providing office space for the Consortium. ~in the renovation was reported to City Council on October 7, and Council appropriated $14,400 to pay rent for the Consortiun for the period July 1, lgS~ch 30, 1988. II. CURRENT SITUATION Renovation of the Knights of P~thias Building was rebid by Council on January 17, 1988. Bids were due back end received on Febmmry 16, 1988 to the City. ~ has accepted the low bid of $128~000.00 from Construction Services of Roanoke, Incorporated. The new target date for c~letion of the renovation is July 15, 1988. The Consortium will now owe rent for the period April 1, 1988 through July 31, 1988, which increases budgeted office rental costs by the mnount of $4,800.00. III. ISSUES A. Cost to City B. The C~vernor's Employment and Training Depar~nent limits the amount of cazTyover f~mds available to Service Delivery Areas. B. A waiver was requested by the Consorti~n for $23,271.00 of excess ~-A carryover funds frc~n last year's grant. 1. Only 15% of the ~oal allocation is all~ed for Title II-A. The Consortium in April of 1987 applied for a Veteran's Grant through the GETD for $50,500. The Annual Closeout for the S~,,,~r Youth Program (Title II-B) was submitted December 29, 1987. Last year's Stm~ner Youth Program provided remedial education and work experience jobs to economically disadvantaged youth in the Fifth PlanningDistrict. 1. $490,883was expended. 2. 456 total youth were served. 3. 256 of the total youth served resided in Roanoke City. E. The City of Roanoke is the Grant Recipient for Consortium funding. II. CURRENT SITUATION The t~"lD has sent a Notice to Proceed for the Veteran's Grant, that is~tive through March 31, 1988 in the mr~unt of $8~583. Notice of Award 88-313-03 deobligated excess carryover of $6~290. A waiver was granted for the remazning$16,981of excess carryover funds appropriated by Council on Jar~,mry 25, 1988. $28,885 of last year's S~mner Youth ftmding needs to be deobligated ~ appropriated to the current year funding availability, as indicated by Notice of Award #88-313-03. BACKGROUND Ao City Manager's Task Force on Homelessness studied the homeless and low-income housing situation in Roanoke and presented their findings and recommendations in a compre- hensive report titled, "No Place To Call Home" in April, 1987. City Manager appointed a follow-up task force to evaluate how well the report's recommendations are implemented and to recommend new activities based on future funding. Roanoke City Council accepted an Emergency Shelter Grants Program entitlement of $267000 on November 16, 1987, Resolution #28872, allocated under the Stuart B. McKinney Homeless Assistance Act, from the United State Department of Housing and Urban Development to provide services to the homeless. Do City invited applications from local agencies and pub- licly advertised for proposals to assure that all inter- ested organizations had an opportunity to submit their funding requests. Requests totalling $60,500 were received from Total Action Against Poverty, Roanoke Area Ministries, Salvation Army, and the Roanoke Valley Trouble Center {TRUST). City Manager asked the Follow-up Task Force on the Home- less to carefully review proposals and make recommend- ations on the allocation of funds. Council concurred with the recommendations submitted by the Follow-up Task Force on January 25, 1988, Resolution #28963, to allocate the funds as follows: 1. $3,000 to Roanoke Area Ministries 2. $3,000 to Salvation Army 3. $20,000 to Total Action Against Poverty 4. The committee did not recommend an allocation for TRUST since they had received funding of $9,465 from the Virginia Shelter Grants Program through the City of Roanoke. CURRENT SITUATION Salvation Army, with apologies to the City, has declined to accept the grant due to objections by the Army's national office to the exclusionary religious language used by the Department of Housing and Urban Development. The Follow-up Task Force on the Homeless studied each proposal again using the application requirements, federal guidelines, and predetermined criteria to recommend reallocation of the Salvation Army's original $3~000 allocation. Roanoke Area Ministries and Roanoke Valley Trouble Center {TRUST} were found to be eligible for funding. Follow-up Task Force on the Homeless submitted the following recommendation for the reallocation of these funds to the City Manager based on the criteria and guidelines: $3~000 be allocated to Roanoke Area Ministries for the RAM House Project designated as follows: a) $2,100 for the payment of maintenance and operation costs {excluding staff), to include: rent, insurance, utilities, and furnishings. b) $900 for the provision of essential services concerned with employment, health, substance abuse, education, or food. The Subgrantee shall submit to the Grantee monthly progress reports regarding project activities beginning thirty (30) days after obligation of funds. 10. The Subgrantee acknowledges that the Grantee shall not be responsible for any actions of employees or designated representatives of the project. In the event of any litigation which may arise as a result of the operation of this project, the Subgrantee agrees to assume the risk and/or liability for the cost of any such litigation, including but not limited to, payment of damages or attorney fees to the plaintiff and hold the Grantee harmless therefrom. The Subgrantee also acknowledges and agrees that it will provide its own legal representation and bear the cost of the same. The Subgrantee also acknowledges and agrees that the Grantee shall not be obligated to provide insurance coverage, either commercially or self supplied, for the Subgrantee. Nothing herein shall be deemed an express or implied waiver of the sovereign immunity of the City of Roanoke, Grantee. Neither the Subgrantee, its employees, assigns or contractors shall be deemed employees of the Grantee while performing under this Agreement. The Subgrantee agrees to abide by the terms, guidelines, and regulations set forth in HUD's regulations at 24 CFR Part 575, as set forth in Attachment I and Enclosure I as if they were the Grantee referenced therein, unless such conditions are clearly inappropriate for the performance of particular obligations under this Agreement. During the performance of this Agreement, the Subgrantee agrees as follows: The Subgrantee will not discriminate against any sub- contractor, employee, or applicant for employment because of race, religion, color, sex, or national origin, except where religion, sex, or national origin is a bona fide occupational qualification reasonably necessary to the normal operation of the Subgrantee. The Subgrantee agrees to post in conspicuous places, notices setting forth the provisions of this non-discrimination clause. The Subgrantee, in all solicitations or advertisements for employees placed by or on behalf of the Subgrantee, will state that the Subgrantee is an equal opportunity employer. Notices, advertisements, and solicitations placed in accordance with Federal law, rule, or regulation shall be deemed sufficient for the purpose of meeting the requirements of A and B above. Nothing in this Agreement shall be construed as authority for either party to make commitments which bind the other party beyond the scope of this Agreement. This Agreement shall remain in full force and effect until cancelled by either party giving the other party thirty {30) days written notice of cancellation. Any such cancellation shall be in writing and shall be sent by certified mail. No payment will be made for expenses incurred after receipt of notice, except those expenses incurred prior to the date of notice that are necessary to curtailment of operations under this Agreement. 11. Background ao Vitramon, Incorporated has purchased 22.307 acres, designated as Parcel 2A, in the Roanoke Centre for Industry and Technology to construct a computer chip manufacturing facility. Construction of the building is scheduled to begin in mid-April. II. Current Situation The site plan submitted by Vitramon shows its main building within 40 feet of the cul-de-sac at the end of Chip Drive; the restrictive covenants require that it be 75 feet from such road. Vitramon desires a temporary waiver of the subject Deed Restriction allowing it to proceed with construction of the building until such time as the process can be undertaken to amend the subdivision plat to vacate part of the cul-de-sac that really is not needed by the City. This will ensure that the Vitramon building is set back 75 feet from Chip Drive. The temporary waiver is provided for under No. 13 of the Deed Restrictions for the Roanoke Centre for Industry and Technology. Letters from Gardner Denver and Vitramon, who own or lease over 50% of the land sold or leased in the Roanoke Centre for Industry and Technology, agreeing to the waiver, are attached. BACKGROUND: Ao City Mapping System is composed of over 1400 separate map sheets that are manually prepared and maintained at various scales. More than 950 changes and corrections are made annually to maintain the system. B. Existing maps suffer from numerous and sometimes significant inaccuracies due to age and method of production. Staff time required to maintain the existing manual mapping system is multiplying due to increasing number of changes and demand for more accurate map information. November 9~ 1987, City Council designated funds in the Capital Maintenance and Equipment Replacement Program for Mapping System. II. CUP~,ENT SITUATION: Ao En~ineerin$ Department is in the process of improving the City mapping system by developing a computerized mapping system to replace the manual mapping system. The project is to be phased over seven years. Pilot project will be prepared, using a section of the City as a model, to demonstrate the benefits that will be derived by converting to an automated mapping system. Co Purchase of computer equipment is necessary for Engineering Department to implement Phase I of the automated mapping system. Back~round: Utility Line Services Department's daily operations in maintaining utility lines City-wide produce relatively small, truck load or less, quantities of excess soil and rock material, usually wet, which needs to be air-dried then regraded to a smooth contour. Such materials are expensive to haul long distances, particularly partial loads, and are not needed at the Regional Landfill as they shorten the life of that facility by taking valuable space. Bo On-site disposal area at Read Road Facility of Utility Line Services is full. This area is comprised of some 5 acres for a fill area and another 5 acres for utility storage. The area has been in use for approximately 20 years. C. City-owned fill areas for this purpose are non-existent. Current Situation: A. David D. Williams is the owner of a 10.74 acre tract identified by four separate tax numbers, 3250801, 3250802, 3250804 and 3250805, located on the easterly end of Sand Road, N.E. adjacent to the City's Hollins Road Park. This property lies approximately 60 per- cent within the flood plain of Tinker Creek. Filling may take place on all of the property except the floodway (see map). It is within three-quarters of a mile of Utility Line Services Read Road Facility. Bo City Administration, based upon the property's value for tax pur- poses established by the Office of Real Estate Valuation, initially offered $46~000.00 for the property and suggested a donation for tax purposes. Mr. Williams responded with a proposal to sell for $60~000.00 cash and acknowledgment by letter of an appraisal in the amount of $75~000.00 for the property established by American Real Estate Appraisal Corporation (Joseph S. Durrer, Jr., MAI, SRPA) dated as of April 16, 1987, prepared for Tommy Joe Williams, Attorney, on Mr. Williams' behalf. The intent is that the City acknowledge the purchase price of $60~000.00 and the appraisal of $75~000.00. City Administration feels that this is a fair and equitable offer (Appraisal information attached). Page 2 David D. Williams has executed an option providing for the purchase price to be as outlined in II. B (above) and extending until August 31, 1988. Williams Property adjoins Hollins Road Park. Portions of the pro- perty which are within the flood way may be available immediately for park/open space use. Useful life of the property for the use by Utility Line Services is in excess of 20 years, based upon the small amount of fill to be applied annually. Filling program can be planned so as to provide usable property for park purposes on a continuing basis until the filling is completed. This would transfer maintenance and use of completed areas from Utility Line Services to Grounds Maintenance, perhaps on an annual, or bi-annual basis. Fillin8 operations over a long period of time, even though it is anticipated to be of very low volume, with infrequent traffic, will require rezoning of the tract from its present RM-2, Residential Multi-Family Zone to LM, Light Manufacturing Zone which zone per- mits a public works service center. WILLIAMS, husband and wife, hereinafter called "Optionor" do hereby GRANT unto the City of Roanoke, hereinafter called "Optionee", the exclusive option to purchase the real property of Optionor, being situated in Roanoke City, containing approximately 10.74 acres, more or less, bearing Official Tax Nos. 3250801, 3250802, 3250803 and 3250804, including all fixtures and associated personal property and all rights and appurtenances, rights-of-way and rights of access. 1. The purchase price of said property shall be $60,000.00, which shall be subject to credit of the $100.00 paid upon execu- tion of this option. Optionee acknowledges aa appraisal of the subject property by Joseph S. Duffer, Jr., YAI, SRPA, dated May 25, 1979, stating the estimated market value of the fee simple interest of the subject property to be SEVENTY FIVE THOUSAND AND NO/lO0 DOLLARS ($75,000.00), and that Optionee intends to claim entitlement to the $15,000.00 difference between the value established by said appraisal and the agreed sale price. Optionee agrees that in the event of purchase by Optionor, Optionee shall acknowledge that the purchase price for the pro- perty was $60,000.00 and that it received the property on the ~ closing date. At settlement, Optlonor shall pay grantor's tax and agent's fee, if any, out of the purchase price. 2. The option herein granted shall extend and be exer- cisable until August 31, 1988. This option shall be deemed exer- cised by the Optionee upon the mailing of written notice of exercise to the Optionor, postage prepaid, at 6265 S.E. Ironwood Circle, Mariner Sands, Stuart, Florida 33497. 3. The closing date of said sale shall be at a time and place mutually agreed upon by the Optionor and Optionee after the option is exercised. If no time is agreed, then said closing shall be at 10:00 a.m. on the 30th day after the date of notice exercising this option at the offices of the City Attorney, 464 Municipal Building, Roanoke, Virginia. 4. Optionor covenants that the said real property is free and clear of all liens, rights in others, and encumbrances except for recorded utility easements and taxes and assessments for the current year and covenants and restrictions of record. At the time of settlement, the property shall be delivered free and clear of any leasehold interests and shall be unoccupied. Risk of loss of the property shall remain with Optionor until after final settlement. 5. During the term of this option or any extension thereof, Optionor grants Optionee the right of ingress and egress in and to said property for the purpose of surveying and soil testing and conducting such other tests deemed necessary by Optionee for determining the suitability of the property for use by Optionee. 6. The Optionor warrants and represents that it has the authority to grant this option and that it now holds merchantable fee simple title to said property. - 2 - ?. In the event Optionee elects to exercise this option, Optionee will have thirty (30) days thereafter to satisfy itself as to title, and if title proves to be merchantable, the con- veyance of the property shall be closed as provided in Paragraph above. If examination merchantable, Optionor correct any defects as shows that title to the property is not shall take any and all action necessary promptly as possible, and conveyance of tO and pay all costs, damages attorney's fees, resulting this agreement. 8. Upon receipt of manner set forth herein, and expenses, including reasonable from Optionor's breach of the terms of the purchase price at closing in the the Optionor shall convey said property to Optionee by deed with General Warranty and Modern English Covenants, with good and marketable title in fee simple, free and clear of all liens and encumbrances, easements and restrictions including dower unless otherwise provided herein. 9. Ail unpaid assessments for improvements concerning said property shall be paid by Optionor. 10. The terms of this option shall survive the closing and delivery of the deed. - 3 - the property shall be closed within thirty (30) days from the date the defects are corrected.. If any such defect has not been corrected within 90 days of notice by Optionee to Optionor of the existence of such defects, Optionee may, in its sole discretion, decline to proceed with the conveyance without any liability to Optionor, and Optionee shall receive a full refund of any sums paid to Optionor. Back~round: Capital Maintenance and Equipment Replacement Pro~ram approved by City Council on November 9, 1987, allocated funding for the repla- cement of heating and air conditioning system at Health Department. City Council appointed a committee to receive bids on March 21, 1988 at 2:00 p.m. for the Replacement of the Heat Pump System at the City Health Center. Only one (1) bid was received from S. J. Conner and Sons, Inc. of Roanoke, Virginia in the amount of $92~819.00 and 6_~0 consecutive calendar days. Do Ten (10) firms requested the contract documents but only one bid was submitted. Six of the firms that did not submit a bid were contacted by the City Engineer to inquire as to why they had not submitted a bid. One firm had just recently gone from a part- nership to a one person owner and had not completed the transfer of their bonding capacity. Two firms said they had not picked up the contract documents in time to compile their bid. Two firms received other work while they were preparing their bids and there- fore, chose not to bid this project. One firm said that the State does not require a bond on work less than $100,000.00 and he had dropped his bonding capability. E. This pro~ect is the replacement of a 1950's heat pump with a new air conditioning system and a gas fired boiler for heating. F. The followin8 expenses are also related to this project and need to be approved: Lawrence Perry and Associates~ Inc., Consulting Engineers, were chosen after interviews, to design the Heat Pump Replacement System for the fee of $7~800.00. The Building Maintenance Department employed and paid the Consulting Engineer so this project could be bid in time for the heat pump to be removed and replaced between the major heating and cooling seasons (May and June). Page 2 The firm of Webster Construction Company submitted the low bid (of four bids) for the removal and proper disposal of the asbestos insulation on the existing heat pump and boiler room piping in the amount of $9,773.00. II. Issues in order of importance are: A. Compliance of the bidder with the requirements of the contract documents. B. Amount of the bid. C. Fundin~ of the project. D. Time of completion. III. Alternatives are: Award a lump sum contract to S. J. Back~round on this subject includes: Lake Drive~ SW was developed as a private street when the Windsor Hills area was in the County of Roanoke, and the street is still private. Most of the homes on this street were built in the 1950's with at least one home built in 1929. Several new homes have been built more recently. B. Annexation of the area into the City occurred on January 1, 1976. Some residents along the street would like to have additional City services not available to residents along private streets. Such services would include street maintenance, snow removal, leaf collection, street lights, etc. City Council authorized, on October 13, 1986, the City Administration to proceed toward accepting Lake Drive for public maintenance continKent upon 100% donation of ri~ht-of-way from abutting property II. Current Situation: Fully-executed deeds have been received from fifteen (15) property owners representing all abutting property for a distance of approxi- mately 957 feet west of Deyerle Road. This would provide for the establishment of a publicly dedicated and maintained 50-foot wide right-of-way. BE IT ORDAINED by the Council of the City of Roanoke that the City Manager and the City Clerk are authorized, for and on behalf of the City, to execute and to seal and attest, respectively, an agreement with Tultex Corporation, giving said Corporation and its agents the right to enter upon certain portions of Official Tax No. 7050107, an approxi- mately 10.3 acre as yet unsubdivided portion of which is the subject of and is further described in the Option Agreement dated October 10, 1987, by and between the City and Tultex Corportion, such right of entry to permit the beginning of construction of a manufacturing plant thereon, and to require that the City be indemnified, held harmless, and insured by Tultex Corporation, such agreement to be approved as to form by the City Attorney. Background Tultex Corporation has contracted to buy an approximately 10.3 acre portion, official Tax No. 7050107, which consists of a total of 20 acres off Berkley Road (See attached aerial map) to construct a 50,000 square foot manufacturing facility to be used as a sewing manufacturing plant. Construction of the building is scheduled to begin in early April. Tultex desires to be operating in the new facility by the middle of August. II. Current Situation Subdivision of the site is necessary before the property transaction can be closed and deed transferred. The City is negotiating with the two affected property owners at this time for the purpose of acquiring land needed for a public right-of-way and have secured permission to enter their properties to proceed with the necessary surveys. Tultex desires to begin work on City-owned property, and has therefore requested that it be granted right-of-entry to begin grading prior to actual transfer of the land. Indemnification by Tultex Corporation would be made to the City of Roanoke as a part of the right-of-entry agreement, and the City would be held harmless for any risks associated with the construction of the project on City-owned land. Tultex will also be required to insure the City's interest during this period. A similar arrangement was entered into with Orvis, Inc. and Advance Stores Company, Inc. to allow them to begin their construction. Tultex will be expected to agree to the same terms. Do not authorize the City Manager to execute a right-of-entry agreement for Tultex. 1. Timing of construction would be jeopardized. 2o Economic Development program of the City of Roanoke would be hurt by delays in the Tultex project. V. Recommendation It is recommended that City Council approve Alternative A, authorizing the City Manager to execute a right-of-entry agreement allowing Tultex Corporation to enter City property, official Tax No. 7050107, for the purpose of constructing a sewing manufacturing plant on the terms and conditions set out in the attached right-of-entry agreement. PROPERTY. The Property to which this Agreement applies is an approximately 10.3 acre tract, being an as yet unsubdivided portion of Official Tax No. 7050107, which is the subject of and further described in an Option Agreement dated October 1, 1987, by and between the City and Tultex Corporation, and includes a right of access for construction purposes from Berkley Road across the remaining portion of Official Tax No. 705010?. 2. RIGHT OF ENTRY FOR CONSTRUCTION PURPOSES. With the written consent of the City Manager of the City of Roanoke, Tultex or its agents (hereinafter, the "Permittee") may enter upon the Property for purposes of commencing construction of a manufacturing facility thereon, after the issuance of all required permits, including zoning, site plan, soil and erosion and building permits. 3. INSURANCE. Prior to the Permittee entering upon or making any use of the Property or any part thereof put- suant to the provisions of Paragraph 2 above, the Permittee shall cause to be written a policy or policies of insurance in the form generally known as public liability policies, insuring the Permittee against any and all claims and demands made by any person or persons whomsoever for injuries incurred in connection with the construction, installation, operation or maintenance of the premises, improvements and buildings located on the Property and for any other risk insured against by such policies, which poli- cies shall have been written within limits of not less than $500,000 for damages incurred or claimed by any one person for bodily injury, or otherwise, plus $100,000 damages to property, and for not less than $1,000,000 for damages incurred or claimed by more than one person for bodily injury, or otherwise, plus $100,000 damages to property. All such policies shall name the Permittee and the City, as their respective interests may appear, as the persons insured by such policies; and a certificate of insurance evidencing such policy or policies shall be delivered by the Permittee to the City promptly upon the writing of such policies, together with adequate evidence of the fact that the premiums have been paid. 4. INDENNITY PROVISIONS. The Permittee shall indemnify and save harmless the City and its officers and employees against any and all claims, actions, debtS, demands, or -2- obligations which may be made against the City arising out of, or in connection with, any alleged act or omission of the Permittee or any person claiming under, by, or through the Permittee; during the period which agents enter upon or make any use of part thereof pursuant to the provisions ye; and if it becomes necessary the Permittee or its the Property or any of Paragraph 2 abo- for the City to defend any action seeking to impose such liability, the Permittee will pay the City all costs of court and attorneys' fees incurred by the City in effecting such defense in addition to any sums which the City may be called upon to pay by the entry of a judgment against the City in the in which such claim is asserted. reason of litigation 5.
