Council Members Bestpitch and Price were absent. The Invocation was delivered by Bishop Jamaal L. Jackson, ReFresh Roanoke. The Pledge of Allegiance to the Flag of the United States of America was led by Mayor Sherman P. Lea, Sr. Welcome. Mayor Lea. Mayor Lea welcomed Vice -Mayor Cobb to his first official Council Meeting. NOTICE: Today's Council meeting will be televised live and replayed on RVTV Channel 3 on Thursday, July 19 at 7:00 p.m., and Saturday, July 21 at 4:00 p.m.; and video streamed through Facebook Live at facebook.com / /RoanokeVa. Council meetings are offered with closed captioning for the hearing impaired. 1 ANNOUNCEMENTS: The Council of the City of Roanoke is seeking applications for the following current vacancies and /or upcoming expirations of terms of office: Fair Housing Board — two vacancies Unexpired term of office ending March 31, 2019 Unexpired term of office ending March 31, 2021 Human Services Advisory Board — one vacancy Unexpired term of office ending November 30, 2018 Personnel and Employment and Practices Commission — three vacancies Three -year terms of office ending June 30, 2021 Roanoke Public Library Board — one vacancy Unexpired term of office ending June 30, 2020 Roanoke Valley - Alleghany Regional Commission — one vacancy Three -year term of office ending June 30, 2021 Access the City's homepage to complete an online application for the abovementioned vacancies. 2. PRESENTATIONS AND ACKNOWLEDGEMENTS: NONE. 3. HEARING OF CITIZENS UPON PUBLIC MATTERS: City Council sets this time as a priority for citizens to be heard. All matters will be referred to the City Manager for response, recommendation or report to Council, as he may deem appropriate. David "Jacko" Lawhorn, 1710 Clinton Avenue, S. E., appeared before the Council regarding the renaming of Stonewall Jackson Middle School and gun violence in Roanoke City; and Robert Gravely, 3360 Hershberger Road, N. W., appeared before the Council regarding the termination of his employment with the City of Roanoke. K 4. CONSENT AGENDA: (APPROVED 5 -0, AS AMENDED) All matters listed under the Consent Agenda are considered to be routine by the Members of City Council and will be enacted by one motion. There will be no separate discussion of the items. If discussion is desired, the item will be removed from the Consent Agenda and considered separately. C -3 was removed from the Consent Agenda and considered separately inasmuch as Council Member Dykstra having advised of a personal conflict of interest. Mayor Lea called attention to two additional public hearing requests from the City Manager. C -1 Minutes of the regular meetings of City Council held on Monday, June 18, 2018; and Monday, July 2, 2018; and Organizational meeting of City Council held on Monday, July 2, 2018. RECOMMENDED ACTION: Dispensed with the reading of the minutes and approved as recorded. C -2 A communication from the City Manager requesting that Council convene in a Closed Meeting to discuss the disposition of approximately 12.10 acres of City -owned property, being three parcels located at 2839, 2903, and 0 Peters Creek Road, N. W., where discussion in an open meeting would adversely affect the bargaining position or negotiating strategy of the public body, pursuant to Section 2.2- 3711(A)(3), Code of Virginia (1950), as amended. RECOMMENDED ACTION: Concurred in the request. C -3 A communication from the City Manager requesting that Council convene in a Closed Meeting for discussion and consideration of the acquisition of real property for public purposes, pursuant to Section 2.2- 3711(A)(3), Code of Virginia (1950), as amended. REMOVED FROM THE CONSENT AGENDA AND CONSIDERED SEPARATELY. C -4 A communication from the City Clerk advising of the resignation of Rachel Wheaton as a member of the Roanoke Public Library Board, effective immediately. RECOMMENDED ACTION: Accepted the resignation and received and filed the communication. C -5 A communication from Peggy Bishop, Secretary, Roanoke Valley Resource Authority, transmitting a certified copy of Resolution RA #2018 -812 adopting a schedule of rates, fees and charges for the use of the Authority's system, effective July 1, 2018; and Roanoke Valley Resource Authority Waste Disposal Fees and Charges as of July 1, 2018. RECOMMENDED ACTION: Received and filed. 3 C -6 Reports of qualification of the following individuals: Mark K. Cathey, Laura D. Rottenborn and Richard M. Willis, Jr., as Trustees of the Roanoke City School Board for three -year terms of office, each, commencing July 1, 2018 and ending June 30, 2021; Patrick Williams as an Engineer representative of the Building and Fire Code Board of Appeals for a three -year term of office ending June 30, 2021; The Reverend Timothy Harvey as a Citizen at Large member of the Youth Services Citizen Board for a three -year term of office ending June 30, 2021; and Janet Carty and Greg Webster as members of the Roanoke Arts Commission for three -year terms of office, each, ending June 30, 2021. RECOMMENDED ACTION: Received and filed. A written communication from the City Manager requesting a public hearing be scheduled to be held on Monday, August 20, 2018, at 7:00 p.m., or as soon thereafter as the matter may be heard, to lease approximately 0.062 - acreas of City -owned property for the establishment of a wireless telecommunications facility in Preston Park, 3137 Preston Avenue, N. W. RECOMMENDED ACTION: Concurred in request. A written communication from the City Manager requesting a public hearing be scheduled to be held on Monday, August 20, 2018, at 7:00 p.m., or as soon thereafter as the matter may be heard, to lease approximately 0.064 - acreas of City -owned property for the establishment of a wireless telecommunications facility in Fallon Park, 502 19th Street, S. E. RECOMMENDED ACTION: Concurred in request. C -3 A communication from the City Manager requesting that Council convene in a Closed Meeting for discussion and consideration of the acquisition of real property for public purposes, pursuant to Section 2.2- 3711(A)(3), Code of Virginia (1950), as amended. Council Member Dykstra read a prepared Conflict of Interest Statement advising of a personal interest due to an interest by her employer, Boys & Girls Club of Southwest Virginia, Inc., in a lease transaction with Restoration Housing. Acceptance of the Virginia Homeless Solutions Grant Award from the Department of Housing and Community Development to support Continuum of Care strategies and homeless service and prevention programs. Acceptance of the FY 2017 Edward Byrne Memorial Justice Assistance Grant Program funds from the United States Department of Justice for use by the Roanoke Police Academy and Roanoke Sheriff's Office. Execution of an assistance agreement between the City of Roanoke and the Town of Vinton for the loan of a solid waste vehicle in emergency situations. Adopted Ordinance No. 41188 - 071618. (5 -0) COMMENTS OF THE CITY MANAGER. The City Manager commented on the following items: Plan Roanoke This week, the city will launch "Plan Roanoke," the process to develop its next Comprehensive Plan. On Thursday, July 19, staff will be in Market Square from 10:30 a.m. to 11:00 a.m., to begin the process of gathering input from citizens. • "Plan Roanoke" is an initiative to develop a new comprehensive plan — City Plan 2040 — over the next 18 months, and will include several phases. • Open House Meetings will be held in August at City library branches to invite citizens to tell us what Roanoke should look like in 20 years. • A website has been created where citizens can learn more and sign up to receive notifications: www.planroanoke.org. A digital survey is also posted on the site for public input. Fair Housing Seminar • The City's Fair Housing Board and the Department of Professional and Occupational Regulation will host a Fair Housing Seminar in Jefferson Center's Fitzpatrick Hall, 541 Luck Ave. on July 19 from 10:00 a.m. to 1:00 p.m. • The public is encouraged to attend. National Night Out • Tuesday, August 7 • Neighborhood events will heighten crime and drug prevention awareness; generate support for local anti -crime programs; and strengthen neighborhood spirit. • Public safety agencies, neighborhood organizations, neighborhood crime watch groups, and local officials will participate in the events. E., appeared before the Council to complain about not receiving advance notifications of ceremonial and public events being held in the Wildwood Civic League neighborhood; and lack of response from City departments regarding removal of overgrown trees in the 1500 block of East Gate Avenue. Mr. Craft extended an invitation to the Council and City Administration to meet with him and walk through the neighborhood in order to discuss matters of mutual interest and concern involving drugs and crime in the Wildwood community. Sarasota Area Command has also implemented an anti - trafficking program utilizing a similar model in partnership with the anti - trafficking organization, 'More To Life'. GEORGIA DIVISION In 2017 HavenATL has had an amazingyear. They averaged serving 25 women per week in our drop -in center program. This program provides individual case management, life skills classes, health and wellness classes, group therapy, individual counseling and a supportive community to grow and Flourish. HavenATL has an alumni program that offers support to the graduates of the program. Mentoring opportunities are provided to the ladies. We have incorporated a trauma - informed yoga instructor to work with the ladies and this has been a wonderful addition to our program. We have formed new community partnerships which have expanded our resources for the women in our program. We also have partnered with two major diversion courts which have increased our referrals. In 2017 we had nine graduates, the largest graduating class thus far for HavenAtl. HavenAtl is looking forward to the upcoming year and we feel blessed and honored to service women coming out of commercial sexual exploitation. MARYLAND AND WEST VIRGINIA DIVISION Since opening Catherine's Cottage in May 2018, the Salvation Army in Baltimore has been serving survivors oftrafficking in their home. This program provides a safe space for survivors to feel at home and empowered to move forward in their journey. The program has three phases and the team works to help each woman make steps towards their goals. Initially they provide shelter, clothing, toiletries and other immediate needs. Then, they create a case plan for each guest and help them set specific goals. They work to find the right next step whether that would be a long term program, transitional housing, employment or other opportunities. The Salvation Army in Baltimore is committed to offer services to survivors with dignity and compassion. They are part of the Baltimore Task Force and work together with other agencies to fight trafficking in their community. NATIONAL CAPITAL AND VIRGINIA DIVISION NCV Division currently has two anti - trafficking initiatives. Turning Point in Roanoke, Virginia is a secure safe haven shelter for trafficking survivors and follows a trauma - informed care approach to services following a wrap around case management model. They use the sanctuary model in the shelter and employ two full -time case managers and a full -time legal advocate, in addition to providing 24 -hour coverage for the shelter and hotline. Eight beds are reserved for trafficking survivors. After evaluating the gaps in services and greatest needs in the greater Washington DC region for human trafficking victims, The Salvation Army National Capital Area Command will be opening a new Anti -Human Trafficking Program in early 2018. The program will offer 24 -hour emergency response, with a low barrier residential component that will include comprehensive services designed to bring restoration to women and men who have been exploited for sex or labor. �W'.'. South Tarrit"W Anti TraRkkirg 2U17 year m review report NORTH CAROLINA DIVISION Project FIGHT served 92 people in 2017, of which 26 were opened to comprehensive case management services. Across the state of North Carolina, Project FIGHT leads three Rapid Response Teams, has a seat on the North Carolina Human Trafficking Commission and attends eight other task forces, rapid response meetings and coalitions. In 2017, Project FIGHT participated in six law enforcement operations providing resources and outreach to identified victims. Project FIGHT saw significant growth in capacity during 2017 with the expansion of our program into Greenville and Asheville, as well as, an additional case manager in Raleigh and a Lead Case Manager. Also, in 2017 Project FIGHT gained new leadership which has aided in defining new structure, streamlined case management and further growth as we look to the future. One of our greatest successes was that we supported a client in gaining her T -VISA which resulted in her children gaining legal residence as well. We took her to the airport on December 20th to joyously welcome her three children home after 10 years of separation. We could not have been more elated that this happened just in time for Christmas. Our generous community partners pulled Christmas gifts together and made sure they had plenty of food stocked up to celebrate this milestone. TEXAS DIVISION The Texas Division has continued to fight trafficking and provide services to survivors of trafficking in three different programs. The Mabee Center in Fort Worth runs a residential program for survivors of trafficking through their transitional program for women and children. They offer holistic care through individualized case management and empower survivors to work towards their goals. The Carr P. Collins Center has continued to work with local anti - trafficking providers to reserve beds when needed. They also continue to work with local law enforcement and partners to run a drop -in center for survivors of trafficking. In addition to providing AHT assessment and services through the Young Adult Resource Center (YARC) in Houston, we are collaborating with the City Mayors office through OVC funding to provide shelter beds for HT referrals and case management services. C. Upon pick up or delivery, City and Town representatives will inspect the Packer Truck or Packer Trucks prior to deployment and after deployment, and sign an acceptance letter for the equipment before and after each event. Such acceptance letter shall reflect the beginning and ending mileage showing in the odometer of any Packer Truck loaned to the Town. d. During the use of any Packer Truck, the Town will cover the City of Roanoke logos on all loaned equipment in a manner that does not damage the paint or exterior of any Packer Truck. e. At no time will a Packer Truck be borrowed by the Town for more than five (5) consecutive business days. f. Should the City need the services of any Packer Truck, or should the City wish to have any Packer Truck returned, for any reason or for no reason, the City shall notify the Town, in writing, that it wishes to have a particular Packer Truck returned to the City's Public Works Building by a date and time certain. Failure to return such Packer Truck by the stated deadline will constitute the Town's agreement to be responsible for the City's expenses incurred by the Town's failure to return the Packer Truck. {0172539_5.DOC ) 3 Draft Date: 06.11.2018 g. The Town shall perform the daily maintenance upon any Packer Truck loaned to it pursuant to this Agreement prior to use. Such maintenance is described in Attachment A. 4. Duties of City: Following receipt of the Town's request to borrow a Packer Truck or Packer Trucks, the Manager of the Solid Waste Division for the City shall notify the appropriate chain of command of the request and determine which Packer Truck or Packer Trucks, if any, may be available to respond to the Town's request for assistance. The determination of whether a Packer Truck is available to loan to the Town under this Agreement shall be within the sole and absolute discretion of the City Manager for the City or the City Manager's designee. 5. Denial of Request by City: The City's rendering of assistance under the terms of this Agreement shall not be mandatory however, in the event assistance is denied, the City's solid waste management representative receiving the Town's request shall immediately inform the Town's representative of the reason assistance cannot be rendered. 6. Charges for Emergency Rental of Packer Trucks: Any Packer Truck loaned under this Agreement shall be borrowed at a rate of $4.50 per mile, measured from the City's Public Works Building. The City will provide a full tank of fuel upon dispatch of the Packer Truck, and the Town shall return the equipment with a full tank of fuel. Failure to return the Packer Truck with a full tank of fuel shall result in the Town being charged $3.50 per gallon or the prevailing retail rate in the City of Roanoke in the (002s3e25.Doc ) 4 Draft Date: 06.11.2018 immediate vicinity of the Public Works Building for the fuel used by the Packer Truck, whichever is higher. Any funds due the City under this Agreement shall be paid to the City within thirty (30) days. 7. Governmental Tasks: The parties shall be deemed to be operating in a governmental capacity, inclusive of liability for injuries to property, employees, or third parties which may occur as the result of the rental and operation of any Packer Truck pursuant to this Agreement. 8. Insurance: a. Requirement of insurance. The Town shall, at its sole expense, obtain and maintain during the life of this Agreement the insurance policies required by this section. Any required insurance policies shall be effective prior to the beginning of any work or other performance by the Town under this Agreement. The following policies and coverages are required: (1). Commercial General Liabilitv. Commercial general liability insurance shall insure against all claims, loss, cost, damage, expense or liability from loss of life or damage or injury to persons or property arising out of the Town's performance under this Agreement. The minimum limits of liability for this coverage shall be $1,000,000.00 combined single limit for any one occurrence. (2). Contractual Liabilitv. Broad form contractual liability insurance shall include the indemnification obligation set forth in section 9 of this Agreement. f00253925.EOC ) 5 Draft Date: 06.11.2018 (3). Workers' Compensation. Workers' compensation insurance covering the Town's statutory obligation under the laws of the Commonwealth of Virginia and employer's liability insurance shall be maintained for all its employees engaged in work under this Agreement. Minimum limits of liability for employer's liability shall be one hundred thousand dollars and no cents ($100,000.00) bodily injury by accident each occurrence; five hundred thousand dollars and no cents ($500,000.00) bodily injury by disease (policy limit); and one hundred thousand dollars and no cents ($100,000.00) bodily injury by disease (each employee). With respect to workers' compensation coverage, the Town's insurance company shall waive rights of subrogation against the City, its officers, employees, agents, volunteers and representatives. (4). Automobile Liability. The minimum limit of liability for automobile liability insurance shall be $1,000,000.00 combined single limit applicable to owned or non -owned vehicles used in the performance of any work under this Agreement. b. Umbrella Coverage. The insurance coverages and amounts set forth in subsections (1), (2), (3), and (4) of this section may be met by an umbrella liability policy following the form of the underlying primary coverage in a minimum amount of $1,000,000.00. Should an umbrella liability insurance coverage policy be used, such coverage shall be accompanied by a certificate of endorsement stating that it applies to the specific policy numbers indicated for the insurance providing the coverages required ,011253925.COC , 6 Draft Date: 06.11.2018 by subsections (1), (2), (3), and 4), and it is further agreed that such statement shall be made a part of the certificate of insurance furnished by the Town to this City. C. Primary and Noncontributory. The Town agrees that the insurance provided by the Town pursuant to this Agreement shall be primary and shall not seek contribution from any other insurance available to the City. requirements: d. Evidence of Insurance. All insurance shall meet the following (1). Prior to execution of this Agreement, the Town shall furnish the City a certificate or certificates of insurance showing the type, amount, effective dates and date of expiration of the policies. Such certificates shall be attached to this Agreement at the time of execution of this Agreement and shall be furnished in a timely fashion to demonstrate continuous and uninterrupted coverage of all of the required forms of insurance for the entire term of this Agreement. (2). It shall be the responsibility of the Town's Public Works representative to notify the City should the insurance covered by this certificate be cancelled or materially altered. (3). The required certificate or certificates of insurance shall name the City of Roanoke, its officers, employees, agents, volunteers and representatives as additional insureds. Where waiver of subrogation is required with respect to any policy of insurance required under this section, such waiver shall be specified on the certificate of insurance. (5). Insurance coverage shall be in a form and with an insurance company approved by the City which approval shall not be unreasonably withheld. Any insurance company providing coverage under this Agreement shall be authorized to do business in the Commonwealth of Virginia. The maximum amount of any deductible under any and all insurance coverage shall not exceed $ 9. Indemnification: To the extent permitted by law, the Town agrees and binds itself, and its officers, employees, agents, volunteers, and representatives, its successors and assigns to indemnify, keep and hold the City and its officers, employees, agents, volunteers and representatives free and harmless from any liability on account of any injury or damage of any type to any person or property, including any Packer Truck which is loaned pursuant to this Agreement, growing out of or directly or indirectly resulting from any act or omission of the Town, including: (a) the Town's use of the streets of the City; (b) the Town's use or maintenance of any of the Packer Trucks which are the subject of this Agreement; (c) the exercise of any right or privilege granted by or under this Agreement; or (d) the failure, refusal or neglect of the Town to perform any duty imposed upon or assumed by the Town by or under this Agreement. In the event that any suit or proceeding shall be brought against the City or any of its officers, employees, agents, volunteers or representatives at law or in equity, either independently {00253525.DOC 7 8 Draft Date: 06.11.2018 or jointly with the Town on account thereof, the Town, upon notice given to it by the City or any of its officers, employees, agents, volunteers or representatives, will pay all costs of defending the City or any of its officers, employees, agents, volunteers or representatives in any such action or other proceeding. In the event of any settlement or any final judgment being awarded against the City or any of its officers, employees, agents, volunteers or representatives, either independently or jointly with the Town, then the Town will pay such settlement or judgment in full or will comply with such decree, pay all costs and expenses of whatsoever nature and hold the City or any of its officers, employees, agents, volunteers or representatives harmless therefrom. 10. Regulations: the Town shall fully comply with all local, state, and federal ordinances, laws, and regulations. Only persons to whom a valid Commercial Driver's License has been issued shall be allowed to operate any Packer Truck loaned to the Town pursuant to this Agreement. 11. Negotiation: This Agreement has been fully negotiated by and between the parties and shall be construed as if both parties had an equal responsibility in the drafting hereof. 12. Entire Agreement: This Agreement represents the entire integrated agreement between the parties and supersedes all prior negotiations, representations or agreements, either written or oral. Approximately 90 percent of this distance will be overhead lines utilizing existing utility poles, with the remaining 10 percent placed underground. In August 2017, Shentel requested a Temporary Nonexclusive Revocable License Agreement for the right for Shentel to install fiber optic cable on various City school properties to provide network telecommunication services from the City's public right -of -way to Roanoke City Public Schools. Considerations: Shentel and City staff have negotiated a Temporary Nonexclusive Revocable License Agreement that will allow Shentel to use various City school properties to install and operate a telecommunication system or facilities to provide telecommunications services from the City's public right -of -way to Roanoke City Public Schools. Such License Agreement is substantially similar to other license agreements that have been granted by the City to other telecommunications providers operating in the City. Such License Agreement provides that Shentel will be granted a License Agreement for the term of five years and year to year thereafter until the adoption of a telecommunications regulatory ordinance, franchise and /or agreement that the City may adopt in the future, and that Shentel will comply with any such future telecommunications regulatory ordinance, license, and /or franchise that the City may adopt, in accordance with the law that may be applicable to such matter. The License Agreement provides that Shentel will owe the City and /or the Commonwealth of Virginia any fees and other compensation that may be allowed and are due in accordance with the law to the City and the Commonwealth of Virginia under applicable federal, state, and local laws, ordinances, and regulations. The License Agreement also provides that Shentel will comply with the City's Right of Way Excavation and Restoration Standards with regard to any work that it does in the City's public ways. A copy of the proposed License Agreement is attached to this letter together with a map showing the general fiber route that Shentel intends to install on various City school properties. The Department of Technology and other City departments have reviewed Shentel's request for the License Agreement and the proposed route for installation of fiber and other facilities on various City school properties. The Department of Technology, in consultation with the Transportation Division and the Director of Public Works, has no objections to the request of Shentel for the License Agreement, and believes that the License Agreement will protect the City's interest in being able to manage various City school properties. Recommended Action: Authorize the City Manager to execute a Nonexclusive Revocable License Agreement with Shentel Communications, LLC that allows Shentel to construct, maintain, and operate telecommunications facilities on various City school properties, as set forth above and in the License Agreement. The conditions include a proffered development plan and limited use, specifically as a child day care center with unlimited capacity. The child care center operated for many years at the site. During the 2005 Comprehensive Rezoning the zoning of the property was changed from C -1, Office District, to IN, Institutional District, but the proffered conditions remained the same. In 2012 a rezoning request was made to rezone the property to RMF for an 84 unit apartment complex. The request was withdrawn. The applicant wishes to amend the proffered conditions to allow a private school on the site. The applicant met with neighbors and crafted the new conditions in response to input from neighbors. Proposed Use /Development: The proposed new use is a private school in the existing buildings with some minor changes to the overall site. The amended development plan adds a playground in the front of the existing buildings. The amendment would expand the range of uses permitted and add a limitation on the number of enrolled students to 90. Considerations: Compatibility with Surrounding Land Uses: The property is located near the village center area at King Street and Gus Nicks and surrounded by mixed - density and single - family residential zoning districts as shown on the Zoning District Map (Attachment A). The request is consistent with the Hollins /Wildwood Area Plan future land use map, which designates the property for institutional use. Consistency with Comprehensive Plan: The City of Roanoke Comprehensive Plan supports quality educational opportunities for children within the City of Roanoke. Educational facilities are part of neighborhoods throughout the community and enhance the ability to live, work, and play within the city. The changes proposed for the property retain a child- focused use, while changing little of the built environment on the site. Comments on Application: Planning Commission Work Session: The following items were discussed in the Planning Commission Work Session for compliance with City policy and ordinances. ■ Remove the operational portion of proffer "no more than 90 children shall be accommodated in the existing buildings" from proposed proffered conditions so that the building code only dictates the number of people allowed in the building. Interdepartmental Comments: Planning Building and Development ■ Need an evaluation of the building by a registered design professional to determine whether or not the building is compliant as is or work needs to be performed to bring it into compliance with the new use. A complete packet must be submitted each time an application is amended, unless otherwise specified by staff, NARRATIVE The property at 2619 Belle Avenue (Tax Map Nos. 3410302 through 3410307) is zoned IN - Institutional with a condition that it be used for a child day care center with unlimited capacity. That condition was established in 1999. Prior to 1999, the property had been used as a worship center. After the day care center ceased its operations in the facility, other uses of the property have been sought. In 2012, for instance, a rezoning application was filed seeking to rezone the property for an 84 -unit apartment complex. That application was ultimately withdrawn. Other efforts to redevelop the site for a multi- family development were considered but not pursued after consultations with neighbors. The owner of the property, MCE Owner Occupied, LLP, and The McLeod Family Foundation are prepared to resume the use of the facilities on the property for child centered purposes. The McLeod Family Foundation was founded in 1996 by John and Kathy McLeod as an organization dedicated to improving the lives of children and families in the Roanoke Valley. The Foundation has funded an endowment at Virginia Western Community College, providing scholarships to students pursuing a degree in early childhood education and has also invested in area nonprofit organizations focused on assisting low income families. Those organizations include Total Action Against Poverty, Habitat for Humanity, Big Brothers Big Sisters, and Family Promise. To date, the Foundation has provided almost $1 million dollars in grants to benefit Roanoke Valley children and families. As a result of its work and interaction with local nonprofit organizations, the Foundation shifted its focus in 2013 in order to make a direct impact on families. The Foundation began offering personal finance classes free of charge to low income families and began an Individual Development Account program that offered $1 to $1 matching grants to families saving towards a new home, education or starting a business. Last year, 140 families registered and attended classes hosted throughout the Roanoke Valley. Over 100 of those families invested in an Individual Development Account. That same year 8 families purchased a home, over 70 individuals started or strengthened a business, and many more started saving and building credit. The Foundation is now prepared to play a greater role in breaking the chains of generational poverty. Generational poverty occurs when at least two generations have been born into poverty. Families living in this type of poverty are not equipped with the skills needed to move out of their current situation. Statistics show that the majority of children born into poverty remain in poverty for their lifetimes. To provide an opportunity to break that cycle, the Foundation will fund a private school which will operate on the subject property. Starting with a kindergarten class of 15 children in 2018, each child will receive a full scholarship, extensive field trips, hands -on experiential learning and mentorship from local entrepreneurs. While the private school will offer the required academic course work in order to meet the Virginia Standards of Learning, the curriculum will be enhanced with visiting lectures, and will focus on tools for life success, and include programs related to character, values, and life skills. Childcare in the early morning and evening will be provided with an array of play and educational opportunities. Childcare will be provided in the summer so that enrolled children will have summer educational opportunities similar to those during the academic year, including frequent field trips. Transportation to and from school will be provided. Three meals a day during weekday operations will be provided. Starting with a class of 15 kindergartners, a class of 15 children each year will be added. For example, in 2019, the 2018 kindergarten class will then be first graders, with 15 new children enrolled in kindergarten. Over time, up to 90 children will be enrolled in the school, 15 in each grade. Except to add a playground and make repairs, no modifications to the exterior of the buildings on the property will be needed. A development plan showing the current configuration of the buildings on the property and the location of the new playground and on -site parking has been submitted. Given that children will be transported to the location by bus, the on -site parking shown on the development plan is more than adequate to meet parking needs. Should an additional building be needed in the future, the proffered development plan would need to be updated and approved through the same public process now underway. Even though the child day care use of the property is already permitted under the current zoning conditions, the addition of the educational facilities use requires that the conditions imposed in 1999 be amended. No rezoning is required, however, since the education facilities and the park or playground uses are permitted in the IN zoning district. And, rather than retain the current condition associated with the child day care use — which places no limit on the number of children served - the proposed amendment would limit the maximum number of children who could be enrolled in the school at any one time to 90. By way of contrast, under applicable regulations, the number of children who could be accommodated under the current zoning condition in a child day care center would be 153. Among the purposes of the City's IN zoning district are to ensure the proper functioning of institutional uses and to recognize their unique needs while minimizing potential adverse impacts on adjacent land uses. The amendments to the proffered conditions sought by this application will allow the property to be updated and used in a fashion complementary to the historic institutional uses of the property. While doing so, it will be providing opportunities for tomorrow's citizens to reach their full personal and civic potential. NARRATIVI- The property at 2619 Belle Avenue (Tax Map Nos. 3410302 through 3410307) is zoned IN Institutional with a condition that it be used for a child day care center with unlimited capacity. That condition was established in 1999. Prior to 1999, the property had been used as a worship center. After the day care center ceased its operations in the facility, other uses of the property have been sought. In 2012, for instance, a rezoning application was filed seeking to rezone the property for an 84 -unit apartment complex. That application was ultimately withdrawn. Other efforts to redevelop the site for a multi- family development were considered but not pursued after consultations with neighbors. The owner of the property, MCI; Owner Occupied, LLP, and The McLeod Family Foundation are prepared to resume the use of the facilities on the property for child centered purposes. The McLeod Family Foundation was founded in 1996 by John and Kathy McLeod as an organization dedicated to improving the lives of children and families in the Roanoke Valley, The Foundation has funded an endowment at Virginia Western Community College, providing scholarships to students pursuing a degree in early childhood education and has also invested in area nonprofit organizations focused on assisting low income families. Those organizations include Total Action Against Poverty, Habitat for Humanity, Big Brothers Big Sisters, and Family Promise. To date, the Foundation has provided almost $1 million dollars in grants to benefit Roanoke Valley children and families. As a result of its work and interaction with local nonprofit organizations, the Foundation shifted its focus in 2013 in order to make a direct impact on families. The Foundation began offering personal finance classes free of charge to low income families and began an Individual Development Account program that offered $1 to $1 matching grants to families saving towards a new home, education or starting a business. Last year, 140 families registered and attended classes hosted throughout the Roanoke Valley. Over 100 of those families invested in an Individual Development Account. That same year 8 families purchased a home, over 70 individuals started or strengthened a business, and many more started saving and building credit. The Foundation is now prepared to play a greater role in breaking the chains of generational poverty. Generational poverty occurs when at least two generations have been born into poverty. Families living in this type of poverty are not equipped with the skills needed to move out of their current situation. Statistics show that the majority of children born into poverty remain in poverty for their lifetimes. To provide an opportunity to break that cycle, the Foundation will fund a private school which will operate on the subject property. Starting with a kindergarten class of 15 children in 2018, each child will receive a full scholarship, extensive field trips, hands -on experiential learning and mentorship from local entrepreneurs. While the private school will offer the required academic course work in order to meet the Virginia Standards of Learning, the curriculum will be enhanced with visiting lectures, and will focus on tools for life success, and include programs related to character, values, and life skills. Childeare in the early morning and evening will be provided with an array of play and educational opportunities. Childcare will be provided in the summer so that enrolled children will have summer educational opportunities similar to those during the academic year, including frequent field trips. Transportation to and from school will be provided. "three meals a day during weekday operations will be provided. Starting with a class of 15 kindergartners, a class of 15 children each year will be added. For example, in 2019, the 2018 kindergarten class will then be first graders, with 15 new children enrolled in kindergarten. Over time, up to 90 children will be enrolled in the school, 15 in each grade. Except to add a playground and make repairs, no modifications to the exterior of the buildings on the property will be needed. A development plan showing the current configuration of the buildings on the property and the location of the new playground and on -site parking has been submitted. Given that chi ldren will be transported to the location by bus, the on -site parking shown on the development plan is more than adequate to meet parking needs. Should an additional building be needed in the future, the proffered development plan would need to be updated and approved through the same public process now underway. Even though the child day care use of the property is already permitted under the current zoning conditions, the addition of the educational facilities use requires that the conditions imposed in 1999 be amended. No rezoning is required, however, since the education facilities and the park or playground uses are permitted in the IN zoning district. And, rather than retain the current condition associated with the child day care use — which places no limit on the number of children served - the proposed amendment would limit the maximum number of children who could be served by either the day care or the educational facilities use to 90. By way of contrast, under applicable regulations, the number of children who could be accommodated under the current zoning condition in a child day care center would be 153. Among the purposes of the City's IN zoning district are to ensure the proper functioning of institutional uses and to recognize their unique needs while minimizing potential adverse impacts on adjacent land uses. The amendments to the proffered conditions sought by this application will allow the property to be updated and used in a fashion complementary to the historic institutional uses of the property. While doing so, it will be providing opportunities for tomorrow's citizens to reach their full personal and civic potential. A RESOLUTION AUTHORIZING THE ISSUANCE AND SALE OF NOT TO EXCEED FORTY -TWO MILLION SEVEN HUNDRED SIXTY -FIVE THOUSAND DOLLARS ($42,765,000) AGGREGATE PRINCIPAL AMOUNT OF GENERAL OBLIGATIONS OF THE CITY OF ROANOKE, VIRGINIA, IN THE FORM OF GENERAL OBLIGATION PUBLIC IMPROVEMENT BONDS OF THE CITY, FOR THE PURPOSE OF PROVIDING FUNDS TO PAY THE COSTS OF THE ACQUISITION, CONSTRUCTION, RECONSTRUCTION, IMPROVEMENT, EXTENSION, ENLARGEMENT AND EQUIPPING OF VARIOUS PUBLIC IMPROVEMENT PROJECTS OF AND FOR THE CITY (INCLUDING RELATED DESIGN AND ARCHITECTURAL AND ENGINEERING SERVICES); FIXING THE FORM, DENOMINATION AND CERTAIN OTHER DETAILS OF SUCH BONDS; AND OTHERWISE PROVIDING WITH RESPECT TO THE ISSUANCE, SALE AND DELIVERY OF SUCH BONDS; AND AUTHORIZING AND PROVIDING FOR THE ISSUANCE AND SALE OF A LIKE PRINCIPAL AMOUNT OF GENERAL OBLIGATION PUBLIC IMPROVEMENT BOND ANTICIPATION NOTES IN ANTICIPATION OF THE ISSUANCE AND SALE OF SUCH BONDS, WHEREAS, in the judgment of the Council (the "Council ") of the City of Roanoke, Virginia (the "City "), it is desirable (i) to authorize the City to contract a debt and to authorize the issuance of not to exceed $42,765,000 aggregate principal amount of general obligations of the City, in the form of General Obligation Public Improvement Bonds of the City (the "Bonds "), for the purpose of providing funds to pay the costs of the acquisition, construction, reconstruction, improvement, extension, enlargement and equipping of various public improvement projects of and for the City (including related design and architectural and engineering services), (ii) to authorize the issuance of a like principal amount of General Obligation Public Improvement Bond Anticipation Notes (the "Notes ") in anticipation of the issuance of such Bonds and (iii) to authorize the sale of such Bonds and such Notes; NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROANOKE, VIRGINIA: SECTION 1. (a) Pursuant to Chapter 26 of Title 15.2 of the Code of Virginia, 1950, as amended, the same being the Public Finance Act of 1991 (the "Public Finance Act of 1991"), for the purpose of providing net proceeds of sale (after taking into account costs of issuance, underwriting compensation and original issue discount) to pay the costs of the acquisition, construction, reconstruction, improvement, extension, enlargement and equipping of 3093545.1 042494 RSIND various public improvement projects of and for the City (including related design and architectural and engineering services) as set forth in Section 7, the City is authorized to contract a debt and to issue in one or more series from time to time not to exceed Forty -Two Million Seven Hundred Sixty -Five Thousand Dollars ($42,765,000) aggregate principal amount of general obligation bonds of the City to be designated and known as the "City of Roanoke, Virginia, General Obligation Public Improvement Bonds." (b) The Bonds shall be issued and sold in their entirety at one time, or from time to time in part in series, as shall be determined by the Director of Finance. There shall be added to the designation of the Bonds a series designation determined by the Director of Finance. The Bonds shall be issued in fully registered form in the denomination of $5,000 each or any integral multiple thereof. The Bonds of a given series shall be numbered from No. R -1 upwards in order of issuance. The Bonds shall bear interest from their date payable on such date and semiannually thereafter as shall be determined by the City Manager and the Director of Finance in accordance with the provisions of Section 8 hereof. The Bonds of each series shall be issued in such aggregate principal amounts (not exceeding the aggregate principal amount specified in Section 1(a) hereof); and shall mature on such dates and in such years (but in no event exceeding forty (40) years from their date or dates), and in the principal amount in each such year, as shall be determined by the City Manager and the Director of Finance in accordance with the provisions of Section 8 hereof. Interest on the Bonds shall be calculated on the basis of a three hundred sixty (360) day year comprised of twelve (12) thirty (30) day months. (c) The Bonds (or portions thereof in installments of $5,000) may be subject to redemption at the option of the City prior to their stated maturities, in whole or in part from time to time on any date, in such order as may be determined by the City (except that if at any time less than all of the Bonds of a given maturity are called for redemption, the particular Bonds or portions thereof in installments of $5,000 of such maturity to be redeemed shall be selected by lot), upon payment of such redemption prices (expressed as a percentage of the principal amount of the Bonds to be redeemed), together with the interest accrued thereon to the date fixed for the redemption thereof, as shall be determined by the City Manager and the Director of Finance in accordance with the provisions of Section 8 hereof. (d) (i) If any Bond (or any portion of the principal amount thereof in installments of $5,000) shall be called for redemption, notice of the redemption thereof, specifying the date, number and maturity of such Bond, the date and place or places fixed for its redemption, and if less than the entire principal amount of such Bond is to be redeemed, that such Bond must be surrendered in exchange for the principal amount thereof to be redeemed and a new Bond or Bonds issued equalling in principal amount that portion of the principal amount thereof not to be redeemed, shall be mailed not less than thirty (30) days prior to the date fixed for redemption, by first class mail, postage prepaid, to the registered owner thereof at the address of such registered owner as it appears on the books of registry kept by the Registrar and Paying Agent as of the close of business on the forty -fifth (45th) day next preceding the date fixed for redemption. If notice of the redemption of any Bond shall have been given as aforesaid, and payment of the principal amount of such Bond (or the portion of the principal amount thereof to be redeemed) and of the accrued interest payable upon such redemption shall have been duly 2 309354.1 042494 RSIND made or provided for, interest thereon shall cease to accrue from and after the date so specified for the redemption thereof. (ii) Any notice of the optional redemption of the Bonds may state that it is conditioned upon there being on deposit with the City on the date fixed for the redemption thereof an amount of money sufficient to pay the redemption price of such Bonds, together with the interest accrued thereon to the date fixed for the redemption thereof, and any conditional notice so given may be rescinded at any time before the payment of the redemption price of such Bonds, together with the interest accrued thereon, is due and payable if any such condition so specified is not satisfied. If a redemption of any Bonds does not occur after a conditional notice is given due to there not being on deposit with the City a sufficient amount of money to pay the redemption price of such Bonds, together with the interest accrued thereon to the date fixed for the redemption thereof, the corresponding notice of redemption shall be deemed to be revoked. (iii) So long as the Bonds are in book -entry only form, any notice of redemption shall be given only to The Depository Trust Company, New York, New York ( "DTC "), or to its nominee. The City shall not be responsible for providing any beneficial owner of the Bonds any notice of redemption. SECTION 2. The full faith and credit of the City shall be and is irrevocably pledged to the punctual payment of the principal of and interest on the Bonds as the same become due. In each year while the Bonds, or any of them, are outstanding and unpaid, this Council is authorized and required to levy and collect annually, at the same time and in the same manner as other taxes of the City are assessed, levied and collected, a tax upon all taxable property within the City, over and above all other taxes, authorized or limited by law and without limitation as to rate or amount, sufficient to pay when due the principal of and interest on the Bonds to the extent other funds of the City are not lawfully available and appropriated for such purpose. SECTION 3. (a) The Bonds shall be executed, for and on behalf of the City, by the manual or facsimile signature of the Mayor of the City and shall have a facsimile of the corporate seal of the City imprinted thereon, attested by the manual or facsimile signature of the City Clerk of the City. (b) The Director of Finance is hereby authorized to appoint a Registrar and Paying Agent for the Bonds (the "Registrar and Paying Agent "). (c) The Director of Finance shall direct the Registrar and Paying Agent to authenticate the Bonds and no Bond shall be valid or obligatory for any purpose unless and until the certificate of authentication endorsed on each Bond shall have been manually executed by an authorized signatory of the Registrar and Paying Agent. Upon the authentication of any Bonds the Registrar and Paying Agent shall insert in the certificate of authentication the date as of which such Bonds are authenticated as follows: (i) if a Bond is authenticated prior to the first interest payment date, the certificate shall be dated as of the date of the initial issuance and delivery of the Bonds of the series of Bonds of which such Bond is one, (ii) if a Bond is 3 3093545.1 042494 RS1ND authenticated upon an interest payment date, the certificate shall be dated as of such interest payment date, (iii) if a Bond is authenticated after the fifteenth (15th) day of the calendar month next preceding an interest payment date and prior to such interest payment date, the certificate shall be dated as of such interest payment date and (iv) in all other instances the certificate shall be dated as of the interest payment date next preceding the date upon which the Bond is authenticated. In the event the Bonds of any series shall be dated as of a date other than the first day of a calendar month or the dates on which interest is payable on such series are other than the first days of calendar months, the provisions of this Section 3(c) with regard to the authentication of such Bonds and of Section 9 hereof with regard to the form of such Bonds shall be modified as the Director of Finance shall determine to be necessary or appropriate. (d) The execution and authentication of the Bonds in the manner set forth above is adopted as a due and sufficient authentication of the Bonds. SECTION 4. (a) The principal of and interest on the Bonds shall be payable in such coin or currency of the United States of America as at the respective dates of payment thereof is legal tender for public and private debts. The principal of the Bonds shall be payable upon presentation and surrender thereof at the office of the Registrar and Paying Agent. Interest on the Bonds shall be payable by check mailed by the Registrar and Paying Agent to the registered owners of such Bonds at their respective addresses as such addresses appear on the books of registry kept pursuant to this Section 4; provided, however, that so long as the Bonds are in book -entry form and registered in the name of Cede & Co., as nominee of DTC, or in the name of such other nominee of DTC as may be requested by an authorized representative of DTC, interest on the Bonds shall be paid directly to Cede & Co. or such other nominee of DTC by wire transfer. (b) At all times during which any Bond of any series remains outstanding and unpaid, the Registrar and Paying Agent for such series shall keep or cause to be kept at its office books of registry for the registration, exchange and transfer of Bonds of such series. Upon presentation at its office for such purpose the Registrar and Paying Agent, under such reasonable regulations as it may prescribe, shall register, exchange or transfer, or cause to be registered, exchanged or transferred, on the books of registry the Bonds as hereinbefore set forth. (c) The books of registry shall at all times be open for inspection by the City or any duly authorized officer thereof. (d) Any Bond may be exchanged at the office of the Registrar and Paying Agent for such series of Bonds for a like aggregate principal amount of such Bonds in other authorized principal sums of the same series, interest rate and maturity. (e) Any Bond of any series may, in accordance with its terms, be transferred upon the books of registry by the registered owner of such Bond in person or by the duly authorized attorney for such registered owner, upon surrender of such Bond to the Registrar and Paying Agent for cancellation, accompanied by a written instrument of transfer duly executed by 0 3093545.1 042494 RS[ND the registered owner in person or by the duly authorized attorney for such registered owner, in form satisfactory to the Registrar and Paying Agent. (f) All transfers or exchanges pursuant to this Section 4 shall be made without expense to the registered owners of such Bonds, except as otherwise herein provided, and except that the Registrar and Paying Agent for such series of Bonds shall require the payment by the registered owner of the Bond requesting such transfer or exchange of any tax or other governmental charges required to be paid with respect to such transfer or exchange. All Bonds surrendered pursuant to this Section 4 shall be cancelled. (g) (i) The Bonds shall be issued in full book -entry form. One Bond representing each maturity of the Bonds will be issued to and registered in the name of Cede & Co., as nominee of DTC, as registered owner of the Bonds, and each such Bond will be immobilized in the custody of DTC. DTC will act as securities depository for the Bonds. Individual purchases will be made in book -entry form only, in the principal amount of $5,000 or any integral multiple thereof. Purchasers will not receive physical delivery of certificates representing their interest in the Bonds purchased. (ii) Principal and interest payments on the Bonds will be made by the Registrar and Paying Agent to DTC or its nominee, Cede & Co., as registered owner of the Bonds, which will in turn remit such payments to the DTC participants for subsequent disbursal to the beneficial owners of the Bonds. Transfers of principal and interest payments to DTC participants will be the responsibility of DTC. Transfers of such payments to beneficial owners of the Bonds by DTC participants will be the responsibility of such participants and other nominees of such beneficial owners. Transfers of ownership interests in the Bonds will be accomplished by book entries made by DTC and, in turn, by the DTC participants who act on behalf of the indirect participants of DTC and the beneficial owners of the Bonds. (iii) The City will not be responsible or liable for sending transaction statements or for maintaining, supervising or reviewing records maintained by DTC, its participants or persons acting through such participants or for transmitting payments to, communicating with, notifying, or otherwise dealing with any beneficial owner of the Bonds. SECTION 5. (a) CUSIP identification numbers may be printed on the Bonds, but no such number shall constitute a part of the contract evidenced by the particular Bond upon which it is printed; no liability shall attach to the City or any officer or agent thereof (including any paying agent for the Bonds) by reason of such numbers or any use made thereof (including any use thereof made by the City, any such officer or any such agent) or by reason of any inaccuracy, error or omission with respect thereto or in such use; and any inaccuracy, error or omission with respect to such numbers shall not constitute cause for failure or refusal by the successful bidder or purchaser to accept delivery of and pay for the Bonds in accordance with the terms of its bid. All expenses in connection with the assignment and printing of CUSIP numbers on the Bonds shall be paid by the City; provided, however, that the CUSIP Service Bureau charge for the assignment of such numbers shall be the responsibility of the successful bidder for or purchaser of the Bonds. 5 3093545.1 042494 MIND (b) A copy of the final legal opinion with respect to the Bonds, with the name of the attorney or attorneys rendering the same, together with a certification of the City Clerk, executed by a facsimile signature of that officer, to the effect that such copy is a true and complete copy (except for letterhead and date) of the legal opinion which was dated as of the date of delivery of and payment for the Bonds, may be printed on the Bonds. SECTION 6. To the extent it shall be contemplated at the time of their issuance that the interest on any Bonds issued hereunder shall be excludable from gross income for purposes of federal income taxation, the City covenants and agrees that it shall comply with the provisions of Sections 103 and 141 -150 of the Internal Revenue Code of 1986, as amended, and the applicable Treasury Regulations promulgated under such Sections 103 and 141 -150 so long as any such Bonds are outstanding. SECTION 7. (a) The Bonds shall be sold at negotiated or competitive sale on such date or dates and at such price or prices as shall be determined by the City Manager and the Director of Finance. The City Manager and the Director of Finance are further authorized to fix the rates of interest to be borne by the Bonds of each maturity of each series as specified in the bid accepted by them in accordance with the immediately preceding sentence. The CIP included planned debt issuance in, FY 2019 in the amount of $41,100,000 for the following projects: ■ School Facility Maintenance and Improvements - $12,700,000 Funding provides for Fallon Park reconstruction and various other school improvements. ■ Library Master Plan - $670,000 Funding provides for Gainsboro Roanoke E- Branch. Library renovations and the South ■ Parks and Recreation Master Plan - $2,500,000 Funding provides for Roanoke River Bridge the Gap project and other Parks and Recreation Master Plan projects. • Civic Center Improvements- $1,500,000 Funding provides for capital maintenance improvements at the Berglund Center.
