2. PRESENTATIONS AND ACKNOWLEDGEMENTS:
Presentation of the Government Finance Officers Association Certificate of
Achievement for Excellence in Financial Reporting for the City's Comprehensive
Annual Financial Report (CAFR) for the Fiscal Year ended 2017.
Presented two GFOA awards to the Director of Finance and staff.
Vice -Mayor Cobb expressed appreciation to the members of the SMART
Transportation Division Local Union 363 for the donation of 40 backpacks
filled with school supplies that were received on Saturday, September 1,
2018, prior to the Western Virginia Labor Federation Annual Labor Day
Parade.

3. HEARING OF CITIZENS UPON PUBLIC MATTERS:
City Council sets this time as a priority for citizens to be heard. All matters will be
referred to the City Manager for response, recommendation or report to Council,
as he may deem appropriate.
Khalid Jones and Habibah Jones, representatives of the Black Diamond
School of Beauty, appeared before the Council to seek assistance for its
cosmetology (beauty and barber) program, which is no longer funded
through the Workforce Opportunity Innovative Act (WOIA).
Robert Gravely appeared before the Council to once again speak about his
termination from employment with the City.
4. CONSENT AGENDA:
(APPROVED 5 -0, AS AMENDED)
All matters listed under the Consent Agenda are considered to be routine by the
Members of City Council and will be enacted by one motion. There will be no
separate discussion of the items. If discussion is desired, the item will be
removed from the Consent Agenda and considered separately. Mayor Lea
called attention to two additional requests from the City Manager for public
hearings to be scheduled for Monday, September 17, 2018, at 7:00 p.m.

2018; and the recessed meeting of City Council held on Wednesday, August 8,
2018.
RECOMMENDED ACTION: Dispensed with the reading of the minutes
and approved as recorded.
C -2 A communication from the Assistant City Manager for Community
Development transmitting a report of the Library System Statistics for Fiscal Year
2018.

C -3 A communication from the Assistant City Manager for Community
Development transmitting a report of the Department of Libraries Summer Feed

time as the City Manager shall determine, in his discretion, to amend the
Contract for Purchase and Sale of Real Property dated May 22, 2018, for the
sale of approximately 1.2106 -acres of City -owned property located at 201
Carver Avenue, N. E., to RYT, LLC.
RECOMMENDED ACTION: Concurred in the request.

hearing be scheduled for Monday, September 17, 2018, at 7:00 p.m., or as soon

Facility and Hotel.

COMMENTS OF THE CITY MANAGER.
The City Manager commented on the following items:
Solid Waste Collection Schedule Changes
• City offices were closed on Monday, September 3, for Labor Day
holiday. As a result, all residential /commercial solid waste collection
(including, recycling, bulk and brush) will be delayed one day:
• Monday — Trash, "A" week single- stream recycling, bulk and brush
will be collected on Tuesday
• Tuesday — Trash, "A" week single- stream recycling, bulk and brush
will be collected on Wednesday
• Wednesday — Trash, "A" week single- stream recycling, bulk and
brush will be collected on Thursday
• Thursday — Trash, "A" week single- stream recycling, bulk and brush
will be collected on Friday

Citizens Are Invited to Participate in a Regional Survey
• The Roanoke Valley - Alleghany Regional Commission is conducting a
Regional Commission Hazard Mitigation Plan Survey to be used in
updating the existing hazard mitigation plan, and assure region -wide
safety and adequate preparation for the protection of the life and
property of the citizens of the region.
• The plan will cover the counties of Alleghany, Botetourt, Craig, and
Roanoke; cities of Covington, Roanoke and Salem; and the towns of
Buchanan, Clifton Forge, Fincastle, Iron Gate, New Castle, Troutville
and Vinton.
• The survey is available online on the Regional Commission's website
at rvarc.org. The survey period will close on September 30.

Youth Summit Scheduled for Saturday
• The Fifth Annual Roanoke Youth Summit will be held on Saturday,
September 8, at Patrick Henry High School. Doors will open at
9:30 a.m., the event will begin at 10:00 a.m. and wrap up at 2:00 p.m.
• The Summit is open to middle and high - school students and their
parents or guardians, as an opportunity to learn about various services
available to youth and families.
• This year's theme is "Express Yourself' and workshops will focus on
self- expression and how to maintain a healthy lifestyle.
• City staff will be on hand to invite youth to provide input for Plan
Roanoke, with regard to how they want Roanoke to look 20 years from
now.
b. CITY ATTORNEY:
1. Execution of a Master Services Agreement and Dark Fiber Use
License with the Roanoke Valley Broadband Authority to connect
certain City offices to the network.

Municipal League Business Meeting to be held on Tuesday, October 2,
2018 in Hampton, Virginia.

Council Member Price announced that the 5th Annual Youth Summit
will be held on Saturday, September 8 at Patrick Henry High School.
Encouraged all youth and parents to attend.

Council Member Price also announced that the Annual Henry Street
Heritage Festival will be held on Saturday, September 15 in Elmwood
Park. Gates open at 10:30 a.m. Tickets are $20.00 in advance. No
tickets sold the day of the event.

appointed by Council. See below.
CERTIFICATION OF CLOSED MEETING. (5 -0)
Reappointed Matthew Fink as a member of the Economic Development
Authority for a term of office of four years, commencing October 20, 2018
and ending October 19, 2022. City Attorney instructed to prepare the
proper measure reappointing Mr. Fink for a four -year term of office.
Aaron Cain Turner was appointed as a member of the Human Services
Advisory Board to fill the unexpired term of office of the Reverend Gary
Heaton ending November 30, 2018; and a four -year term of office ending
November 30, 2022.
Jacqueline Moon was appointed to replace D. David Parr, Jr., as a member
of the Roanoke Neighborhood Advocates for a term ending June 30, 2021.
(Although Mr. Parr was reappointed for a three -year term of office on
June 4, 2018, he declined the reappointment, thus creating a vacancy on
the Board.)
Appointed Police Captain Arron Cook to replace Deputy Police Chief
Chester Smith, as a law enforcement representative of the Towing Advisory
Board for a term of office of three years, commencing November 1, 2018
and ending October 31, 2021.
Reappointed Briana Wilson as the Student Representative/William Fleming
High School; and appointed Lenora M. Morgan to replace Kameron
Washington -Brown as the Alternate Student Representative/William
Fleming High School for terms of office, each, ending June 30, 2019.

Appointed R. B. Lawhorn, Budget Administrator, as an Assistant City
Manager for Operations designee of the Defined Contribution Board, to fill
the unexpired term of office of Amelia C. Merchant, former Management

The Vision
The vision is to have Roanoke River Greenway as the
backbone of the system, running west to east, and
then having north -south routes tying to Botetourt
County and to the existing public lands and trail
opportunities surrounding the Valley. The greenway
network is part of the bicycle and pedestrian
infrastructure for the region and provides the arterial
routes, with connectivity to neighborhoods via
sidewalks, bike lanes, and on -road facilities.

Subject: Library System Statistics for FY -18
Attached is a report from the Department of Libraries which summarizes various
measurements of activities in the system for Fiscal Year 2018 which ended June 30"
On page One, the report illustrates in summary form by location that the number of
programs offered during the fiscal year increased, while overall attendance and
participation in such programs increased as well. Door counts at the Library
branches and Main Library increased in spite of the closure of the Williamson Road
Branch for renovation during a portion of the fiscal year. Even with the
transition /closure of the Williamson Road Branch, total system material circulation
increased; and for the first time in the system's history, total circulation of materials
climbed over the 1 Million mark.
On page Two of the attached, the same information is presented cumulatively for the
system over a fifteen year period. Of interest at the bottom of this page is the trend
on "Ebook Circulation ", which has continued to level off after an initial surge when
first introduced in 2012.
Also of note are the statistics at the Raleigh Court Library which reopened in FY -1 7.
Door count and circulation have increased by almost 50% over the last decade, and
programs offered by almost 200% as compared to 2008. The improvements and
additions to the facility have also allowed program attendance to grow by almost
600% above levels observed prior to the renovation. We hope to see similar rates of
growth in activity continue during the Williamson Road branch's first full year of
post- renovation operation in FY -19.

Subject: Summer Feed and Read Program for 2018
Attached is a report outlining the participation in this year's Summer Feed and
Read Program undertaken by the Department of Libraries in conjunction with
Feeding America and the YMCA. The first page illustrates that total
distribution of snacks and lunches in the Feed and Read Program conducted at
our library branches rose by over 70% as compared to 2017.
Participation in the program increased at all the library branches this past
summer. A breakdown by Library location by various weeks during the
summer is attached on the second page, which illustrates the highest level of
participation at the Melrose and Gainsboro Branches.

Subject: Fair Housing Board Annual Report for Fiscal Year 2017 -18
The Fair Housing Board is pleased to provide this Annual Report for fiscal year
2017 -2018 to City Council. As you will read below, the Board undertook several
activities during the past year and is looking forward to a new year of
opportunities.
Purpose and Function:
Under the City Code, the Fair Housing Board is to serve as a source of public
information on fair housing through outreach, education and training. Through
staff support as detailed below, the Board has continued efforts to raise
awareness.
Membership:
This year the Board has not achieved a quorum at two (2) meetings. Significant
change in Board membership was due to several reasons: passing of Charlotte
Davis, resignation of Amanda Buyalos due to relocation out of City limits, and
members choosing not to serve. Council has appointed two (2) new members.
The new members have attended recent meetings and the Spring Fair Housing
Seminar. There remain two vacancies. Attendance at the quarterly meetings of
the board is as follows:

Outreach and Education Activities:
In line with the Board's mission, two Fair Housing seminars were held both led
by Mally Dryden -Mason of the Virginia Fair Housing Office. The session held 18
October 2017 had just over 40 registered participants. The session held 19 duly
2018 Fair Housing Seminar had over one hundred registered participants.
The Board continues to actively seek opportunities to enlighten and educate the
city's vulnerable populations about their rights and responsibilities.
Approximately one (1) to two (2) phone calls per week in regards to fair
housing complaints were fielded by the Board's staff member. All complaints
received were forwarded on to the Commonwealth's Department of Professional
and Occupational Regulations (DPOR) Fair Housing Office or the local Legal Aid
Society for follow up and enforcement.
Council proclaimed the month of April as Fair Housing Month. The Board
distributed the city's "Fair Housing: What You Need To Know" booklet.
The Board continues to work to forward the Board's mission and vision:
Mission: The City of Roanoke's Fair Housing Board seeks to
expand the knowledge, understanding, and desire of all citizens to
receive fair and equal treatment in respect to housing. The Fair
Housing Board seeks to provide education to the housing industry,
housing industry related partners, and citizens to ensure that all
know their rights and responsibilities under the Federal, State, and
Local Fair Housing Laws.
Vision: To provide education so that no citizen shall be
discriminated against on the basis of race, color, religion, national
origin, familial status, marital status, disability, age, or elderliness
and so that all citizens have the right to live where they can afford.
In accordance with Title Vlll of the Federal Civil Rights Act, the Board is
reviewing HUD - funded contracts the City engages in with sub - recipients to
ensure Fair Housing compliance.
For fiscal year 2018 -2019, the Fair Housing Board has two priorities:
The Board will work to bring its membership up to full strength. The Board will
continue its efforts to raise public awareness regarding fair housing.
The Fair Housing Board hopes that Council finds this annual report informative

Subject: Recommendations of Human Services Advisory Board for
Funding of Qualified Agencies for Fiscal Year 2018 -2019
Background:
The City of Roanoke engages a group of citizen /social service professionals, the
Human Services Advisory Board, to review and make recommendations on
funding requests received from various social service agencies during the City's
operating budget development process. The Human Services Advisory Board is
made up of nine members as follows:

Steven Martin, Director of Human /Social Services, serves as ex officio member
of the Advisory Board.
The City of Roanoke collaborated with the United Way to form a joint
Administrative application, and to have the City's Program application available
on the United Way's online system. The deadline for submission was January
26, 20117 for both the Administrative application and the Program application.
Requests from 33 agencies (40 programs) totaling $698,819 were received as
indicated on Attachment A. Advisory Board members reviewed the applications
online and studied each application prior to meetings held on February 8,
February 15, February 22, and March 8, 2018, to discuss funding allocations.
The Board considered the following when reviewing the applications and
making funding recommendations: alignment between the application and
priorities set by the Human Services BFO team, a fully completed application,
clarity and internal consistency of the application, clarity and reasonableness of
the proposed agency budget, demonstration of need, and the number of
Roanoke City residents served.
Agencies were recently notified of tentative allocations and advised they could
appeal these recommendations. The Board heard appeals on April 5, 2018,
from United Way Smart Beginnings and Transitional Options for Women. After
hearing the appeals, the Human Services Advisory Board made no changes to
the allocations. In total, the Board approved $427,764 in allocations as shown
in Attachment A.
Performance audits will be conducted by the Council of Community Services to
evaluate the effectiveness and efficiency of all funded programs.
Recommended Action:
Approve the recommendations of the Human Services Advisory Board, as shown
in Attachment A.
Authorize the City Manager to enter into a contract with the Council of
Community Services to conduct the performance audits with the form of the
contract to be approved by the City Attorney.
Adopt the accompanying budget ordinance to transfer $427,764 from the
Human Services Advisory Board account 01- 630 - 5220 -3700 into accounts to be
established within the Human Services Advisory Board budget by the Director of
Finance as set forth in Attachment A.

Report to City Council for the City Fiscal Year July 1, 2017 to June 30, 2018
Highlights
During the year of July 1, 2017 through June 30, 2018, the City of Roanoke Redevelopment and
Housing Authority (RRHA) has worked through approval processes with HUD for construction of 8
new public housing senior cottages. These dwellings will be located near the Hurt Park
Townhomes. Construction is anticipated to commence in the last quarter of calendar year 2018.
In addition, RRHA has applied to HUD and been placed on the waiting list for the Rental
Assistance Demonstration (RAD) program. The program provides for the conversion of public
housing units to project -based assistance, allowing for introduction of private financing for
rehabilitation or new construction. RRHA plans to utilize RAD as a mechanism for the
redevelopment of the Lansdowne Park development.
RRHA also finalized preparations for implementation of HUD's Smoke -Free Housing Rule on July
1, 2018. This rule requires all public housing properties nationwide to prohibit smoking within 25
feet of any public housing building, including administration and maintenance buildings. RRHA
undertook a 2 year process, beginning in early 2016, of informing residents at community
meetings and offering smoking cessation resources for those who chose to stop smoking.
Effective July 1, 2018, all of RRHA's public housing properties are smoke -free for tenants,
employees, contractors, and visitors.
RRHA has been designated by HUD as a High Performer agency for both its Public Housing and
Housing Choice Voucher programs. Additionally, RRHA's Independent Public Audit for the fiscal
year October 1, 2016 to September 30, 2017, was accepted by the RRHA Board of
Commissioners in May 2018. For the tenth consecutive year, with audits conducted by three
different firms, the audit resulted in no findings.
RRHA and the Roanoke City Police Department continued the intergovernmental agreement to
provide above - baseline police services at multiple public housing developments. This agreement
provides additional police services during times of high call volume and is a resource for improving
safety and security at public housing developments throughout Roanoke.

Purchase and Sale of Real Property dated May 22, 2018 for the
sale of approximately 1.2106 acres of City -owned Property
located at 201 Carver Avenue, N.E. to RYT, L.L.C.
Background:
The City of Roanoke entered into a Contract for Purchase and Sale of Real Property
with RYT, L.L.C. on May 22, 2018 for real property located at 201 Carver Avenue,
N.E., bearing Official Tax Map Number 2041817 (Property). The Buyer's original
contemplated use for the property was solely for parking to facilitate the
construction /expansion of the buyers adjacent property identified as 210 Carver
Avenue, N.E., bearing Official Tax Map Number 2041 341 (Adjacent Parcel).
Buyer has subsequently altered the contemplated use to include the building of a
facility for the operation of a Wrecker Yard and Related Uses on the Property. The
use will require the final approval from the City of Roanoke to rezone the Property
to an appropriate zoning district that permits, as a matter of right, the uses
contemplated by the Contract on the Property and Adjacent Parcel. The Contract
needs to be amended to change the contemplated use as stated above and to
extend the closing date, to allow sufficient time for the rezoning process, to
March 31, 2019.
A public hearing is required to amend the contract and amend the closing date.
Subject to City Council's concurrence with this request, a copy of the proposed
Amendment to the Contract will be placed with the City Clerk for review prior to
the public hearing. Pursuant to the requirements of State Code, notice of the
public hearing must be advertised at least seven days prior to the public hearing.
The public hearing would occur on September 17, 2018, or at such later date as
the City Manager determines.
Recommended Action:
Authorize the scheduling and advertising of the Amendment to the Contract for a
public hearing on September 17, 2018, at 7:00 p.m., or as soon thereafter as the
matter may be heard, or at such later date and time as the City Manager shall
determine, in his discretion.

Background:
The City of Roanoke (City) is the owner of certain real property, together with
improvements thereon, situated at 120 Church Avenue, S.E., Roanoke, Virginia,
depicted as Official Tax Map No. 401 141 3, of approximately 0.3607 acres (City
Parcel). Market Holdings, LLC, a Virginia limited liability company, is the owner
of certain real property, together with improvements thereon, situated at 116
Church Avenue, S.E., Roanoke, Virginia, depicted as Official Tax Map No.
4011412, of approximately 0.5755 acres (MH Parcel).
Big Lick Hospitality, LLC, a South Carolina Limited Liability Company,
(Purchaser) is engaged in the business of developing and operating hotel
projects.
The City requires additional parking facilities within its downtown area to
accommodate the expanding needs of its businesses, residents, and visitors to
the City in order to enhance the expansion of economic activity within the City
and the Roanoke region and enhance the quality of life within the City and the
Roanoke region.
The City and Purchaser entered into negotiations under which the City would (i)
acquire the MH Parcel; (ii) consolidate the MH Parcel with the City Parcel
(collectively, the Property); (iii) construct and own a Parking Facility, in fee
simple; and (iv) sell to Purchaser condominium units for hotel lobby facilities,
air rights for hotel rooms, and appropriate nonexclusive easement rights in the
Parking Facility in order to construct and own a Hotel Facility to accommodate
the operation of a Hotel.
Purchaser is seeking to purchase condominium units, air rights, and
appropriate nonexclusive easement rights on the Property from the City for
$700,010.00. Purchaser and the City intend to enter into an agreement for
design and construction of a 125 -150 room hotel and City -owned parking
garage (Consolidated Project). By mutual agreement between the City and
Purchaser, the exact dimensions of said condominium, air rights, and
nonexclusive easements shall be determined and finalized, except for final as-
built surveys designating the specific boundaries of each condominium unit,
prior to commencement of construction of the Consolidated Project.
Recommended Action:
Authorize the City Clerk to schedule and advertise a public hearing involving
the sale of a portion of the Property to be held on September 17, 2018 at 7:00
p.m., or as soon thereafter as the matter may be reached, or such other date
and time as deemed appropriate by the City Manager.

Background:
In February, 2017, the City of Roanoke Treasurer's Office entered into an agreement
with the Commonwealth of Virginia Department of Motor Vehicles to be a License Agent
called a DMV Select Office. This agreement is on an annual basis from July 1 — June
30 of each year. The agreement is signed by the City Treasurer, the City Manager, and
the Commissioner of DMV. The transactions that can be processed by the Roanoke
City DMV Select are specifically authorized by DMV and any additional authorized
transactions or duties to be assigned to the DMV Select Office will be identified in
writing. The City Treasurer receives compensation monthly at a rate of 4.5% up to the
first $500,000 in gross transactions and 5.00% over $500,000. This rate schedule starts
over at each July 1. The monthly compensation fees are split with the City receiving
20% and the City Treasurer receiving 80 %.
Considerations:
City Council action is needed to accept and appropriate funds received for
reimbursement to the City of Roanoke Treasurer for being a License Agency of DMV
( "DMV Select ").
Recommended Action:
Adopt the accompanying budget ordinance to establish a revenue estimate in the
amount of $48,016 with 20% or $9,603 going into the General Fund account 01 -110-

Subject: Acceptance of a National Endowment for the Arts Challenge
America Grant
Background:
The Roanoke Arts Commission (RAC) was fortunate to utilize a VA Tech
graduate student as an intern in the spring of 2017. She researched and
assisted the RAC in applying for several grants to extend the reach of our Public
Art Program. Part of the process was to meet with representatives from
Neighborhood Services, Parks and Recreation, Roanoke Valley Greenways and
Roanoke Outside. This ad hoc group assisted in developing a community survey
about public art on the greenway. Using the results of that survey and the input
of the ad hoc advisory group the RAC chose the site under the Memorial
Avenue for the public art installation Bridge along the greenway because of the
potential to transform that area through public art and to involve the
neighborhoods that converge there. The RAC also reached out to Total Action
for Progress and Commonwealth Catholic Charities. Both have agreed to serve
as potential partners in an effort to engage the immigrant families living in the
nearby Terrace Apartments. The grant application to the National Endowment
for the Arts Challenge America Grant Program to support the "Arches Project"
was successful.
Considerations:
The funding recommended by staff for the project totals $20,000. The grant
from the NEA will provide support for the project in the amount of $10,000.
The grant requires a one to one match. The City's funding will consist of
$10,000 in cash from the grant match account.
The funds for this project will be used to hire an artist to serve as the
professional coordinator for the project, fabricate and install public art and
provide educational materials.
The expense breakdown is as follows:

Subject: Acceptance of FY 2019 VDOT Funding -
Authorization and Appropriation of Funds
Background:
In 2014, the General Assembly passed legislation providing that State primary routes
maintained by municipalities can receive a portion of the reconstruction and paving
allocations previously only distributed to interstates and state - maintained primary
roads.
Considerations:
The City of Roanoke applied for funds through this program and has been awarded
$475,000 for the paving of Lafayette Boulevard /Cove Road from Melrose Avenue to
Wellsley Street.
Recommended Action:
Accept VDOT's award of funds for paving in the total amount of $475,000.
Authorize the City Manager to execute the project administration agreement and
appendices and to take such further actions and execute such further documents as
may be necessary to obtain, accept, implement, administer, and use such funds as
referred to above.
Adopt the accompanying Budget Ordinance to establish revenue estimates for the
primary extension funds in the amount of $475,000 and appropriate funding in the
same amount to a new expenditure account for capital street paving to be established
by the Director of Finance.
Commit to funding the city's local share of preliminary engineering, right of way, and
construction (as applicable) of the project under agreement with the Virginia
Departm ortation in accordance with the project financial documents.

THIS AGREEMENT, made and executed in triplicate this day of ,
20_, by and between the City of Roanoke, Virginia, hereinafter referred to as the LOCALITY
and the Commonwealth of Virginia, Department of Transportation, hereinafter referred to as the
DEPARTMENT.
WHEREAS, the LOCALITY has expressed its desire to administer the work described in
Appendix A, and such work for each improvement shown is hereinafter referred to as the
Project; and
WHEREAS, the funds shown in Appendix A have been allocated to finance the
Project(s) and the funding currently allocated or proposed for the project(s) does not include
Federal -aid Highway funds; and
WHEREAS, both parties have concurred in the LOCALITY's administration of the
phase(s) of work for the respective Project(s) listed in Appendix A in accordance with applicable
federal, state and local laws and regulations.
NOW THEREFORE, in consideration of the mutual premises contained herein, the
parties hereto agree as follows:
1. The LOCALITY shall:
a. Be responsible for all activities necessary to complete the noted phase(s) of each
Project shown in Appendix A, except for activities, decisions, and approvals which
are the responsibility of the DEPARTMENT, as required by federal or state laws and
regulations or as otherwise agreed to, in writing, between the parties.
b. Receive prior written authorization from the DEPARTMENT to proceed with the
proj ect.
c. Administer the project(s) in accordance with guidelines applicable to Locally
Administered Projects as published by the DEPARTMENT.
d. Provide certification by a LOCALITY official of compliance with applicable laws
and regulations on the State Certification Form for State Funded Projects or in
another manner as prescribed by the DEPARTMENT.
e. Maintain accurate and complete records of each Project's development of all
expenditures and make such information available for inspection or auditing by the
DEPARTMENT. Records and documentation for items for which reimbursement

will be requested shall be maintained for not less than three (3) years following
acceptance of the final voucher on each Project.
f. No more frequently than monthly, submit invoices with supporting documentation to
the DEPARTMENT in the form prescribed by the DEPARTMENT. The supporting
documentation shall include copies of related vendor invoices paid by the
LOCALITY and also include an up -to -date project summary and schedule tracking
payment requests and adjustments.
g. Reimburse the DEPARTMENT all Project expenses incurred by the DEPARTMENT
if due to action or inaction solely by the LOCALITY the project becomes ineligible
for state reimbursement, or in the event the reimbursement provisions of Section
33.2 -348 or Section 33.2 -331 of the Code of Virginia, 1950, as amended, or other
applicable provisions of state law or regulations require such reimbursement.
h. On Projects that the LOCALITY is providing the required match to state funds, pay
the DEPARTMENT the LOCALITY's match for eligible Project expenses incurred
by the DEPARTMENT in the performance of activities set forth in paragraph 2.a.
i. Administer the Project in accordance with all applicable federal, state, and local laws
and regulations. Failure to fulfill legal obligations associated with the project may
result in forfeiture of state -aid reimbursements
j. If legal services other than that provided by staff counsel are required in connection
with condemnation proceedings associated with the acquisition of Right -of -Way, the
LOCALITY will consult the DEPARTMENT to obtain an attorney from the list of
outside counsel approved by the Office of the Attorney General. Costs associated
with outside counsel services shall be reimbursable expenses of the project.
k. For Projects on facilities not maintained by the DEPARTMENT, provide, or have
others provide, maintenance of the Project upon completion, unless otherwise agreed
to by the DEPARTMENT.
2. The DEPARTMENT shall:
a. Perform any actions and provide any decisions and approvals which are the
responsibility of the DEPARTMENT, as required by federal or state laws and
regulations or as otherwise agreed to, in writing, between the parties.
b. Upon receipt of the LOCALITY's invoices pursuant to paragraph Lf, reimburse the
LOCALITY the cost of eligible Project expenses, as described in Appendix A. Such
reimbursements shall be payable by the DEPARTMENT within 30 days of an
acceptable submission by the LOCALITY.
c. If appropriate, submit invoices to the LOCALITY for the LOCALITY's share of
eligible project expenses incurred by the DEPARTMENT in the performance of
activities pursuant to paragraph 2.a.

d. Audit the LOCALITY's Project records and documentation as may be required to
verify LOCALITY compliance with applicable laws and regulations.
e. Make available to the LOCALITY guidelines to assist the parties in carrying out
responsibilities under this Agreement.
3. Appendix A identifies the funding sources for the project, phases of work to be
administered by the LOCALITY, and additional project - specific requirements agreed to
by the parties. There may be additional elements that, once identified, shall be addressed
by the parties hereto in writing, which may require an amendment to this Agreement.
4. If designated by the DEPARTMENT, the LOCALITY is authorized to act as the
DEPARTMENT's agent for the purpose of conducting survey work pursuant to Section
33.2 -1011 of the Code of Virginia, 1950, as amended.
5. Nothing in this Agreement shall obligate the parties hereto to expend or provide any
funds in excess of funds agreed upon in this Agreement or as shall have been included in
an annual or other lawful appropriation. In the event the cost of a Project is anticipated to
exceed the allocation shown for such respective Project on Appendix A, both parties
agree to cooperate in providing additional funding for the Project or to terminate the
Project before its cost exceeds the allocated amount, however the DEPARTMENT and
the LOCALITY shall not be obligated to provide additional funds beyond those
appropriated pursuant to an annual or other lawful appropriation.
6. Nothing in this agreement shall be construed as a waiver of the LOCALITY's or the
Commonwealth of Virginia's sovereign immunity.
7. The Parties mutually agree and acknowledge, in entering this Agreement, that the
individuals acting on behalf of the Parties are acting within the scope of their official
authority and the Parties agree that neither Party will bring a suit or assert a claim against
any official, officer, or employee of either party, in their individual or personal capacity
for a breach or violation of the terms of this Agreement or to otherwise enforce the terms
and conditions of this Agreement The foregoing notwithstanding, nothing in this
subparagraph shall prevent the enforcement of the terms and conditions of this
Agreement by or against either Party in a competent court of law.
8. The Parties mutually agree that no provision of this Agreement shall create in the public,
or in any person or entity other than parties, rights as a third party beneficiary hereunder,
or authorize any person or entity, not a party hereto, to maintain any action for, without
limitation, personal injury, property damage, breach of contract, or return of money, or
property, deposit(s), cancellation or forfeiture of bonds, financial instruments, pursuant to
the terms of this of this Agreement or otherwise. Notwithstanding any other provision of
this Agreement to the contrary, unless otherwise provided, the Parties agree that the
LOCALITY or the DEPARTMENT shall not be bound by any agreements between the
either party and other persons or entities concerning any matter which is the subject of
this Agreement, unless and until the LOCALITY or the DEPARTMENT has, in writing,

receive a true copy of such agreement(s) and has affirmatively agreed, in writing, to be
bound by such Agreement.
9. This agreement may be terminated by either party upon 30 days advance written notice.
Eligible Project expenses incurred through the date of termination shall be reimbursed in
accordance with paragraphs Lf, Lg, and 2.b, subject to the limitations established in this
Agreement and Appendix A. Upon termination and unless otherwise agreed to, the
DEPARTMENT shall retain ownership of plans, specifications, and right of way for
which state funds have been provided, unless all state funds provided for the Project have
been reimbursed to the DEPARTMENT by the LOCALITY, in which case the
LOCALITY will have ownership of the plans, specifications, and right of way.
THE LOCALITY and DEPARTMENT acknowledge and agree that this Agreement has
been prepared jointly by the parties and shall be construed simply and in accordance with its fair
meaning and not strictly for or against any party.
THE LOCALITY and the DEPARTMENT further agree that should Federal -aid
Highway funds be added to the project, this agreement is no longer applicable and shall be
terminated. The LOCALITY and the DEPARTMENT mutually agree that they shall then enter
into a Standard Project Administration Agreement for Federal -aid Projects.
THIS AGREEMENT, when properly executed, shall be binding upon both parties, their
successors, and assigns.
THIS AGREEMENT may be modified in writing by mutual agreement of both parties.

AN ORDINANCE providing for the acquisition of real property rights needed by the
City in connection with the Cove Road Stormwater Drainage Improvement Project (Project);
authorizing City staff to acquire such property rights by negotiation for the City; authorizing the
City Manager to execute appropriate acquisition documents; and dispensing with the second
reading of this Ordinance by title.
BE IT ORDAINED by the Council of the City of Roanoke as follows:
1. The City wants and needs certain real property rights, to include permanent
easements of variable length and width, temporary easements, and such other real property
interests as needed, as set forth in the City Council Agenda Report dated September 4, 2018, for
the Project, located along Cove Road, N.W., Roanoke, Virginia, west of Peters Creek Road,
N.W., Roanoke, Virginia, and surrounding streets. The proper City officials and City staff are
hereby authorized to acquire by negotiation for the City the necessary real property interests and
appropriate ancillary rights with respect to the real property parcels referred to in the above
mentioned City Council Agenda Report, and any other real property interests needed for the
Project. All requisite documents shall be approved as to form by the City Attorney.
2. The City Manager is further authorized to execute appropriate acquisition
documents for the above mentioned parcel(s), and such other real property interests needed for
the Project, for such consideration as deemed appropriate for the necessary interests, provided,
however, the total consideration offered or expended, including costs, title search fees, appraisal
costs, recordation fees, and other related costs shall not exceed the funds available in the
Project's account for such purposes, without further authorization of Council. Upon the
acceptance of any offer and upon delivery to the City of appropriate acquisition documents,
approved as to form by the City Attorney, the Director of Finance is authorized to pay the
respective consideration to the owners of the real property interest conveyed, certified by the
City Attorney to be entitled to the same.
3. Pursuant to the provisions of Section 12 of the City Charter, the second reading of
this Ordinance by title is hereby dispensed with.

Subject: Acquisition of Real Property Rights for Cove Road Stormwater
Drainage Improvement Project
Background:
The majority of Cove Road, N.W., west of Peters Creek Road, is a two -lane road
that utilizes a roadside ditch to control Stormwater runoff. The area along the
Northridge Apartment complex does not have this roadside ditch which is
creating deterioration to the eastbound traffic lane. In order to alleviate this
situation, the City will need to create a stabilized ditch, which will also provide a
more pedestrian friendly road shoulder and prevent further asphalt
deterioration. In order to construct, operate, and maintain the proposed
improvements, the City will need to acquire real property rights from one
private property owner.
Considerations:
City Council action is necessary to authorize the acquisition of real property
rights needed for the Cove Road Stormwater Drainage Improvement Project.
The real property rights needed are outlined below, but are subject to minor
variation of location and extent pending final engineering design details.
Funding for acquisition of the real property rights will be available in project
account 03- 530 -3010 Stormwater Improvements.
Permanent drainage and temporary construction easements of variable length
and width are required to accommodate construction activities and will affect
one (1) property in the general vicinity identified above. The City may also need
to acquire various other property rights involving the properties which have not
yet been identified for this project. The property that has been identified to

Subject: Appropriation of Deschutes Land Sale and Return of VEDP Funding
Background:
In April 2016, the City of Roanoke (City) and Deschutes Brewery, Inc. (Deschutes)
entered into a Sale and Purchase Contract with the intent of acquiring property from
the City to construct, equip, and operate a facility at 2002 Blue Hills Drive, N.E. A
Commonwealth's Development Opportunity Fund (COF) grant of $3,000,000 was
awarded by the Virginia Economic Development Partnership Authority (VEDP). This
funding was appropriated and transferred to the Economic Development Authority of
the City of Roanoke, Virginia (EDA). Deschutes recently notified the City that there were
changes in the scope and timing of the originally proposed project requiring
adjustments to the original time line. As a result, an amended and restated contract
(Amended Contract) was approved at the June 18, 2018 Council session with the
adoption of Ordinance No. 41 178-061818. The Amended Contract provided for the
sale of certain City -owned parcels to Deschutes, or its subsidiary, for the sum of
$3,205,000. Due to the changes, the awarded COF grant of $3,000,000 had to be
returned to the VEDP.
The City and Deschutes completed the sale by the end of June 2018 and the City
received $3,195,010 from Deschutes (the original purchase price of $3,205,000, less
the deposit of $10,000 previously paid by Deschutes, plus allocation of $10 for a rent
payment due from a tenant).
Considerations:
The appropriation of funding returned from the EDA, the expenditure returning funds
back to the VEDP, and funding from the sale of City owned property to Deschutes each
require City Council action.
Recommended Action:
Adopt the accompanying Budget Ordinance to appropriate a revenue estimate of
$3,000,000 in account 08- 310 - 9471 -9473 for the funds returned to the City by the
EDA and an expenditure for the same amount in account 08- 310- 9471 -9812 in which
the funds were paid back to the VEDP.
Also, establish a revenue estimate for the sale of property to Deschutes of $3,195,010
in account 08- 310 -9471 -9472 and an expenditure estimate of the same amount in'the
Economic Development contingency account 08-530-9575-9178.

AN ORDINANCE authorizing the City Manager to execute a Master Services
Agreement and Dark Fiber Use License (collectively, the "License Agreements ") with
the Roanoke Valley Broadband Authority ( "Authority "), governing the terms and
conditions of the City's connection of certain of its offices to the Authority's fiber optic,
broadband internet network ( "Network "), upon certain terms and conditions, and
dispensing with the second reading of this ordinance by title.
BE IT ORDAINED by the Council of the City of Roanoke as follows:
1. The City Manager is authorized to execute on behalf of the City of
Roanoke, the License Agreements with the Authority for the purpose of governing the
terms and conditions of the broadband internet connection of certain City offices to the
Authority's Network, upon such terms and conditions as are more particularly described
in the City Attorney Letter to City Council dated September 4, 2018, and the attachments
to that letter. All documents shall be upon form approved by the City Attorney.
2. Pursuant to the request of the Authority based on Section 2.2- 3705.6(19)
of the Code of Virginia (1950), as amended, the Authority maintains that certain portions
of the Master Service Agreement are confidential and will be withheld from public
disclosure.

formed the Roanoke Valley Broadband Authority ( "Authority "), for the purpose of bringing a
fiber optic, broadband internet network ( "Network ") to the Roanoke Valley. The Authority will
lease the Network to third party entities which will provide internet services to such third parties'
customers, which will initially be comprised of business parks, large institutions, government
facilities and businesses.
As part of the City's approximate two million dollar investment into the Network, the Authority
will dedicate a pair of "dark fiber" to the City for the City's exclusive use. The dark fiber will be
used to link various City offices, and connect such offices to the Network. The initial City offices
that will connect to the Network will consist of all of the branches of the Roanoke City Public
Libraries, and the City Voter Registration Office. Additional City offices are anticipated to be
added to the Network. In order for the City offices to connect to the Network, the Authority
requires the City to enter into a Master Services Agreement ( "MSA ") and a Dark Fiber Use
License ( "License "). Both agreements contain terms and conditions governing the City's
connection to the Network.
CONSIDERATIONS:
Connection of City offices to the Network is in the best interests of the City and its citizens in
providing access to the Internet, and is critical to the economic development of the City and the
Roanoke Valley. The MSA and License govern the terms and conditions of the City's connection
to the Network. The agreements are for an initial term of five years (60 months) with an option
for the agreements to continue on a month -to -month basis thereafter. Copies of the agreements are
included with this letter. The Authority maintains that its pricing constitutes confidential and
proprietary information and has excluded that information from the relevant schedules. City
administration has reviewed and found the costs acceptable. City Council has appropriated these
amounts for the current fiscal year. These agreements are subject to annual appropriation of
funding by City Council for each year thereafter, and the City may terminate these agreements in
the event City Council does not appropriate funding in any fiscal year. In the event the City and
Authority terminate the MSA and License, the City retains usage of the pair of dark fiber
dedicated to the City by the Authority for the City's exclusive use (e.g. to maintain linkage of City
offices), subject to the limitations contained in the agreements. Because the Authority is a
political subdivision, separate and legally distinct from the City, the City Attorney recommends
that City Council authorize the City Manager to enter into both of these agreements.
RECOMMENDATION:
Authorize the City Manager to execute the Master Services Agreement and Dark Fiber Use
License with the Roanoke Valley Broadband Authority, to govern the terms and conditions of the
City's connection of its offices to the Network, such agreements to be substantially similar in
form to the agreements attached to this letter, and any additional documents determined to be
necessary to connect City offices to the Network. All such documents shall be in a form approved
by the City Attorney.
