The Council of the City of Roanoke is seeking applications for the following
current vacancies and /or upcoming expirations of terms of office:
Architectural Review Board — one vacancy
Mill Mountain Advisory Board — one vacancy

Expiration of the three -year terms of office of William B. Hopkins, Jr., and
Elizabeth C. S. Jamison as Trustees of the Roanoke City School Board
ending June 30, 2020. Information pertaining to the School Board process
and application for appointment are available on the City's website and in
the City Clerk's Office. Deadline for receipt of applications is Tuesday,
March 10, 2020. For questions and /or additional information, contact the

3. HEARING OF CITIZENS UPON PUBLIC MATTERS:
City Council sets this time as a priority for citizens to be heard. All matters will be
referred to the City Manager for response, recommendation or report to Council,
as he may deem appropriate.
Cesar Alberto, 1502 Rorer Avenue, S. W., appeared before the Council to
complain about the services of Park Roanoke.
Stephen Niamke, 1711 Franwill Avenue, N. W., appeared before the Council
to introduce Meta Peace Team to Roanoke.

All matters listed under the Consent Agenda are considered to be routine by the
Members of City Council and will be enacted by one motion. There will be no

RECOMMENDED ACTION: Dispensed with the reading of the minutes

C -2 A communication from the City Manager requesting that Council schedule
a public hearing to be held on Tuesday, February 18, 2020, at 7:00 p.m., or as
soon thereafter as the matter may be heard, or such later date and time as the
City Manager may determine, in his discretion, to consider the sale of City -owned
property situated within the Roanoke Centre for Industry and Technology at 1700
Blue Hills Drive, N. E., and 0 Orange Avenue, N. E., to Cooper Crouse -
Hinds, LLC.
RECOMMENDED ACTION: Concurred in the request.
C -3 A communication from the City Attorney requesting that Council schedule
a public hearing to be held on Monday, March 16, 2020, at 7:00 p.m., or as soon
thereafter as the matter may be heard, or such later date and time as the City
Manager may determine, in his discretion, to consider the adoption of a
Commercial Property Assessed Clean Energy (C -PACE) Program.
RECOMMENDED ACTION: Concurred in the request.
C -4 Reports of qualification of Ray Bemis, III, as a Citizen at Large /Healthcare
representative of the Youth Services Citizen Board for a three -year term of office,
commencing July 1, 2020 and ending June 30, 2023; and Cindy L. McFall as the
City representative to the Local Office on Aging Advisory Board for a one -year
term of office, commencing February 29, 2020 and ending February 28, 2021.
RECOMMENDED ACTION: Received and filed.

Concurred in the recommendation of the Roanoke Arts
Commission.
ITEMS RECOMMENDED FOR ACTION:
1. Acceptance of the Rescue Squad Assistance Fund Grant from the
Virginia Department of Health, Office of Emergency Medical
Services.
Adopted Resolution No. 41660- 020320 and Budget Ordinance

2. Authorization to decrease previously established revenue estimates
for several Virginia Department of Transportation funded
transportation projects.

COMMENTS OF THE CITY MANAGER.
The City Manager offered the following comments:
Franklin Road Improvements Are Underway
• The City is installing storm drains and sidewalks along the
shoulder of the southbound lane of Franklin Road, S. W.
• The area between Piccadilly Square and Hounds Chase Lane —
from the 3100 block to the 3500 block of Franklin Road, S. W.—
will be designated a construction work zone.
• During construction, Franklin Road will be periodically
reduced to one lane of travel southbound.
• The City thanks drivers for their patience and asks them too
move slowly through this area for the safety of the
construction workers.
Public Meeting Scheduled on Wasena Bridge Replacement Project
• 7:00 p.m., Thursday, February 13, in the Cafeteria at Patrick
Henry High School.
• At this meeting, City staff will share bridge replacement
alternatives and recommendations with neighborhood
stakeholders.
City is Seeking Input for Improvements to Belmont - Fallon Target
Area
Last year, the City selected the Belmont and Fallon
neighborhoods as the focus of community development
funding for revitalization activity over the next five years.
This area is located between 1 -581, Fallon Park, and runs from
Tazewell Avenue south to Highland Avenue.
City staff invites residents to go online to the planroanoke.org
website and scroll down to the Belmont - Fallon Target Area
panel, where you can click to read more and take a survey to
provide input on the type of improvements desired.
8. REPORTS OF COMMITTEES:
a. A report of the Economic Development Authority recommending issuance
of revenue bonds, not to exceed $510 million, for Carilion Medical Center
and Affiliates in connection with multiple medical related projects in
Roanoke City. Harwell M. Darby, Jr., Counsel to the Economic
Development Authority, Spokesperson.
Adopted Resolution No. 41663- 020320. (6 -0, Council Member
Osborne abstained from voting.)

10. INTRODUCTION AND CONSIDERATION OF
ORDINANCES AND RESOLUTIONS:
a. A resolution appointing Cecelia F. McCoy as the City Clerk for the City of
Roanoke.

11. MOTIONS AND MISCELLANEOUS BUSINESS:
a. Inquiries and /or comments by the Mayor and Members of City Council.
Council Member Price announced the third Annual Historically Black
College and University (HBCU) Fair to be held at William Fleming
High School on Saturday, February 15, 10:00 a.m. — 2:00 p .m; the
event is sponsored by the Harrison Museum of African American
Culture and the Roanoke Valley Chapter of Jack & Jill Club of
America. The fair will offer opportunities to receive one -on -one
contact and access to recruiters and distinguished alumni, with the
chance to walk away with acceptance letters and possible
scholarships from some of the most renowned schools in the
country.
Council Member Price also announced Governor Ralph Northam and
the African American History Education Commission is seeking
community input during a series of public listening sessions as it
examines how to best strengthen the Virginia history standards, as
well as African American history education in classrooms across the
Commonwealth. The session will be held on Tuesday, February 11 at
the Harrison Museum of African American Culture, 1 Market
Square, S. E., #2, 6:00 p.m. - 7:30 p.m. The event is free to the public.
Council Member Bestpitch expressed concerns regarding several
General Assembly Bills being enacted upon by the General
Assembly of Virginia during current 2020 sessions.
Council Member Osborne announced the Roanoke Valley Saves
Week, February 24 — 28, and encouraged citizens to set financial
goals, track spending, and take control of their financial future and
recommended participation in the Bank On Roanoke Valley mini -
finance session `Save for the Unexpected' to be held on February 26,
10:00 a.m. — 1:00 p.m., at Downtown Roanoke, Main Library, 706
South Jefferson Street.
Council Member White -Boyd announced the Sisters of Change will
host the C.R.O.W.N. Conference - Unmask Your Potential Within on
Saturday, February 15 at 10:00 a.m. — 2:00 p.m. at Grace Covenant
Church, 756 Peters Creek Road, tickets $25.00.

Vice -Mayor Cobb announced he would be a speaker at the Stamped
from the Beginning: The Definitive History of Racist Ideas in
America by Ibram X. Kendi, held at the Melrose Branch Library,
February 4 at 6:30 p.m.

Appointed Battalion Chief Clarence Turpin (Fire -EMS) to replace Lieutenant
Jeffrey Newman (Police) for a two -year term of office, commencing July 1,
2020 and ending June 30, 2022, as a member of the Board of Trustees, City
of Roanoke Pension Plan.
Appointed Jason Varney as a member of the Board of Zoning Appeals to fill
the unexpired term of office of Walton Rutherfoord ending December 31,
2022.
Reappointed Christopher Link (Citizen at Large) and Jeffrey Shawver
(Property Management) as members of the Building and Fire Code Board of
Appeals for three -year terms of office, each, commencing July 1, 2020 and
ending June 30, 2023.
Reappointed Court G. Rosen (Citizen at Large) as a member of the Hotel
Roanoke and Conference Center for a four -year term of office, commencing
April 13, 2020 and ending April 12, 2024.
Appointed Niki Voudren as the Zoo representative of the Mill Mountain
Advisory Board to fill the unexpired term of LaTron Brown ending June 30,
2021; reappointed Ahondyrea Brooks for a three -year term of office,
commencing July 1, 2020 and ending June 30, 2023.
Reappointed Melanie Crovo, Lauren Hartman and Chris Bryant as members
of the Parks and Recreation Advisory Board for three -year terms of office,
each, commencing April 1, 2020 and ending March 31, 2023.
Reappointed Heather Davenport (Citizen at Large), Chrystal Smith
(Classified Service) and Jackie Clewis (Classified Service) as members of

FY 20 General Fund Overview
• The FY20 adopted budget is $299.4 and local taxes comprise
approximately 68% of all revenue.
• Through December, total FY 20 revenues have increased
approximately $4.7 million or 4.4% compared to the same
period of FY 19 due to Personal Property, Real Estate, Business
License, Prepared Food and Beverage, Sales Taxes and
revenue from the Commonwealth.
• Through December, FY 20 local taxes have increased
approximately $3.1 million or 4.3 %% compared to the same
period of FY 19.
• Expenditures and obligations through December increased
approximately $2.7 million or 1.7% compared to the same
period last year, mainly due to the increased transfer to RCPS,
Social Services, and the FY 2020 salary increase.

Goals for Just in Time Approach
ROANOKE
■ Working with City staff, Davenport and the City instituted a "Just -In- Time" funding approach for
its capital needs. This contemplates a 3 -Year interest -only period. In the past, the City has
achieved this interest -only period through the issuances of two BANs. The rationale for this
approach is as follows:
1. Allows the City to borrow for funds exactly when they are needed which minimizes interest
costs;
2. Reduces the pressure on Key Debt Ratios (i.e. Debt Service vs. Expenditures and Debt vs.
Full Value); and,
3. Less budgetary (i.e. cash flow) pressure on the General Fund.

Davenport Recommended Approach
ROANOKE
■ Given the current interest rate environment, the City may wish to consider permanent (i.e. 20 -year fixed
rate) financing for its $17.4 million in FY 2020 capital needs in order to lock in the current low cost of
capital.
— A structured approach to this long -term financing would allow the City to issue interest -only bonds
followed by a 20 -year amortization to simulate the BAN approach.
— Current fixed rates are considerably lower than the planning estimates and at or below the interest rate
on the 2019 BAN.
— Although these bonds would not have a draw -down feature, higher short -term interest rates means that
the cost of carry is low.

preliminarily identified five potential outstanding debt issuances.

DIVISION 5. - EXEMPTION OF CERTAIN REHABILITATED REAL PROPERTY
Sec. 32 -93. - Generally; termination of exemption program.
(a) The director of real estate valuation shall, upon application made and within the limits as
hereinafter provided, order exemption of real property tax on real property substantially
rehabilitated for residential use and on real property substantially rehabilitated for
commercial or mixed industrial use.
(b) This division shall terminate and no new applications for exemption shall be accepted on
and after July 1, 20250, unless reenacted. This provision shall not affect applications filed
before that date, or the continued eligibility for exemption of properties approved before
that date.
(c) As used in this Division, the following terms shall have the following meanings:
Application fee means:
One hundred seventy five dollars ($175.00 ) for an application
seeking an exemption for a single - family r°s���Rl dwelling; or
(ii) Two hundred fifty dollars ($250.00) for each principal structure
located on a parcel for any other application for an exemption,
(2) Mixed use means a structure constructed and used as a structure for
commercial and residential purposes,
Multi - family dwelling means a residential dwelling constructed and used
for more than one residential unit including two - family buildings and any
other multi - family building.
(4) Principal structure means any building or structure situated on a parcel
that may be used for habitation by humans
(5) Sin lg_e family dwelling means a residential dwelling constructed and used
entirely as a residence for the owner or tenant of the real property as a
single- family residence.
(6) Substantial rehabilitation means construction work performed on a
structure proposed by the owner seeking an exemption under this division
and the -term "substantial rehabilitation" shall include the substantial
rehabilitation, renovation, or replacement of real property.
(7) Value means the assessed value of the structure situated on the real
property as determined by the director of real estate valuation for real
estate taxation purposes.

The director of real estate valuation, with the advice and comment of the city manager,
director of finance and commissioner of revenue, shall adopt and promulgate such rules and
regulations not inconsistent with the provisions of this division as are deemed necessary for the
effective administration of this division.

substantially rehabilitated for multi - family dwelling, commercial, or mixedindustr4al use,

(b) If an exemption is granted for multi - family dwelling, commercial, or mixed user
properties pursuant to this Division, no other exemption, including one pursuant to
Division 5A and 513, pertaining to enterprise zones, will be granted, even if the use of the
property changes.

Sec. 32 -97. - Amount of exemption.
The amount of the exemption from real property taxation provided for by this division shall
be an amount equal to the difference in the appraised value of the qualifying structure
immediately before substantial rehabilitation and immediately after substantial rehabilitation_; as
determined by the direetof of real estate This amount only, on a fixed basis, shall
constitute the exemption, notwithstanding subsequent assessment or reassessment. The
exemption resulting from substantial rehabilitation of a qualifying structure shall commence on
July 1 st of the tax year following completion of the rehabilitation and shall run with the real
estate for a period of five (5) years, and only one (1) exemption under this division may be
applicable to any structure at any point in time. If the qualifying structure has been designated
with either H -1, Historic District, or H -2, Neighborhood Preservation District, zoning overlay
designations, or is located within an area designated as a conservation area or a rehabilitation
district by the city, then the exemption shall run with real estate for a period of seven 7 ten -(-0)

Sec. 32 -98. - Application.
(a) Application for exemption of substantially rehabilitated real property from taxation under
this division shall be filed by the owner of such property with the director of real estate
valuation prior to commencement of any rehabilitation work for which exemption is
sought. Each application for such exemption shall be accompanied by an application fee
PfOeessifig fee in the amount of fifty dollars ($50-00).- If a property is being converted,
and new and additional tax parcels will be created, anthe application fee shall be-paid be
fifty dollars ($50.00) for each tax parcel. No property shall be eligible for such exemption
unless all appropriate building permits have been acquire administrator -of code
enforcement -has determined that the structure and the real property are in compliance
with the state wide maintenance code as provided in section 7 -5 of city code or will
comply with all applicable provisions of the state wide maintenance code as provided in
section 7 -5 of city code upon completion of the rehabilitation indicated in the application
and-the director of real estate valuation has verified that the rehabilitation indicated on the
application has been completed, and the administrator of code enforcement has
determined that the structure and the real property are in compliance with the state wide
maintenance code as provided in section 7 -5 of city code, Furthermore, no property shall
be eligible for such exemption if the director of real estate valuation or the administrator
of code enforcement has been denied access to the entire premises either before or after
the rehabilitation work for which exemption has been applied, for purposes of
determining whether the required rehabilitation has been completed, determining the
value of the structure before commencement of the required rehabilitation in the
application and the value of the structure after completion of the required rehabilitation
and determining compliance with the state wide maintenance code as provided in section
7 -5 of city code.a na for- appraising the pr-op&4�.
(b) The property owner shall submit an application for exemption under this division in the

code. The application form shall include the acknowledgement and consent of the
property owner that:
all real estate taxes owned by the property owner on any real property
within the city are fully paid and current;
the real property, including the structures for which an exemption is
sought is in compliance with all applicable ordinances rules and
regulations of the city;
the director of real estate valuation shall have access to the real prosy
and structures thereon for the purposes of determining the value of the
structures prior to commencement of the required rehabilitation set forth in
the application, the estimated value of the structures assuming completion
of the required rehabilitation set forth in the application compliance with
the required rehabilitation as set forth in the application and determination
of the value of the structures after completion of the required
rehabilitation: and

the administrator of code enforcement shall have access to the real
property and the structures thereon to determine (i) compliance with all
applicable ordinances rules and regulations of the city with respect
maintenance and condition of the real property, including the structures;
and (ii) compliance with all applicable ordinances rules and regulations
of the city with respect to the maintenance and condition of the real
property and the structures thereon after completion of the required
rehabilitation.
The application will also include the acknowledgement of the property owner that the
property owner is responsible to satisfy the eligibility requirements set forth in section 32 -98.1
after completion of the required rehabilitation.
(cb) The burden of proof shall be on the applicant to show that the property for which
exemption has been filed complies with all the eligibility criteria established by
this division. The director of real estate valuation may require documentary proof of
eligibility, and, in such cases, documentation satisfactory to the director shall be
presented.

Sec. 32 -98.1. - Eligibility.
(a) In order for the exemption for a property to continue in effect, such property shall be
maintained by the property owner and all tenants and occupants at the property in
compliance with the provisions of chapter 7, Building Regulations; article VI,
Inoperable Motor Vehicles, of chapter 20, Motor Vehicles and Traffic; section 21 -25,
Willful damage to or defacement of public or private facilities, of chapter 21,
Offenses Miscellaneous; chapter 33, Vegetation and Trash; and chapter 36.2, Zoning, of
this Code. If, after receiving notice of a violation of any of these provisions, the owner of
the property or a tenant or occupant of the property fails or refuses to complete the
necessary corrections within the time required for such action, or refuses city inspectors
access to such property for the purpose of determining continued eligibility under this
section, then such eligibility shall terminate.
(b) The rehabilitation or renovation improvements must be completed by June 30 w4hinthat
first occurs two (2) years after the date of the filing of the application for exemption.
(c) In order for the exemption for a property to continue in effect, or for an owner to apply
for such exemption, the owner thereof shall not be delinquent in any real estate tax owed
the city. The exemption provided under this division shall be automatically void and of
no effect, without notice to the owner, if real estate taxes due on any real estate owned in
the city that become due October 5 of a fiscal year are not paid on or before December 31
of the same fiscal year, and if real estate taxes due on any real property owned in the city
that become due April 5 of a fiscal year are not paid on or before June 30 of the same
fiscal year.

(d) If a property which has qualified for exemption is damaged by fire or act of God such
that the remaining value of the property is less than its original assessment before being
rehabilitated, then the exemption shall cease.

demolished or razed and a replacement structure is constructed, unless the assessed value of the
existing structure is less than ten thousand dollars ($10,000.00). The replacement structure must
be in a single- family residence, and it must have an assessed value of at least one hundred twenty
(120) percent of the median value of other dwelling units in the neighborhood, as determined by
the director of real estate valuation. Such exemption shall not apply when the structure to be
demolished is a Virginia registered landmark, or is determined by the Division of Historic
Resources to contribute to the significance of a registered historic district.

Sec. 32- 101.9. - Generally.
(a) The director of real estate valuation shall, upon application made and within the
limits hereinafter provided, order exemption of real property tax on real property substantially
rehabilitated or renovated for commercial, mixed -use commercial with no more than eighty (80)
percent of such property being used for residential purposes (hereafter mixed -use commercial),
or mixed mouse and located within the area of Enterprise Zone One A, as such area is
shown on a map of Enterprise Zone One A, which is on file in the office of the city clerk.
(b) The terms "application fee " "mixed use," and "value" as used in this division shall have
the same respective meaning as these terms are defined in division 5.

Sec. 32- 101.10. - Rules and regulations for administration for division.
The director of real estate valuation, with the advice and comment of the city manager,
director of finance, and commissioner, shall adopt and promulgate such rules and regulations not
inconsistent with the provisions of this division as are deemed necessary for the effective
administration of this division.

Sec. 32- 101.11. - Eligibility of commercial, mixed -use commercial, or mixed user real
property.
(a) In order to qualify for the exemption from real property taxation for real property
substantially rehabilitated or renovated for commercial, mixed -use commercial, or
industrial use within Enterprise Zone One A, a structure shall meet all of the following
criteria:
(1) Be constructed prior to January 1, 1970 no less than fifteen ('" years of
age and located within Enterprise Zone One A;
(2) Be rehabilitated or renovated so as to increase the assessed value of the
structure by at least fifty thousand dollars ($50,000.00) or more;
(3) Be designed for and suitable for commercial, mixed -use commercial, or
industrial use after completion of such rehabilitation or renovation;
(4) The structure has not received an exemption under Division 5, exemption
of certain rehabilitated real property, or former Division 5A, exemption of
certain rehabilitated or renovated commercial or industrial real property

located in either Enterprise Zone One or Enterprise Zone Two, of this
chapter; and
(5) The rehabilitation or renovation must be completed w by June 30
withinthat first occurs 4hin two (2) years of the date of the filing of the
application for exemption.
(b) The types of substantial rehabilitation or renovation improvements that will be
considered as increasing the assessed value are limited to those made to the actual
qualifying structure only. Other improvements, fees, or costs will not be considered.
(c) Any new additions to the qualifying structure or any additional square footage over the
prerehabilitation or prerenovation square footage will not be considered as increasing the
assessed value of the qualifying structure or eligible for or considered for the tax
exemption since the purpose of this incentive is to encourage rehabilitation or
renovation of existing structures.

Sec. 32- 101.12. - Amount of exemption.
The amount of exemption from real property taxation provided for by this division shall be
an amount equal to the difference in the appraised value of the qualifying structure immediately
before rehabilitation or renovation and immediately after rehabilitation or renovation as
determined by the director of real estate valuation. This amount only, on a fixed basis, shall
constitute the exemption, notwithstanding subsequent assessment or reassessment. The
exemption resulting from substantial rehabilitation or renovation of a qualifying structure shall
commence on July 1 of the tax year following completion of the rehabilitation or renovation
within the period required by section 32- 101.11 (a) Viand approval of the application and shall
run with the real estate for a period of seven (7) years from the date of the commencement of the
exemption as set forth herein. Only one (1) exemption under this division may be applicable to
any qualifying structure during the life of the qualifying structure. Furthermore, any qualifying
structure which obtains an exemption under this division shall not be entitled to obtain an
exemption under division 5, exemption of certain rehabilitated real property, of this chapter. The
maximum total amount of tax abatement for any qualifying structure over the seven -year period
shall not exceed a total of one hundred thousand dollars ($100,000.00). Should the amount of tax
abatement exceed the total of one hundred thousand dollars ($100,000.00) before the expiration
of the seven -year period, the exemption shall end when the tax abatement reaches the one
hundred thousand dollars ($100,000.00) figure and real property taxes will be due on the
increased assessed value previously exempted.

Sec. 32- 101.13. - Application.
(a) Application for exemption of substantially rehabilitated or renovated real property from
taxation under this division shall be filed by the owner of such property with the director
of real estate valuation prior to commencement of any rehabilitation or renovation work

for which exemption is sought. Each application for such exemption shall be

No property shall be eligible for such exemption unless all appropriate building permits
have been acquired and the director of real estate valuation has verified that the
rehabilitation or renovation indicated on the application has been completed.
Furthermore, no property shall be eligible for such exemption if the director of real
estate valuation or the administrator of code enforcement has been denied access to the
entire premises, either before or after the rehabilitation or renovation work for which the
exemption has been sought, for purposes of determining whether the required
rehabilitation or renovation has been completed.,—and for appraising the property, and
determining compliance with the state wide maintenance code as required by section 7 -5
of city code with respect to the maintenance and condition of real property, including
structures.. The application for this exemption must be filed with the director of real
estate valuation during the period of July 19, 2004, through December 31, 2023, for
property located within Enterprise Zone One A in order to be eligible for this exemption.
(b) The property owner shall submit an application for exemption under this division in the
form created by the director of real estate valuation pursuant to section 32 -94 of city
code The application form shall include the acknowledgement and consent of the
property owner that:
all real estate taxes owned by the property owner on any real property

the real property, including the structures for which an exemption is

upon which new structures or other improvements have been constructed within a
redevelopment or conservation area, or a rehabilitation district established in the city.

division shall have the same respective meaning as these terms are defined in division 5.

before that date, or the continued eligibility for exemption of properties approved before
that date.

The structure must have an assessed value of at least one hundred twenty (120) percent of the
median value of other residential structures in the neighborhood, as determined by the director of
real estate valuation.

Sec. 32- 101.23. - Eligibility of commercial real property.
Other than real property constructed for single - family dwelling residential use, the only
property eligible for the exemption provided by this division shall be commercial property in
districts zoned CN- Neighborhood Commercial. In order for such property to qualify, the new
structure or other improvements must be designed for and used for purposes permitted in a CN
district.

be an amount equal to the increase in assessed value resulting from the construction of the new

Questions?
I am here today to address some serious concerns regarding
park Roanoke. In December I r3ecieved a parking ticket in front
of my door step, I live in hurt park, which many of you are
aware of the sheer number of gunshot reports stemming from
my neighborhood. I park with my door facing the entrance to
my home to ensure my safety and minimize my exposure to the
possibility of getting hit by a stray bullet. I then received a
parking ticket for parking the wrong way, I then contacted park
Roanoke and they responded that they will uphold the ticket
and will not dismiss, I then do not hear back form them for a
month after requesting to appeal the ticket in court, which
leads me to go to their office in person upon my entrance the
front desk attendant is very busy watching FOX news, and the
manager has to come out to help me. I then receive very rude
service from her, to the point that I walked out shaking. I then
receive a letter in the mail notifying me that there was a late
feed and that payment of the citation was due immediately, I
then go to park Roanoke for a second time and find that the
same person is watching fox news and the manager was just as
rude as the last go around. I ask the city council Why? Is a third -
party company allowed to treat the city's residents in that
fashion? Why are police officers giving profit to a third -party
company? Is the city so indebted to Park Roanoke that you

Promoting peace through active nonviolence
META PEACE TEAM (MPT) empowers people to engage in active nonviolent
peacemaking. MPT was started in 1993 as Michigan Peace Team, in response to the
growing need for civilian peace- makers both in the U.S. and abroad. Since that time, we
have moved far beyond (in the Greek, Meta) the borders of Michigan.
We seek a just world grounded in nonviolence and respect for the sacred
interconnectedness of all life. MPT offers training on active nonviolence, bystander
intervention, meaningful conflict, and de- escalation skills. We provide opportunities to join
peace teams locally, nationally, and internationally.
Everyone is invited to be a part of this important work: Join one of our hubs, take our skills
training, join our peace teams, schedule a presentation, and /or make a donation. One
person CAN make a difference! We are looking for partners to host and help coordinate
training sessions.
We have established a hub of MPT here in Roanoke, Virginia. Our current members are
Joan Wages, Mike Heller, Claire English, and Stephen Niamke. Stephen is the Hub
Coordinator for MPT. Our other Hubs are in California - San Francisco /Oakland /Bay Area,

Background:
In 1983, Cooper Industries, Inc. (Cooper) selected the Roanoke Centre for
Industry and Technology to operate a large construction and mining equipment
manufacturing and warehouse facility. On July 7, 1983, Cooper and the City
entered into a Lease and Option to Purchase Agreement to lease an
approximate 48.26 -acre property located at 1700 Blue Hills Drive, N.E. (Tax
#7210103) (Property) for 40 years, paying a total rent of $400,000.00
(Agreement). This Agreement included an option to purchase the Property at
any time during the lease term for the remaining lease value, as well as the
adjoining approximate 9.997 -acre parcel ( #7200106) at 0 Orange Ave, N.E.
(Adjoining Property), for nominal consideration if Cooper made all payments
under the Agreement and was not otherwise in default of the Agreement.
Cooper assigned its rights in the Agreement to Cooper Crouse - Hinds, LLC
(Assignee) in September 2004. Assignee has contacted the City requesting to
exercise their option to purchase both parcels, in accordance with the terms of
the Agreement.

The City of Roanoke has received a request from developers for the City to adopt a Commercial Property
Assessed Clean Energy (C -PACE) Program pursuant to Section 15.2- 958.3, Code of Virginia (1950), as
amended. The purpose of the C -PACE Program is to promote and encourage the renovation and construction
of commercial, non - profit, and multifamily buildings and structures with the incorporation of renewable
energy production and distribution facilities, energy usage efficiency improvements, or water usage efficiency
improvements. Pursuant to Section 15.2 -958.3 F, City Council may adopt an ordinance to implement a
C -PACE Program after a public hearing. Notice of the public hearing must be published once a week for two
consecutive weeks.
RECOMMENDED ACTION
Authorize the scheduling and advertising of a public hearing before City Council to consider adoption of an
ordinance to establish a C -PACE Program to be held at the regular session of City Council on March 16,
2020, at 7:00 p.m., or as soon thereafter as the matter may be reached, or at such other date and time as the
City Manager deems appropriate.

Background:
SCAAP is administered by the Bureau of Justice Assistance Office of Justice Programs in
conjunction with the U.S. Department of Homeland Security. SCAAP provides federal
payments to states and localities that incurred correctional officer salary costs for incarcerating
undocumented criminal aliens who have at least one felony or two misdemeanor convictions for
violations of state or local law. These guidelines apply to those individuals who were
incarcerated for at least four consecutive days during the reporting period.
Considerations:
On December 31, 2019, the Sheriff's Office was awarded $11,569 in grant funding. There is no
required match for this program. In order to comply with grant requirements, all awarded
funding will be used to partially fund the purchase of a new inmate transport vehicle. The new
vehicle will replace an older model in the city fleet and shall be utilized to transport offenders.
Recommended Action:
Accept the SCAAP Reimbursement Grant described above and authorize the City Manager to
execute the grant agreement and any related documents; such documents to be approved as to
form by the City Attorney.

Background:
The Virginia Department of Health, Office of Emergency Medical Services,
administers and awards a Rescue Squad Assistance Fund (RSAF) grant twice
annually. Roanoke Fire -EMS applied for this grant in 2019 in order to purchase
PPCR Toughbook Computers and a Laerdal Suction Unit for a total cost of
$51,422.
The Office of Emergency Medical Services awarded Roanoke Fire -EMS a grant
totaling $51,422 that required a 50/50 match from the city. The grant funds
are as follows: $36,000 towards the purchase of PPCR Toughbook Computers
and $15,422 towards the purchase of a Laerdal Suction Unit. The matching
funds of $51,422 for these items will come from the grant match account.
Considerations:
City Council action is needed to formally accept and appropriate these funds,
and authorize the Director of Finance to establish revenue estimates and
appropriations to purchase the equipment in accordance with the provisions of
this grant.
Recommended Action:
Accept the grant as described above and authorize the City Manager to execute
any required grant agreements or documents, such documents to be approved
as to form by the City Attorney.
Adopt the accompanying budget ordinance to establish a revenue estimate in
the grant fund for State funds in the amount of $51,422 for the equipment.

Subject: Adjustments to VDOT Funding Awards
Background:
From time to time, the City of Roanoke applies for funding from the Virginia
Department of Transportation (VDOT) to plan and construct various transportation
projects. In some cases, the city administers these projects and in these cases, VDOT
reimburses the city upon completion of work and payment to the city's selected
contractor. Expenditure of awarded funds requires acceptance of those funds by City
Council, establishment of revenue estimates, and appropriation of those funds into
capital accounts for expenditure. When projects are completed under budget,
unexpended funds remain in the capital accounts. Because the funding is
reimbursable, these unexpended funds are not available to the city for expenditure.
As such, revenue estimates need to be decreased.
Considerations:
Action is proposed on five such accounts as outlined below:
Capital Street Paving FYI - Acct No. 08- 530 -9488
• VDOT funds to pave Orange Ave from Gainsboro Road to 10th Street.
• Decrease revenue estimate by $171,060 from the $ 365,000 appropriated.
Capital Street Paving FYI 9 - Acct No. 08- 530 -9250
• VDOT funds to pave Lafayette from Melrose to Cove.
• Decrease revenue estimate by $141,363 from the $475,000 appropriated.
Hershberger Road Corridor Improvements - Acct No. 08- 530 -9516
• Sidewalk and landscape improvements near Valley View and the Airport.
• Decrease State Grant funds by $483,086 from the $1,996,000 appropriated and
transfer unspent local funds back to Contingency account in the amount of
$6,033. Local funds in the amount of $40,000 were allocated initially.

A RESOLUTION approving, among other things, the issuance of not to exceed
$510,000,000 aggregate principal amount of Economic Development Authority of the City
of Roanoke, Virginia Hospital Revenue Bonds (Carilion Clinic Obligated Group) to the
extent required by Section 147 of the Internal Revenue Code of 1986, as amended, and
authorizing the Mayor or the City Manager and the Clerk, Acting Clerk or any Deputy
Clerk to the Roanoke City Council to take any and all action necessary, including the
execution of any documents, to consummate the issuance and sale of the Bonds in
conformity with the provisions of this Resolution.
WHEREAS, the City of Roanoke, Virginia (the "City ") is a municipal corporation
of the Commonwealth of Virginia exercising public and essential governmental functions
pursuant to the Constitution and laws of the Commonwealth of Virginia;
WHEREAS, the Economic Development Authority of the City of Roanoke,
Virginia (the "Roanoke Authority ") is a political subdivision of the Commonwealth of
Virginia and is authorized under Chapter 49, Title 15.2, Code of Virginia of 1950, as
amended (the "Act "), to issue revenue bonds for the purpose of facilitating the financing
or refinancing of certain projects required or useful for health care purposes;
WHEREAS, Carilion Medical Center ( "CMC ") is a private, nonstock corporation
duly incorporated and validly existing under and by virtue of the laws of the
Commonwealth of Virginia, which owns and operates Carilion Roanoke Memorial
Hospital ( "CRMH "), a health care facility located in the City of Roanoke, Virginia;
WHEREAS, CMC also owns and operates Carilion Roanoke Community Hospital
( "CRCH "), a health care facility located in the City of Roanoke, Virginia;
WHEREAS, Carilion Clinic Properties, LLC ( "CCLLC ") is a limited liability
company duly organized and validly existing under and by virtue of the laws of the
Commonwealth of Virginia, which owns and operates certain health care clinic facilities
located in the City of Roanoke, Virginia;
WHEREAS, Carilion Franklin Memorial Hospital ( "CFMH ") is a private, nonstock
corporation duly incorporated and validly existing under and by virtue of the laws of the
Commonwealth of Virginia, which owns and operates Carilion Franklin Memorial
Hospital, a health care facility located in the Town of Rocky Mount, Franklin County,
Virginia;
WHEREAS, Carilion Giles Community Hospital ( "CGCH ") is a private, nonstock
corporation duly incorporated and validly existing under and by virtue of the laws of the
Commonwealth of Virginia, which owns and operates Carilion Giles Community Hospital,
a health care facility located in the Town of Pearisburg, Giles County, Virginia;

WHEREAS, Carilion New River Valley Medical Center ( "CNRVMC ") is a private,
nonstock corporation duly incorporated and validly existing under and by virtue of the laws
of the Commonwealth of Virginia, which owns and operates Carilion New River Valley
Medical Center, a health care facility located in the County of Montgomery, Virginia;
WHEREAS, the Roanoke Authority has, by resolution adopted January 15, 2020
(the "Roanoke Authority Resolution "), provided initial approval for the issuance of its
Hospital Revenue Bonds (Carilion Clinic Obligated Group) in one or more series and in an
aggregate principal amount not to exceed $510,000,000 (the "Bonds ") for the purpose of
providing funds that, together with funds from other sources, will be applied to any or all
of the following: (I) financing for CMC a portion of the costs of expanding CRMH,
including (A) the construction and equipping of an approximately 486,000 square -foot
tower (the "Crystal Spring Tower ") that will consist of two to three floors of parking, an
expanded emergency department with 95 beds and a 40 -bed observation unit, and six to
seven floors housing the Carilion Cardiovascular Institute and consolidating heart and
vascular services in one location at 1906 Belleview Avenue, S.E., Roanoke, Virginia, (B)
the construction and equipping of an approximately 160,000 square -foot Behavioral Health
Building at the corner of McClanahan and South Jefferson Streets, Roanoke, Virginia that
will house the Department of Psychiatry and Behavioral Medicine and will include a
separate emergency room for behavioral health patients, (C) the construction of a new
parking garage at the corner of McClanahan and South Jefferson Streets, Roanoke, Virginia
that will provide approximately 500 to 600 new parking spaces and will be connected to
the Crystal Spring Tower, the Behavioral Health Building and the Cancer Center via a
covered pedestrian bridge over Jefferson Street in Roanoke, Virginia; and (D) the
renovation of facilities and /or the construction of routine capital improvements at CRMH
and the acquisition and installation of capital equipment for use in or in connection with
CRMH (collectively, the "2020 Project "); (II) refunding all or a portion of (A) the Roanoke
Authority's outstanding Hospital Revenue Refunding Bonds (Carilion Clinic Obligated
Group), Series 2010 (the "Series 2010 Bonds "), Hospital Revenue Bonds (Carilion Health
System Obligated Group), Series 2005A (the "Series 2005A Bonds "), Hospital Revenue
Bonds (Carilion Health System Obligated Group), Series 2005B (the "Series 2005B
Bonds ") and Hospital Revenue Bonds (Carilion Health System Obligated Group), Series
2005C (the "Series 2005C Bonds ") and (B) the Virginia Small Business Financing
Authority's outstanding Hospital Revenue Bonds (Carilion Clinic Obligated Group), Series
2008A (the "Series 2008A Bonds ") and Hospital Revenue Bonds (Carilion Clinic
Obligated Group), Series 2008B (the "Series 2008B Bonds" and, together with the Series
2008A Bonds, the "Series 2008A /B Bonds "); and (III) paying certain expenses incurred in
connection with the issuance of the Bonds;
WHEREAS, the proceeds of the Series 2010 Bonds, together with funds from other
sources, were used to (I) refund all of the Roanoke Authority's Hospital Revenue Bonds
(Carilion Health System Obligated Group), Series 2003A, Series 2003B and Series 2003C
(collectively, the "Series 2003 Bonds ") and (II) pay certain expenses incurred in connection
with the issuance of the Series 2010 Bonds;
WHEREAS, the proceeds of the Series 2003 Bonds were loaned to CMC and
CFMH for the purpose of (I) (A) constructing and equipping a seven -story addition to

CRMH, (B) constructing a five - level, approximately 1,000 space parking garage across the
Roanoke River from CRMH (the "2003 Parking Garage Project "), (C) constructing a
pedestrian bridge over the Roanoke River which connects CRMH to the parking garage
(the "2003 Pedestrian Bridge Project "), (D) expanding an existing vehicle bridge over the
Roanoke River between CRMH and the parking garage (the "2003 Vehicle Bridge
Project "), (E) renovating certain portions of CRMH, and (F) acquiring certain capital
equipment for use in or in connection with CRMH (collectively, the "2003 CRMH
Project'), (II) renovating certain portions of CRCH and acquiring certain capital equipment
for use in or in connection with CRCH (collectively, the "2003 CRCH Project "); (III)
refunding a portion of the Roanoke Authority's Hospital Revenue Refunding Bonds
(Roanoke Memorial Hospitals, Community Hospital of Roanoke Valley, Franklin
Memorial Hospital and Saint Albans Psychiatric Hospital Project), Series 1993A (the
"Series 1993A Bonds "); and (IV) paying certain expenses incurred in connection with the
issuance of the Series 2003 Bonds;
WHEREAS, the proceeds of the Series 1993A Bonds were used to finance for CMC
and CFMH all or a portion of the cost of (1) advance refunding a portion of the outstanding
balance of the Roanoke Authority's Hospital Revenue Bonds (Roanoke Memorial
Hospitals, Community Hospital of Roanoke Valley and Franklin Memorial Hospital
Project), Series 1990, the proceeds of which were used for the purpose of (A) financing or
reimbursing CMC for financing a portion of the cost of various capital projects at CRMH;
(B) refunding certain bonds and notes previously issued by the Roanoke Authority for the
benefit of CMC which were used to finance the costs of various capital projects at CRMH;
(C) financing for CMC a portion of the cost of various capital projects at CRCH; (D)
refunding certain bonds and notes previously issued by the Roanoke Authority for the
benefit of CMC which were used to finance the costs of various capital projects at CRCH;
and (E) financing for CFMH a portion of the cost of (i) constructing and equipping an out-
patient wing, including the emergency department, physical therapy, cardiac rehabilitation,
and an out - patient laboratory, (ii) constructing and equipping an obstetrical services wing,
(iii) renovating certain other existing patient care areas, including medical /surgical and
intensive care units and the operating room, (iv) improving building systems within the
CFMH hospital facilities, and (v) acquiring certain capital equipment for use in the CFMH
hospital facilities (the "1990 CFMH Project "); and (11) paying certain expenses incurred in
connection with the issuance of the Series 1993A Bonds;
WHEREAS, CMC owns and operates CRMH and CRCH, and the location of the
2003 CRMH Project (other than the 2003 Parking Garage Project, the 2003 Pedestrian
Bridge Project and the 2003 Vehicle Bridge Project) and the other capital projects at
CRMH refinanced with the Series 2010 Bonds is on the CRMH campus at Jefferson Street
and Belleview Avenue, S.E., Roanoke, Virginia;
WHEREAS, the location of the 2003 Parking Garage Project, the 2003 Pedestrian
Bridge Project and the 2003 Vehicle Bridge Project is 1850 Jefferson Street, S.E., Roanoke,
Virginia;

WHEREAS, the location of the 2003 CRCH Project and the other capital projects
at CRCH refinanced with the Series 2010 Bonds is 101 Elm Avenue, S.E., Roanoke,
Virginia;
WHEREAS, CFMH owns and operates the 1990 CFMH Project.;
WHEREAS, the location of the 1990 CFMH Project is 124 Floyd Avenue, Rocky
Mount, Franklin County, Virginia;
WHEREAS, the proceeds of the Series 2008A/B Bonds were used for (I) (A)
financing for CCLLC a portion of the costs of (i) the construction and equipping of a multi-
story clinic building located at the corner of Reserve Avenue and Jefferson Street,
Roanoke, Virginia (the "Clinic Building ") and (ii) the construction of an approximately
1500 -space parking garage located next to the Clinic Building (the "Clinic Garage "); (B)
financing for CMC a portion of the costs of (i) the renovation and equipping of, and other
routine capital improvements for, CRMH (the "2008 CRMH Project ") and (ii) the
renovation and equipping of, and other routine capital improvements for, CRCH (the "2008
CRCH Project "); (C) financing for CGCH a portion of the costs of (i) the construction and
equipping of a replacement hospital in Pearisburg, Virginia (the "Giles New Hospital
Facility ") and (ii) the renovation and equipping of, and other routine capital improvements
for, the then - existing hospital facility operated by CGCH; (D) financing for CNRVMC a
portion of the costs of (i) the construction and equipping of a three -story cardiovascular
services building and medical office space at 2900 Lamb Circle, Christiansburg, Virginia,
adjacent to the Carilion New River Valley Medical Center and (ii) the renovation and
equipping of, and other routine capital improvements for, the Carilion New River Valley
Medical Center (collectively, the "2008 New River Valley Project'); and (E) financing for
CFMH a portion of the costs of the renovation and equipping of, and other routine capital
improvements for, the Carilion Franklin Memorial Hospital (the "2008 Franklin Project');
and (II) paying certain expenses incurred in connection with the issuance of the Series
2008A /B Bonds;
WHEREAS, Carilion Clinic is the sole member of CCLLC, and CCLLC owns and
operates the Clinic Building, which is located at the corner of Reserve Avenue, S.W. and
Jefferson Street, Roanoke, Virginia, and the Clinic Garage, which is located off Reserve
Avenue between Jefferson Street and Franklin Road, Roanoke, Virginia;
WHEREAS, CMC owns and operates CRMH and the location of the 2008 CRMH
Project is Jefferson Street and Belleview Avenue, S.E., Roanoke, Virginia;
WHEREAS, CMC owns and operates CRCH and the location of the 2008 CRCH
Project is 101 Elm Avenue. S.E., Roanoke, Virginia;
WHEREAS, CGCH owns and operates the Giles New Hospital Facility and the
location of the Giles New Hospital Facility is 159 Hartley Way, Pearisburg, Virginia;
WHEREAS, CNRVMC owns and operates the 2008 New River Valley Project and
the location of the 2008 New River Valley Project is 2900 Lamb Circle, Christiansburg,
Virginia;

WHEREAS, CFMH owns and operates the 2008 Franklin Project and the location
of the 2008 Franklin Project is 124 Floyd Avenue, Rocky Mount, Franklin County,
Virginia;
WHEREAS, the proceeds of the Series 2005A Bonds were used for (I) financing
for CMC a portion of the costs of (i) renovating and expanding certain portions of CRMH,
including the construction and equipping of an addition to CRMH and new operating rooms
within the addition, the construction of an additional entrance on the front side of CRMH,
the conversion of the road around CRMH on the campus of CRMH from a 16- to 20 foot -
wide, one -way, through- traffic road to a 24 foot -wide, two -way, through- traffic road, and
the construction of a new power plant building on the campus of CRMH and the relocation
of the power feeds and an oxygen tank on the campus of CRMH and (ii) acquiring certain
capital equipment for use in connection with CRMH (collectively, the "2005 CRMH
Project ") and (I1) paying certain expenses incurred in connection with the issuance of the
Series 2005A Bonds;
WHEREAS, the proceeds of the Series 2005B Bonds and the Series 2005C Bonds,
together with funds from other sources, were used to (1) refund the Roanoke Authority's
Hospital Revenue Refunding Bonds (Carilion Health System Obligated Group), Series
2002B, Series 2002C, Series 2002D and Series 2002E (collectively, the "Series
2002B /C /D /E Bonds ") and (II) pay certain expenses incurred in connection with the
issuance of the Series 2005B Bonds and the Series 2005C Bonds;
WHEREAS, the proceeds of the Series 2002B /C /D /E Bonds were loaned to CMC,
CGCH, CFMH and CNRVMC for the purpose of (I) refunding (A) a portion of the
Roanoke Authority's Hospital Revenue Refunding Bonds (Roanoke Memorial Hospitals,
Community Hospital of Roanoke Valley and Franklin Memorial Hospital Project), Series
1992B (the "Series 1992 Bonds "), (B) a portion of the Roanoke Authority's Hospital
Revenue Bonds (Roanoke Memorial Hospitals, Community Hospital of Roanoke Valley,
Bedford County Memorial Hospital, Giles Memorial Hospital, Radford Community
Hospital, Franklin Memorial Hospital and Saint Albans Psychiatric Hospital Project),
Series 1995A, Series 1995B, Series 1995C and Series 1995D (collectively, the "Series
1995 Bonds ") and (C) all of the Roanoke Authority's Hospital Revenue Bonds (Carilion
Health System Obligated Group), Series 1997A and Series 1997B (collectively, the "Series
1997 Bonds," and, together with the Series 1992 Bonds and the Series 1995 Bonds, the
"Series 1992/1995/1997 Bonds "; and (II) paying certain expenses incurred in connection
with the issuance of the Series 2002B /C /D /E Bonds;
WHEREAS, the proceeds of the Series 1992/1995/1997 Bonds were loaned to
CMC, Giles Memorial Hospital, Incorporated, CFMH and CNRVMC for the purpose of
(I) financing or refinancing a variety of capital projects for CMC, Giles Memorial Hospital,
Incorporated, CFMH and CNRVMC (collectively, the "Refunded Projects ") and (II)
paying certain expenses incurred in connection with the issuance of the Series
1992/1995/1997 Bonds;

WHEREAS, CMC owns and operates CRMH, and the location of the 2005 CRMH
Project is on the CRMH campus at Jefferson Street and Belleview Avenue, S.E., Roanoke,
Virginia;
WHEREAS, CMC owns and operates CRMH and the location of each of the
Refunded Projects for CRMH is Jefferson Street and Belleview Avenue, S.E., Roanoke,
Virginia;
WHEREAS, CMC also owns and operates CRCH and the location of each of the
Refunded Projects for CRCH is 101 Elm Avenue, S.E., Roanoke, Virginia;
WHEREAS, on the respective date of issuance of the Series 1995 Bonds and the
Series 1997 Bonds, Giles Memorial Hospital, Incorporated, a Virginia nonstock
corporation, owned and operated Carilion Giles Memorial Hospital and the location of each
of the Refunded Projects for Carilion Giles Memorial Hospital was 1 Taylor Avenue,
Pearisburg, Virginia;
WHEREAS, CFMH owns and operates Carilion Franklin Memorial Hospital and
the location of each of the Refunded Projects for Carilion Franklin Memorial Hospital is
124 Floyd Avenue, Rocky Mount, Franklin County, Virginia;
WHEREAS, CNRVMC owns and operates Carilion New River Valley Medical
Center and the location of each of the Refunded Projects for Carilion New River Valley
Medical Center is 2900 Lamb Circle, Christiansburg, Virginia;
WHEREAS, the Council of the City of Roanoke (the "Roanoke City Council ")
must first approve the issuance of the Bonds before the Roanoke Authority can proceed
with the issuance of the Bonds;
WHEREAS, the Roanoke Authority has delivered or caused to be delivered to the
Roanoke City Council the following: (i) a reasonably detailed summary of the comments
expressed at the public hearing held by the Roanoke Authority in connection with the
issuance of the Bonds, including proof of publication of the notice of public hearing as
required by the Act and by Section 147(f) of the Internal Revenue Code of 1986, as
amended, (ii) a fiscal impact statement in the form specified in Section 15.2 -4907 of the
Act, and (iii) a copy of the Roanoke Authority Resolution, which constitutes the
recommendation of the Roanoke Authority that the Roanoke City Council approve the
issuance of the Bonds; and
WHEREAS, the Roanoke City Council has determined that it is necessary at this
time to approve the issuance by the Roanoke Authority of not to exceed $510,000,000
aggregate principal amount of the Bonds to promote the improvement of the health and
living conditions of the people of the City and the Commonwealth of Virginia, increase
opportunities for gainful employment, improve health care and otherwise aid in improving
the prosperity and welfare of said City and Commonwealth and its inhabitants by financing
and refinancing the hospital facilities of CMC, CGCH, CFMH, CNRVMC, and CCLLC.

NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Roanoke,
Virginia:
SECTION 1. The Roanoke City Council hereby approves the issuance by the
Roanoke Authority of the Bonds in one or more series and in an aggregate principal amount
not to exceed $510,000,000 for the purpose of providing funds that, together with funds
from other sources, will be applied to (I) finance the 2020 Project; (II) refund all or a
portion of the Series 2010 Bonds, Series 2005A Bonds, Series 2005B Bonds, Series 2005C
Bonds, and the Series 2008A /B Bonds; and (III) pay certain expenses incurred in
connection with the issuance of the Bonds.
SECTION 2. The Mayor or the City Manager and the Clerk or any Deputy Clerk
to the Roanoke City Council are hereby authorized and directed, on behalf of the City, to
take any and all action necessary, including the execution of any documents, to
consummate the issuance and sale of the Bonds in conformity with the provisions of this
resolution.
SECTION 3. The approval of the issuance of the Bonds, as required by Section
147(f) of the Internal Revenue Code of 1986, as amended, and the Act, does not constitute
an endorsement to any prospective purchaser of the Bonds or the creditworthiness of CMC,
CGCH, CFMH, CNRVMC, and CCLLC and, as required by the Act, the Bonds shall
provide that neither the Commonwealth of Virginia, the City nor the Roanoke Authority
shall be obligated to pay the principal of, the redemption premium, if any, or the interest
on the Bonds or other costs incident thereto except from the revenues and funds pledged
therefor and neither the faith or credit nor the taxing power of the Commonwealth of
Virginia, the City nor the Roanoke Authority shall be pledged thereto.
SECTION 4. This Resolution shall take effect immediately upon its passage.

I, Djuna L. Osborne, state that I have a personal interest in Agenda item Section 8 a., at
the 2:00 p.m. session, February 3, 2020, regarding a report of the Economic Development
Authority recommending issuance of revenue bonds, not to exceed $510 million, for Carilion
Medical Center and Affiliates in connection with multiple medical related projects in Roanoke
City, all as more particularly described in the City Council Agenda and materials because my
husband is an employee with Carilion Roanoke Hospital, an affiliate of Carilion Medical
Center. My husband has not participated in this matter.

Carilion Medical Center ("CIVIC"), a Virginia private, nonstock corporation,
and its affiliates, Carilion Giles Community Hospital, a Virginia private,
nonstock corporation ( "CGCH "), Carilion Franklin Memorial Hospital, a Virginia
private, nonstock corporation ( "CFMH "), Carilion New River Valley Medical
Center, a Virginia private, nonstock corporation ( "CNRVMC "), and Carilion Clinic
Properties, LLC, a Virginia limited liability company ( "CCLLC ") have requested
the Economic Development Authority of the City of Roanoke, Virginia (the
"Authority ") to issue in one or more series and in an aggregate principal amount
not to exceed $510,000,000 (the "Bonds ") for the purpose of providing funds
that, together with funds from other sources, will be applied to any or all of the
following: (1) financing for CIVIC a portion of the costs of expanding Carilion
Roanoke Memorial Hospital ( "CRMH "), including (A) the construction and
equipping of an approximately 486,000 square -foot tower (the "Crystal Spring
Tower ") that will consist of two to three floors of parking, an expanded
emergency department with 95 beds and a 40 -bed observation unit, and six to
seven floors housing the Carilion Cardiovascular Institute and consolidating
heart and vascular services in one location at 1906 Belleview Avenue, S.E.,
Roanoke, Virginia, (B) the construction and equipping of an approximately
160,000 square -foot Behavioral Health Building at the corner of McClanahan
and South Jefferson Streets, Roanoke, Virginia that will house the Department of
Psychiatry and Behavioral Medicine and will include a separate emergency room
for behavioral health patients, (C) the construction of a new parking garage at
the corner of McClanahan and South Jefferson Streets, Roanoke, Virginia that
will provide approximately 500 to 600 new parking spaces and will be
connected to the Crystal Spring Tower, the Behavioral Health Building and the
Cancer Center via a covered pedestrian bridge over Jefferson Street in Roanoke,
Virginia; and (D) the renovation of facilities and /or the construction of routine
capital improvements at CRMH and the acquisition and installation of capital
equipment for use in or in connection with CRMH (collectively, the "2020
Project "); (II) refunding all or a portion of (A) the Roanoke Authority's
outstanding Hospital Revenue Refunding Bonds (Carilion Clinic Obligated
Group), Series 2010 (the "Series 2010 Bonds "), Hospital Revenue Bonds (Carilion
Health System Obligated Group), Series 2005A (the "Series 2005A Bonds "),
Hospital Revenue Bonds (Carilion Health System Obligated Group), Series 2005B
(the "Series 2005B Bonds ") and Hospital Revenue Bonds (Carilion Health System
Obligated Group), Series 2005C (the "Series 2005C Bonds ") and (B) the Virginia
Small Business Financing Authority's outstanding Hospital Revenue Bonds
(Carilion Clinic Obligated Group), Series 2008A (the "Series 2008A Bonds ") and
Hospital Revenue Bonds (Carilion Clinic Obligated Group), Series 2008B (the
"Series 2008B Bonds" and, together with the Series 2008A Bonds, the "Series
2008A/B Bonds "); and (III) paying certain expenses incurred in connection with
the issuance of the Bonds.
The issuance of tax - exempt bonds for the benefit of a nonprofit corporation such as
CIVIC is subject to certain public hearing and public approval requirements as set
forth in Section 147(f) of the Internal Revenue Code of 1986, as amended (the
"Code "). Section 147(f) of the Code requires that the elected legislative body of the
governmental unit with jurisdiction over the issuer of the bonds and over the area in
which any facility financed with the proceeds of the bond is located to approve the
issuance of such bonds. The Authority held a public hearing on January 15, 2020, as
required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the
"Code "), and Section 15.2 -4906 of the Industrial Development and Revenue Bond A,
Chapter 49, Title 1 5.2, Code of Virginia of 1950, as amended (the "Act "), and is filing
a report of that hearing and its related action, with the recommendation that City
Council approve the bond issue for CIVIC and its affiliates for purposes of satisfying
the requirements of Section 147(f) of the Code and the Act. A copy of the Authority's
report of the public hearing held on January 15, 2020, is attached to this Council
Report.
The Bonds will not constitute a debt, liability or obligation of the City of Roanoke.
The Bonds will be special, limited obligations of the Authority, payable solely from
payments to be made by CIVIC, CGCH, CFMH, CNRVMC, and /or CCLLC. The approval
of City Council as set forth in the Resolution is given solely for the purposes of
satisfying the public approval requirement of Section 147(f) of the Code and Section
15.2 -4906 of the Act and is not an endorsement to a prospective purchaser of the
Bonds of the creditworthiness of CIVIC, CCH, CFMH, CNRVMC, or CCLLC, or the 2020
Project to be financed with the proceeds of the Bonds, or any other matter relating to
the Bonds or the projects to be financed thereby.
Recommended Action:
Adopt the attached resolution to approve the issuance of the bonds for
purposes of satisfying Section 147(f) of the Code and Section 15.2 -4906 of the
Act, as described in this Report.

RESOLUTION OF THE ECONOMIC DEVELOPMENT AUTHORITY
OF THE CITY OF ROANOKE, VIRGINIA
AUTHORIZING, AMONG OTHER THINGS, THE ISSUANCE
OF NOT TO EXCEED $510,000,000 AGGREGATE PRINCIPAL AMOUNT
OF HOSPITAL REVENUE BONDS
(CARILION CLINIC OBLIGATED GROUP)
WHEREAS, the Economic Development Authority of the City of Roanoke, Virginia (the
"Authority ") is a political subdivision of the Commonwealth of Virginia and is authorized under
Chapter 49, Title 15.2, Code of Virginia of 1950, as amended (the "Act "), to make and execute
financing agreements, contracts, deeds and other instruments necessary or convenient for the
purpose of facilitating the financing or refinancing of certain projects required or useful for health
care purposes, including furnishings, machinery, equipment, land, rights in land and other
appurtenances and facilities related thereto, to the end that the Authority may be able to promote
improvement of the health and living conditions of the people of the Commonwealth of Virginia,
increase opportunities for gainful employment, improve health care and otherwise aid in improving
the prosperity and welfare of Virginia and its inhabitants, and to provide such financing through
the issuance of revenue bonds; and
WHEREAS, Carilion Medical Center ( "CMC ") is a private, nonstock corporation duly
incorporated and validly existing under and by virtue of the laws of the Commonwealth of
Virginia, which owns and operates Carilion Roanoke Memorial Hospital ( "CRMIT ), a health care
facility located in the City of Roanoke, Virginia; and
WHEREAS, CMC also owns and operates Carilion Roanoke Community Hospital
( "CRCH "), a health care facility located in the City of Roanoke, Virginia; and
WHEREAS, Carilion Clinic Properties, LLC ( "CCLLC ") is a limited liability company
duly organized and validly existing under and by virtue of the laws of the Commonwealth of
Virginia, which owns and operates certain health care clinic facilities located in the City of
Roanoke, Virginia; and
WHEREAS, Carilion Franklin Memorial Hospital ( "CFMH ") is a private, nonstock
corporation duly incorporated and validly existing under and by virtue of the laws of the
Commonwealth of Virginia, which owns and operates Carilion Franklin Memorial Hospital, a
health care facility located in the Town of Rocky Mount, Franklin County, Virginia; and
WHEREAS, Carilion Giles Community Hospital ( "CGCH ") is a private, nonstock
corporation duly incorporated and validly existing under and by virtue of the laws of the
Commonwealth of Virginia, which owns and operates Carilion Giles Community Hospital, a
health care facility located in the Town of Pearisburg, Giles County, Virginia; and
WHEREAS, Carilion New River Valley Medical Center ( "CNRVMC ") is a private,
nonstock corporation duly incorporated and validly existing under and by virtue of the laws of the
Commonwealth of Virginia, which owns and operates Carilion New River Valley Medical Center,
a health care facility located in the County of Montgomery, Virginia; and

WHEREAS, the Authority has been requested to issue one or more series of its revenue
bonds, in an aggregate principal amount not exceeding $510,000,000, for the purpose of providing
funds that, together with funds from other sources, will be applied to any or all of the following:
(I) financing for CMC a portion of the costs of expanding CRMH, including (A) the construction
and equipping of an approximately 486,000 square -foot tower (the "Crystal Spring Tower") that
will consist of two to three floors of parking, an expanded emergency department with 95 beds
and a 40 -bed observation unit, and six to seven floors housing the Carilion Cardiovascular Institute
and consolidating heart and vascular services in one location at 1906 Belleview Avenue, S.E.,
Roanoke, Virginia, (B) the construction and equipping of an approximately 160,000 square -foot
Behavioral Health Building at the corner of McClanahan and South Jefferson Streets, Roanoke,
Virginia that will house the Department of Psychiatry and Behavioral Medicine and will include a
separate emergency room for behavioral health patients, (C) the construction of a new parking
garage at the comer of McClanahan and South Jefferson Streets, Roanoke, Virginia that will
provide approximately 500 to 600 new parking spaces and will be connected to the Crystal Spring
Tower, the Behavioral Health Building and the Cancer Center via a covered pedestrian bridge over
Jefferson Street in Roanoke, Virginia; and (D) the renovation of facilities and/or the construction
of routine capital improvements at CRMH and the acquisition and installation of capital equipment
for use in or in connection with CRMH (collectively, the "2020 Project "); (II) refunding all or a
portion of (A) the Authority's outstanding Hospital Revenue Refunding Bonds ( Carilion Clinic
Obligated Group), Series 2010 (the "Series 2010 Bonds "), Hospital Revenue Bonds ( Carilion
Health System Obligated Group), Series 2005A (the "Series 2005A Bonds "), Hospital Revenue
Bonds ( Carilion Health System Obligated Group), Series 2005B (the "Series 2005B Bonds ") and
Hospital Revenue Bonds ( Carilion Health System Obligated Group), Series 2005C (the "Series
2005C Bonds ") and (B) the Virginia Small Business Financing Authority's outstanding Hospital
Revenue Bonds ( Carilion Clinic Obligated Group), Series 2008A (the "Series 2008A Bonds ") and
Hospital Revenue Bonds ( Carilion Clinic Obligated Group), Series 2008B (the "Series 2008B
Bonds" and, together with the Series 2008A Bonds, the "Series 2008AB Bonds "); and (III) paying
certain expenses incurred in connection with the issuance of said revenue bonds; and
WHEREAS, the proceeds of the Series 2010 Bonds, together with funds from other
sources, were used to (I) refund all of the Authority's Hospital Revenue Bonds ( Carilion Health
System Obligated Group), Series 2003A, Series 2003B and Series 2003C (collectively, the "Series
2003 Bonds ") and (Il) pay certain expenses incurred in connection with the issuance of the Series
2010 Bonds; and
WHEREAS, the proceeds of the Series 2003 Bonds were loaned to CMC and CFMH for
the purpose of (1) (A) constructing and equipping a seven -story addition to CRMH, (B)
constructing a five - level, approximately 1,000 space parking garage across the Roanoke River
from CRMH (the "2003 Parking Garage Project "), (C) constructing a pedestrian bridge over the
Roanoke River which connects CRMH to the parking garage (the "2003 Pedestrian Bridge
Project "), (D) expanding an existing vehicle bridge over the Roanoke River between CRMH and
the parking garage (the "2003 Vehicle Bridge Project "), (E) renovating certain portions of CRMH,
and (F) acquiring certain capital equipment for use in or in connection with CRMH (collectively,
the "2003 CRMH Project'), (II) renovating certain portions of CRCH and acquiring certain capital
equipment for use in or in connection with CRCH (collectively, the "2003 CRCH Project "); (III)
refunding a portion of the Authority's Hospital Revenue Refunding Bonds (Roanoke Memorial
Hospitals, Community Hospital of Roanoke Valley, Franklin Memorial Hospital and Saint Albans

Psychiatric Hospital Project), Series 1993A (the "Series 1993A Bonds "); and (1V) paying certain
expenses incurred in connection with the issuance of the Series 2003 Bonds; and
WHEREAS, the proceeds of the Series 1993A Bonds were used to finance for CMC and
CFMH all or a portion of the cost of (1) advance refunding a portion of the outstanding balance of
the Authority's Hospital Revenue Bonds (Roanoke Memorial Hospitals, Community Hospital of
Roanoke Valley and Franklin Memorial Hospital Project), Series 1990, the proceeds of which were
used for the purpose of (A) financing or reimbursing CMC for financing a portion of the cost of
various capital projects at CRMH; (B) refunding certain bonds and notes previously issued by the
Authority for the benefit of CMC which were used to finance the costs of various capital projects
at CRMH; (C) financing for CMC a portion of the cost of various capital projects at CRCH; (D)
refunding certain bonds and notes previously issued by the Authority for the benefit of CMC which
were used to finance the costs of various capital projects at CRCH; and (E) financing for CFMH a
portion of the cost of (i) constructing and equipping an out - patient wing, including the emergency
department, physical therapy, cardiac rehabilitation, and an out - patient laboratory, (ii) constructing
and equipping an obstetrical services wing, (iii) renovating certain other existing patient care areas,
including medical/surgical and intensive care units and the operating room, (iv) improving
building systems within the CFMH hospital facilities, and (v) acquiring certain capital equipment
for use in the CFMH hospital facilities (the "1990 CFMH Project "); and GI) paying certain
expenses incurred in connection with the issuance of the Series 1993A Bonds; and
WHEREAS, CMC owns and operates CRMH and CRCH, and the location of the 2003
CRMH Project (other than the 2003 Parking Garage Project, the 2003 Pedestrian Bridge Project
and the 2003 Vehicle Bridge Project) and the other capital projects at CRMH refinanced with the
Series 2010 Bonds is on the CRMH campus at Jefferson Street and Belleview Avenue, S.E.,
Roanoke, Virginia; and
WHEREAS, the location of the 2003 Parking Garage Project, the 2003 Pedestrian Bridge
Project and the 2003 Vehicle Bridge Project is 1850 Jefferson Street, S.E., Roanoke, Virginia; and
WHEREAS, the location ofthe 2003 CRCH Project and the other capital projects at CRCH
refinanced with the Series 2010 Bonds is 101 Elm Avenue, S.E., Roanoke, Virginia; and
WHEREAS, CFMH owns and operates the 1990 CFMH Project.; and
WHEREAS, the location of the 1990 CFMH Project is 124 Floyd Avenue, Rocky Mount,
Franklin County, Virginia; and
WHEREAS, the proceeds of the Series 2008A/B Bonds were used for (1) (A) financing for
CCLLC a portion of the costs of (i) the construction and equipping of a multi-story clinic building
located at the corner of Reserve Avenue and Jefferson Street, Roanoke, Virginia (the "Clinic
Building ") and (ii) the construction of an approximately 1500 -space parking garage located next
to the Clinic Building (the "Clinic Garage "); (B) financing for CMC a portion of the costs of (i)
the renovation and equipping of, and other routine capital improvements for, CRMH (the "2008
CRMH Project ") and (ii) the renovation and equipping of, and other routine capital improvements
for, CRCH (the "2008 CRCH Project "); (C) financing for CGCH a portion of the costs of (i) the
construction and equipping of a replacement hospital in Pearisburg, Virginia (the "Giles New

Hospital Facility ") and (ii) the renovation and equipping of, and other routine capital
improvements for, the then- existing hospital facility operated by CGCH; (D) financing for
CNRVMC a portion of the costs of (i) the construction and equipping of a three -story
cardiovascular services building and medical office space at 2900 Lamb Circle, Christiansburg,
Virginia, adjacent to the Carilion New River Valley Medical Center and (ii) the renovation and
equipping of, and other routine capital improvements for, the Carilion New River Valley Medical
Center (collectively, the "2008 New River Valley Project "); and (E) financing for CFMH a portion
of the costs of the renovation and equipping of, and other routine capital improvements for, the
Carilion Franklin Memorial Hospital (the "2008 Franklin Project "); and (11) paying certain
expenses incurred in connection with the issuance of the Series 2008A/B Bonds; and
WHEREAS, Carilion Clinic is the sole member of CCLLC, and CCLLC owns and operates
the Clinic Building, which is located at the corner of Reserve Avenue and Jefferson Street,
Roanoke, Virginia, and the Clinic Garage, which is located off Reserve Avenue between Jefferson
Street and Franklin Road, Roanoke, Virginia; and
WHEREAS, CMC owns and operates CRMH and the location of the 2008 CRMH Project
is Jefferson Street and Belleview Avenue, S.E., Roanoke, Virginia; and
WHEREAS, CMC owns and operates CRCH and the location of the 2008 CRCH Project
is 101 Elm Avenue. S.E., Roanoke, Virginia; and
WHEREAS, CGCH owns and operates the Giles New Hospital Facility and the location
of the Giles New Hospital Facility is 159 Hartley Way, Pearisburg, Virginia; and
WHEREAS, CNRVMC owns and operates the 2008 New River Valley Project and the
location of the 2008 New River Valley Project is 2900 Lamb Circle, Christiansburg, Virginia; and
WHEREAS, CFMH owns and operates the 2008 Franklin Project and the location of the
2008 Franklin Project is 124 Floyd Avenue, Rocky Mount, Franklin County, Virginia; and
WHEREAS, the proceeds of the Series 2005A Bonds were used for (I) financing for CMC
a portion of the costs of (i) renovating and expanding certain portions of CRMH, including the
construction and equipping of an addition to CRMH and new operating rooms within the addition,
the construction of an additional entrance on the front side of CRMH, the conversion of the road
around CRMH on the campus of CRMH from a 16- to 20 foot -wide, one -Way, through -traffic road
to a 24 foot -wide, two -way, through -traffic road, and the construction of a new power plant
building on the campus of CRMH and the relocation of the power feeds and an oxygen tank on the
campus of CRMH and (ii) acquiring certain capital equipment for use in connection with CRMH
(collectively, the "2005 CRMH Project ") and (II) paying certain expenses incurred in connection
with the issuance of the Series 2005A Bonds; and
WHEREAS, the proceeds of the Series 2005B Bonds and the Series 2005C Bonds, together
with fiends from other sources, were used to (1) refund the Authority's Hospital Revenue Refunding
Bonds ( Carilion Health System Obligated Group), Series 2002B, Series 2002C, Series 2002D and
Series 2002E (collectively, the "Series 2002B /C/D/E Bonds ") and (II) pay certain expenses
incurred in connection with the issuance of the Series 2005B Bonds and the Series 2005C Bonds;
and

WHEREAS, the proceeds of the Series 2002B /C/D/E Bonds were loaned to CMC, CGCH,
CFMH and CNRVMC for the purpose of (I) refunding (A) a portion of the Authority's Hospital
Revenue Refunding Bonds (Roanoke Memorial Hospitals, Community Hospital of Roanoke
Valley and Franklin Memorial Hospital Project), Series 1992B (the "Series 1992 Bonds "), (B) a
portion of the Authority's Hospital Revenue Bonds (Roanoke Memorial Hospitals, Community
Hospital of Roanoke Valley, Bedford County Memorial Hospital, Giles Memorial Hospital,
Radford Community Hospital, Franklin Memorial Hospital and Saint Albans Psychiatric Hospital
Project), Series 1995A, Series 1995B, Series 1995C and Series 1995D (collectively, the "Series
1995 Bonds ") and (C) all of the Authority's Hospital Revenue Bonds ( Carilion Health System
Obligated Group), Series 1997A and Series 1997B (collectively, the "Series 1997 Bonds," and,
together with the Series 1992 Bonds and the Series 1995 Bonds, the "Series 1992/1995/1997
Bonds "; and (II) paying certain expenses incurred in connection with the issuance of the Series
2002B /C/D/E Bonds; and
WHEREAS, the proceeds of the Series 1992/1995/1997 Bonds were loaned to CMC, Giles
Memorial Hospital, Incorporated, CFMH and CNRVMC for the purpose of (I) financing or
refinancing a variety of capital projects for CMC, Giles Memorial Hospital, Incorporated, CFMH
and CNRVMC (collectively, the "Refunded Projects ") and (II) paying certain expenses incurred
in connection with the issuance of the Series 1992/1995/1997 Bonds; and
WHEREAS, CMC owns and operates CRMH, and the location of the 2005 CRMH Project
is on the CRMH campus at Jefferson Street and Belleview Avenue, S.E., Roanoke, Virginia; and
WHEREAS, CMC owns and operates CRMH and the location of each of the Refunded
Projects for CRMH is Jefferson Street and Belleview Avenue, S.E., Roanoke, Virginia; and
WHEREAS, CMC also owns and operates CRCH and the location of each of the Refunded
Projects for CRCH is 101 Elm Avenue, S.E., Roanoke, Virginia; and
WHEREAS, on the respective date of issuance of the Series 1995 Bonds and the Series
1997 Bonds, Giles Memorial Hospital, Incorporated, a Virginia nonstock corporation, owned and
operated Carilion Giles Memorial Hospital and the location of each of the Refunded Projects for
Carilion Giles Memorial Hospital was 1 Taylor Avenue, Pearisburg, Virginia; and
WHEREAS, CFMH owns and operates Carilion Franklin Memorial Hospital and the
location of each of the Refunded Projects for Carilion Franklin Memorial Hospital is 124 Floyd
Avenue, Rocky Mount, Franklin County, Virginia; and
WHEREAS, CNRVMC owns and operates Carilion New River Valley Medical Center and
the location of each of the Refunded Projects for Carilion New River Valley Medical Center is
2900 Lamb Circle, Christiansburg, Virginia; and
WHEREAS, the City Council of the City of Roanoke, Virginia (the "Roanoke Council ")
must approve the issuance of said revenue bonds to the extent required by Section 147 of the
Internal Revenue Code of 1986, as amended (the "Code "), and Section 15.2 -4906 of the Act before
the Authority can proceed with the issuance of said revenue bonds; and

WHEREAS, the Board of Supervisors of Giles County, Virginia (the "Giles Board ") must
approve the issuance of said revenue bonds to the extent required by Section 147 of the Code, and
Section 15.2 -4906 of the Act before the Authority can proceed with the issuance of said revenue
bonds; and
WHEREAS, the Board of Supervisors of Franklin County, Virginia (the "Franklin Board ")
must approve the issuance of said revenue bonds to the extent required by Section 147 of the Code,
and Section 15.2 -4906 of the Act before the Authority can proceed with the issuance of said
revenue bonds; and
WHEREAS, the Board of Supervisors of Montgomery County, Virginia (the "Montgomery
Board ") must approve the issuance of said revenue bonds to the extent required by Section 147 of
the Code, and Section 15.2 -4906 of the Act before the Authority can proceed with the issuance of
said revenue bonds; and
NOW, THEREFORE, BE IT RESOLVED by the Economic Development Authority of the
City of Roanoke, Virginia:
SECTION 1. Pursuant to the authority granted to it by the Act, the Authority hereby
authorizes the issuance of the Economic Development Authority of the City of Roanoke, Virginia
Hospital Revenue Bonds (Carilion Clinic Obligated Group), in, one or more series, an aggregate
principal amount not to exceed $510,000,000 (the "Bonds "), for the purpose of providing funds
that, together with funds from other sources, will be applied to (I) finance the 2020 Project; (II)
refund all or a portion of the Series 2010 Bonds, Series 2005A Bonds, Series 2005B Bonds, Series
2005C Bonds, and the Series 2008AB Bonds; and (III) pay certain expenses incurred in
connection with the issuance of the Bonds.
SECTION 2. The Authority hereby recommends that the Roanoke Council, the Giles
Board, the Franklin Board and the Montgomery Board approve the issuance of the Bonds.
SECTION 3. The Chairman or Vice Chairman and the Secretary or any Assistant
Secretary of the Authority are hereby authorized and directed to deliver to the Roanoke Council,
the Giles Board, the Franklin Board and the Montgomery Board (i) a reasonably detailed summary
of the comments expressed at the public hearing held in connection with the issuance of the Bonds,
(ii) a fiscal impact statement in the form specified in Section 15.2 -4907 of the Act, and (iii) a copy
of this resolution, which constitutes the recommendation of the Authority that the Roanoke
Council, the Giles Board, the Franklin Board and the Montgomery Board approve the issuance of
the Bonds.
SECTION 4. This Resolution shall take effect immediately upon its passage.

WHEREAS, the City Council desires to elect and appoint Cecelia Freeman McCoy ( "Mrs.
McCoy ") as City Clerk pursuant to Section 8 of the Roanoke Charter of 1952, as amended; and
WHEREAS, Mrs. McCoy has agreed to accept the election and appointment as City Clerk.
THEREFORE, BE IT RESOLVED by the Council of the City of Roanoke as follows:
Cecelia Freeman McCoy is hereby elected and appointed as City Clerk for the City of
Roanoke effective February 11, 2020, at 12:01 a.m., for the remainder of the previous City Clerk's term,

2. The terms and conditions of Mrs. McCoy's election and appointment as City Clerk shall

(b) The City shall pay on behalf of Mrs. McCoy the sum of $2,000 on
a quarterly basis to the International City Management
Association - Retirement Corporation (ICMA -RC) for her
participation in the ICMA -RC Retirement Plan, and the City shall
execute any necessary agreements to provide for such payment.
During the first year of employment, such amount shall be
prorated based on the number of weeks actually worked;
(c) Recognizing that the job requirements of the City Clerk routinely
require incurring travel related expenses in the course of City
business, Mrs. McCoy shall receive a bi- weekly salary increment

of $96.15 for the use of a privately -owned or leased automobile in
the conduct of official City business;
(d) The City shall provide Mrs. McCoy with an additional disability
income coverage policy on the same terms that it is provided
other Council - appointed officers; and
(e) With respect to benefits and terms and conditions of employment
not enumerated in this resolution, Mrs. McCoy shall be accorded
such benefits and shall be subject to such terms and conditions on
the same basis as other similarly situated Council Appointed
employees of the City.
Pursuant to Section 8 of the City Charter, Mrs. McCoy will take up residence within the
City within three (3) months of her election, if not already a resident.
4. Mrs. McCoy will make arrangements to qualify for office by taking the required Oath of
Office as soon as practicable.
