HEARING OF CITIZENS UPON PUBLIC MATTERS: City Council sets this time as a priority for citizens to be heard. All matters will be referred to the City Manager for response, recommendation or report to Council, as he may deem appropriate. Brian McConnell, 32 Elm Avenue, S. W., #302, appeared before the Council and expressed concern with City leadership, communication and citizenry; and advised that a previous presentation from the YMCA was of interest to him. Thomas Lee Smith, 1120 Ferdinand Avenue, S. W., appeared before the Council and spoke with regard to the alleyway behind his home and requested that rules be enforced to not allow fencing and blocking access to the alleyway. Nick Hagen, 301 Campbell Avenue, S. W., appeared before the Council and spoke with regard to the potential Council pay raise and how it could potentially affect candidates running for Council. Warren Fry, 32 14th Street, S. W., appeared before the Council to request a ceasefire resolution in support of Gaza and follow the localities of Charlottesville and Harrisonburg. Duane Howard, 1221 6th Street, S. E., appeared before the Council and spoke in opposition to the potential Council pay raise and advised that the timing was inappropriate and that the position was a public service job. Mary Frazier, 405 King George Avenue, S. W., appeared before the Council to request a ceasefire resolution in support of Gaza and referenced a resolution adopted in 2022 in support of Ukiraine. Council Member Moon Reynolds requested an update on the funds administered by the Gun Violence Prevention Commission; nonprofit organizations to come and present information with regard to the use of funds; and information with regard to the process of the zoning reform public hearing. Mayor Lea advised that the 2024 Miss Virginia Pageant was held over the past weekend and was a wonderful event which consisted of very spirited young ladies who made many positive comments about the City of Roanoke. 2. Appointed Shenita Boukari as a member of the Fair Housing Board to fill the unexpired term of office of Jessie Coffman ending March 31, 2025. Appointed Deputy Chief Andy Foley as a member of the Board of Trustees, City of Roanoke Pension Plan to replace David Morris for a two- year term of office commencing July 1, 2024 and ending June 30, 2026. Appointed Nazier Jackson as a member of the Gun Violence Prevention Commission as a non-voting Youth Representative for a term of office ending March 31, 2027. Appointed Tim Strawn as a member of the Parks and Recreation Advisory Board to replace Stephen Terry McGuire for a term of office ending March 31, 2027. Spencer, City Attorney Re: Section 32-283, Definitions, Article XIV, Tax on Prepared Food and Beverage, Chapter 32, Taxation, Code of the City of Roanoke (1979), At the request of the Commissioner of Revenue, I recommend that City Council consider adoption of an ordinance amending Section 32-283, Definitions of Article XIV, Tax on Prepared Food and Beverage of the City Code to remove"snack foods" as a defined term. Section 32-284 authorizes the levy of the Food and Beverage Tax, in the amount of five and one-half(5.50) percent, of the amount of all "food" sold in the city in or from a restaurant. "Food" is defined by the ordinance as "all edible refreshments or nourishment, liquid or otherwise, including alcoholic beverages, purchased in or from a restaurant or from a caterer, except snack foods."The term "snack foods" is further defined as: [u]nopened bottles or cans of carbonated soft drinks; chewing gum; candy; popcorn; peanuts and other nuts; unopened packages of cookies, doughnuts, crackers and potato chips; and other items of essentially the same nature and consumed for essentially the same purpose which are packaged for home consumption. The snack food exemption has caused some restaurants and taxpayers confusion over what items are property subject to the tax. For example, the Commissioner of Revenue reports that purchasers of an unopened bottle of a soft drink at a restaurant have been subject to the tax. Under the ordinance, an opened bottle of a soft drink, which otherwise meets the definition of a snack food, has been reported by purchasers as being assessed by some restaurants. The enabling legislation for the City's assessment of the food and beverage tax, Section 58.1-3840, does not require a locality to maintain a snack food exemption in its food and beverage tax ordinance. The City of Richmond is one locality which also imposes a food and beverage tax does not. Moreover, Section 32-297, City Code, already contain a list of exemptions from the tax, including and not limited to, exemptions for (1) factory-prepackaged candy, gum, nuts and other items of essentially the same nature served for on or off- premises consumption; (2) doughnuts, ice cream, crackers, nabs, chips, cookies, and other factory-prepackaged items of essentially the same nature when served exclusively for off-premises consumption; and (3) alcoholic and nonalcoholic beverages sold in factory sealed containers. The "snack foods" exemption overlaps many of the exemptions provided in Section 32-297, creating another layer that causes confusion in administration and enforcement of the tax. A copy of the proposed ordinance amending Section 32-283, Definitions, Article XIV, Tax on Prepared Food and Beverage, City Code by the removal of"snack foods" is attached. This ordinance will be presented at City Council's July 15, 2024, regular agenda meeting for consideration for adoption. Call to Order: Ms. White-Boyd welcomed everyone and called the meeting to order at 1:00 pm. 2. Approval of the Minutes from the September 6, 2023 Meeting: The minutes were approved as written. 3. Solid Waste Management Follow Up Audit— Early Release Time: Mr. Harmon noted that the original audit was in 2021. He discussed work schedules and how early release time increased in 2021 to more than 25 hours per employee per month, up from just under seven (7) hours on average in 2019. Mr. Harmon shared a graph showing that early release time declined substantially mid-2022 and continued to be lower in calendar 2023. December 18, 2023 Page 2 of 6 Management developed a standard operating procedure to better manage early release, which Mr. Harmon highlighted for the Committee. He also discussed the route optimization study that was completed in 2022 and management's ongoing consideration of the results in refining routes and staffing. Mr. Cowell confirmed that management is reviewing the recommendations in the report and that some would not be adopted based on the significant changes in services that they would entail. He noted that early release time would always be necessary. Mr. Priddy asked if the consultants had performed any cost/benefit analysis of automating more routes. Mr. Harmon noted that the consultant recommended moving collections from alleys in some cases, but did not evaluate the equipment costs and personnel savings. Mr. Cowell confirmed there was no cost/benefit analysis and that management would perform one if they consider any changes to alley pickup. Mr. Priddy referred to the table showing trash volumes by day of the week and asked if the data included geographical representation. Mr. Harmon confirmed that the data was by route/ location. Mr. Cowell confirmed that management would be able to determine locations in the city generating less waste. Mr. Priddy asked if any other action by the Committee is needed to help avoid future hotline reports about early release time. Mr. Harmon noted that the substantial decrease in early release time addresses the past complaints and that he would not anticipate any additional reports. Mr. Harmon noted that this would be the last follow up audit on early release time. Hearing no further questions or comments, the report was received and filed. 4. Review of City Council Expenditures— FY 23: Mr. Harmon noted that all Council members have had the report for some time. The objectives of the audit were the same as prior years. He referred the Committee to Exhibit 1 in the back of the report, which showed expenditures by each Member of City Council. Mr. Harmon then recounted the conclusions from the report, noting that there were no compliance issues, expenditures were correctly posted, and transaction with Council Members were appropriate. Mr. Priddy asked if the FY24 audit will evaluate Council expenditures based on the recently adopted policy, or the policy in place at the beginning of the fiscal year. Mr. Harmon responded that expenditures will be evaluated based on the policy in effect at the time they were made. Mr. Priddy referred to the note on Exhibit 1 stating that expenditures were as of September 1 and asked if the numbers might change, and if so, would the report be updated. Dawn Mullins responded that OPEB accruals might change when year-end entries are posted, but felt any changes would not be material. Mr. Harmon stated that he did not foresee any changes to the report being necessary. December 18, 2023 Page 3 of 6 Mr. Priddy asked if the FY24 report will discuss the differences between the former policy and the new policy, noting that the FY23 report includes the old policy as an exhibit. Mr. Harmon confirmed that the new policy will be included as an exhibit in the FY24 audit report. He also anticipates highlighting some of the policy changes in the background of the report. Mr. Priddy noted that he felt this was important for public awareness about the new policy. Hearing no further questions or comments, the report was received and filed. 5. Annual Simplified Comparative Report 2023 Mr. Harmon began the briefing by discussing changes in household median incomes from 2020 to 2021. The percentage of households earning more than $100,000 increased by - 3% while those earning $50,000 or less dropped by roughly the same percentage, which was a positive indicator of upward mobility. He reviewed median monthly rent trends showing the City median was $845 in 2021 and was the lowest of the regional peer group, and well below the state median. There was some discussion about the data being from 2021 and what current data might show. Next, Mr. Harmon reviewed revenue per capita numbers showing the City leading the local peer group, in part due to higher state and federal transfers than others. He noted that the City's local taxes per capita, including charges for services, compare favorably with Lynchburg and Salem. Mr. Harmon discussed expenditures per capita, which were higher overall than peer localities, consistent with higher revenues. The City's top three (3) expenditures were Education, Public Safety, and Health &Welfare. The City's per capita spend on education was -115% of the state average for cities and well above regional peers. Public safety was more in line with peers and slightly below the state average. Mr. Harmon commented that the graphs for Health &Welfare expenditures were self-explanatory (150% of state average, double the spend of all peers except Lynchburg, who was $67 less per capita than Roanoke). Mr. Priddy commented that Salem and Lynchburg populations are significantly smaller than Roanoke's and that their per capita spends on public safety may appear comparatively higher on that basis. He asked if the real estate tax shown on page 15 could be broken out to show taxes on improvements compared to taxes on land. His impression is that taxes on land have been growing at a faster rate and that this would be important to watch. The Committee briefly discussed how such data may or may not be helpful when discussing tax policy and ways of influencing owners of derelict property to invest in improvements. Mr. Priddy referred to the graphic on tax-exempt property, noting that it accounts for- 20% of the City's overall property value (page 15). He asked if the City has studied these exemptions (who, why, longevity). Mr. Cowell and Mr. Harmon commented that the property rehabilitation program was reviewed four or so years prior and changes were made to the program to help ensure the December 18, 2023 Page 4 of 6 benefits exceed the value of the lost taxes. No other studies of exemptions have been performed. The Committee discussed service charges in lieu of tax, which generate as little as $130,000 in revenue. The non-taxable status of not-for-profit healthcare organizations continues to be a topic of discussion nationally in terms of benefits realized by the community compared to the costs of local government services provided. Hearing no further questions or comments, the report was received and filed. 6. APA Review of Commonwealth Collections FY 23: Mr. Harmon noted that this is an annual audit of state monies collected by the City Sheriff and City Treasurer's offices performed by the Auditor of Public Accounts (APA). Both offices complied with all state requirements with one exception. The Sheriff's Office did not remit state fees it collected to the Treasurer's Office on a weekly basis as recommended by the APA. Ms. White-Boyd asked the City Treasurer for any comments. Ms. Powers commented that her staff is working with the Sheriff's Office to address the timeliness issue. She has noted improvements the last couple of months and feels progress will continue if the Sheriff can retain current staff. The APA provided a copy of the Audit Manual, which the Sheriff's Office did not have access to in 2023. This should also help. Hearing no other questions or comments, the report was received and filed. 7. Tax and Treasury System Update: Ms. Burkett began the briefing noting that the system has been in place for a full year. The real estate landbook was successfully created in July and real estate bills mailed in August. The first supplemental billing of real estate taxes occurred in September and was successful. Management will be evaluating the State Income Tax module in 2024 and decide if they want to move forward with implementing the module. There are approximately 20 punch list items that need to be completed in order for the City to formally sign off acceptance of the system and close out the project. In response to Ms. White-Boyd's question about timelines, Ms. Burkett stated that a timeline for completing the punch list was not set, but the hope is to complete everything no later than July 2024. Ms. Burkett discussed the project goals that have been accomplished to date, which include enabling online filing of returns, online payments, and sliding scale penalties that benefit people who are only slightly late in paying. Ms. White-Boyd asked how the Treasurer and Real Estate Valuation felt the system was performing, as she knew there had been issues. Ms. Burkett stated that both Real Estate and the Treasurer's Office experienced some growing pains. Mr. Robertson commented that he recently spoke with Real Estate and that several of the concerns they initially had did not materialize, that Real Estate has adjusted to the manual processes involved and did not express any significant December 18, 2023 Page 5 of 6 problems with the system at this point. Ms. White-Boyd noted there was apprehension about what might happen and was glad to hear Real Estate was not expressing any significant concerns. Ms. Powers commented on the complexities involved when applying payments within the payment precedent rules. She noted that additional staff training helped resolve many of the issues experienced after implementation and that training will be ongoing. Ms. Powers noted that she is not happy with the collection module and that the vendor is considering options to develop the module or purchase another vendor who has a good collections system. She noted that she is happy with the debt setoff functionality. Prior to the new system, they typically collected between $600,000 and $700,000 thru debt set-off by December. The new system links accounts and has enabled the Treasurer's Office to collect $1.3 million. The Office has struggled some with the online payment portal and the vendor continues to work on it. A reduction in the $1.50 fee for paying by echeck is set for discussion in January. Ms. Powers shared that the City of Suffolk has been happy with the PCI system and that she and others will be visiting Suffolk to compare processes and identify solutions that promote better system performance. They also plan to visit the City of Virginia Beach who uses PCI and the new system that Finance is installing (Oracle). Ms. Powers complimented Ms. Burkett on her leadership and hard work throughout the project. She also noted that the system implementation has brought all of the departments closer together. Mr. Priddy asked if the issue with liens on property needing to be paid before the property could transfer has improved. Ms. Powers said they are not having this issue with the new system. There was a brief discussion about solid waste fees, the efforts in the General Assembly to change how the fees are treated for collections, and that they currently have to be written off after three years. Ms. White-Boyd thanked Ms. Powers for her comments. Ms. Burkett wrapped up the briefing with a comparison of online activity in the legacy system compared to the new system. (See briefing slides). Customer awareness campaigns are being planned so that more businesses become aware of the options to file returns and payments online. Online activity continues to trend up. Ms. Burkett noted that more people are paying by echeck than were in the legacy system, even with the $1.50 fee. The vendor has agreed to reduce the fee to $0.80 which is comparable to the cost of postage needed to mail a check. Hearing no further questions or comments, the report was received and filed. 8. Hotline Update— December 2023 Mr. Harmon briefed the committee on investigations that arose since the last briefing in September (see briefing slides). External Audit Update Mr. Harmon referred Committee members to the briefing showing milestone dates and including notations about delays. He thanked Ms. Mullins for her work through the holidays to finalize GRTC's FY23 numbers and complete the documentation needed for the auditors. Ms. White-Boyd asked if setting target dates was helpful. Mr. Harmon confirmed that target dates are helpful but does not ensure they are met. He noted that Pension statements were in final review, that the City had recently completed year-end entries and had provided the final general ledger to the auditors. Mr. Harmon projected that the City's audit audited statements should be ready by late January or early February, and will be discussed at the March meeting. He noted that Finance had notified the GFOA and APA that audited statements will not be filed on time. Hearing no further comments or questions, the update was received and filed. 10. Approval of the Minutes from the December 18, 2023 Meeting: Mr. Cobb stated that since a quorum was not present, the minutes could not be approved. He noted they would be approved at the next Audit Committee meeting. 3. Presentation of Audit Results for the June 30, 2023 Annual Comprehensive Financial Reports: March 6, 2024 Page 2 of 4 Mr. Aldridge noted that the audit of the City's statements was complete except for final numbers from Greater Roanoke Transit Company [GRTC]. The draft reports for the City, excluding GRTC, include an unmodified (ie., clean) opinion on the financial statements. He then highlighted the following: • Page 221 —Workforce Investment Opportunity Cluster—the City did not perform sub-recipient monitoring in accordance with its formal written policy during the first half of the year. The City was monitoring according to policy in the second half of FY 2023. • Page 223—Credit card purchases using Coronavirus State and Local Fiscal Recovery Funds, were not approved according to policy in 3 of 25 purchases tested. • Page 225—The revenue loss calculation for the Coronavirus State and Local Fiscal Recovery Funds program was incorrect; Mr. Aldridge noted that this did not affect the funding received. Mr. Aldridge then discussed State findings on page 227: - Receipts were not accurately posted to Special Welfare accounts in one (1) of two (2) instances. - Two (2) of 86 Disclosure Statements were filed after the 2/1/23 deadline; Mr. Aldridge noted this has continued to improve over the last few years. Mr. Aldridge then commented on the City's fund balance ratio. The City's current fund balance ratio is 1.63, which means the City has 1.63 months of expenditures in reserves. He noted that in FY 2022, the City's ratio was 1.7 and that other localities compared as follows: - Lynchburg 3.8 - Danville 3.95 - Charlottesville 4.55 - Roanoke County 1.3 - Salem 1.6 Mr. Aldridge suggested that two (2) months expenditures should be the minimum. He then discussed the status of prior year comments in the draft report of management findings. Mr. Aldridge asked for questions before he moved on to Pension and GRTC. Hearing none, he transitioned to the audit of the pension plan. He noted that the audit had been finished for some time, that there were no issues, and that Brown Edwards issued an unmodified opinion. Mr. Aldridge then turned the presentation over to Ann Genova to answer any questions the Committee might have regarding the GRTC audit. Mr. Cobb asked Ann to summarize the findings at GRTC, which were as follows: - Inadequate Segregation of Duties and Management Oversight March 6, 2024 Page 3 of 4 - Bank Reconciliations not being done timely - Violation of Virginia Public Procurement timely payment requirements due to cash flow management issues - Parts Inventory did not match the accounting system; the systems are not regularly reconciled - Paid Time Off accruals and expenses not effectively managed Ms. Genova noted that there was a repeat federal program finding that contractors were not paid timely. Mr. Aldridge added federal findings are a big deal and are recorded in a federal database for future follow-up. Mayor Lea asked about responsibility for addressing the issues, to which Mr. Cobb responded it was GRTC management's responsibility. He added that conversations continue about resolving issues that have been ongoing for several years. Mr. Cobb thanked the staff from GRTC and Dawn Mullins, Assistant Municipal Auditor, for their work in getting GRTC caught up. He added that overall, the transit system is working well. Mr. Harmon emphasized the significance of five (5) material weaknesses, noting that it is extraordinary to have this many. He added that the same findings are likely to be repeated in the FY 2024 audit as they have not been corrected to date. Finance continues to struggle with basic responsibilities, such as paying bills. Mr. Cowell noted that the City pays a company to manage GRTC. The City and GRTC have expressed to the vendor that there are performance issues. He added that the City will continue to have these conversations with the vendor. Mr. Cobb commented that the vendor has a high level of responsibility, has not delivered, but has an action plan that is a step in the right direction. He added that the Board will need to set some levels of accountability and monitor progress. Mr. Cowell stated that even though these are contracted services, the City is ultimately responsible for resolving any issues. Mr. Cobb stated that the board will continue to have more oversight. Hearing no further comments or questions, the report was received and filed. 4. Investigation of Employee Purchasing Card Use: Mr. Harmon described the allegations and noted that the investigation determined that the purchases in question were appropriate and being used for city functions. However, card purchases were not being reviewed and approved in the US Bank system as required by policy. Based on discussions with Finance and Auditing's review of data from the US Bank system, reviews and approvals of card purchases are an issue throughout the City. A contributing factor is the lack of notice provided to March 6, 2024 Page 4 of 4 supervisors when a purchase is ready for review. Mr. Harmon commented that the new financial system, Oracle, should improve the approval process for purchasing cards. Mr. Cobb asked how approvals work in the US Bank system. Mr. Harmon responded that cardholders and their managers have to log into the system to see if purchases are in their que to review. The card holder has to scan receipts, code the expense, add comments and approve the purchase. The system then sends the purchase to the supervisor's que for approval. The supervisor has to pull up the transaction, review the information, and mark it as approved. A monthly interface from US Bank posts to the City's financial system. Card purchases are aggregated by unit and object code in the financial system. Mr. Cobb asked if there were any more questions. Hearing none, the report was received and filed. 5. Hotline Update: Mr. Harmon referred to file 24-306 related to the Berglund Center, which was pending last quarter. The hotline report questioned if the stage lift was safe to use. Based on interviews with staff and the elevator maintenance company, the lift was secured and safe to seat people during the period in question. Mr. Harmon noted that timely elevator inspections were a concern during the last audit of the City's Building Inspections Division. Building Inspections continues to work on their processes to help ensure building owners have their elevators inspected timely. Additional investigations included 24-308, regarding purchasing card use, which was covered in item 4 above. Hearing no other questions or comments, the update was received and filed. 6. Other Business: Mr. Cobb asked if there was any other business. Mr. Harmon introduced Ben Sutphin, Senior Auditor, hired March 5, 2024. ROANOKE CITY COUNCIL AGENDA REPORT To: Honorable Mayor and Members of City Council Meeting: July 1, 2024 Subject: Roanoke Regional Fire-EMS Training Center Agreement with the County of Roanoke and the City of Salem. Background: In 1999, the City entered into an agreement with the surrounding jurisdictions, to build and maintain a Regional Fire-EMS Training Center. The current agreement expires June 30, 2024. The Roanoke Fire-EMS Department continues to utilize the Roanoke Regional Training Center for each recruit school that provides the required training for each new firefighter hired by the City. The City funds forty-four percent of the annual cost of operation for the Training Center. Funding in the amount of$52,000 is allocated in the Fire-EMS budget in account 01- 520-3212-2050. Considerations: An agreement has been prepared to ensure that the responsibilities and expectations of all parties are clearly stated and understood. David Hoback, Chief, Roanoke Fire-EMS ROANOKE REGIONAL TRAINING CENTER AGREEMENT THIS AGREEMENT(hereinafter referred to as"Agreement") is made and entered into this day of , 2024, by and between the COUNTY OF ROANOKE (hereinafter referred to as "Roanoke County"), the CITY OF ROANOKE (hereinafter referred to as "Roanoke City"), and the CITY OF SALEM (hereinafter referred to as "Salem") (hereinafter referred to collectively as the "parties" or "participating localities"), each of which is a political subdivision or municipality of the Commonwealth of Virginia. WITNESSETH: WHEREAS, the parties operate their own fire and emergency medical services departments and are responsible for the training of fire and emergency medical services personnel; and WHEREAS, the parties desire to operate a multi jurisdictional training center for fire and emergency services personnel in order to maximize training opportunities, combine resources, and efficiently utilize time of training staff; and WHEREAS, the parties have operated a multi jurisdictional training center for fire and emergency services personnel known as the Roanoke Regional Training Center (hereinafter the "Training Center") located on a six-acre site at 1220 Kessler Mill Road, Salem, Virginia; and WHEREAS, the parties entered into an agreement on March 31, 1999, to set forth the terms, conditions, and shared obligations of the parties with respect to construction, maintenance, and operation of the Training Center; and WHEREAS, subsequent to the inception of the March 31, 1999 agreement, Roanoke County assumed direction and control of fire and emergency medical services for the Town of Vinton; and WHEREAS, the March 31, 1999 agreement between the parties was set to expire on April 1, 2024, but was extended by agreement of the parties and will now expire on June 30, 2024; and WHEREAS, the parties desire to enter into this Agreement for the future operation of the Roanoke Regional Training Center for fire and emergency medical services; and WHEREAS, the participating localities are authorized to enter into this Agreement jointly by ordinance pursuant to Virginia Code § 15.2-1300; and NOW, THEREFORE, for and in consideration of the mutual obligations and mutual benefits accruing to the participating localities from this Agreement, the Board of Supervisors of the County of Roanoke, the City Council of the City of Roanoke, and the City Council of the City of Salem agree upon the following terms: 1 ARTICLE I. TRAINING CENTER PROPERTY Sec. 1-1. Training Center Property. The multi jurisdictional training center for fire and emergency services shall be known as the Roanoke Regional Training Center(hereinafter the "Training Center") and shall herein include the real estate located at 1220 Kessler Mill Road, Salem, Virginia, the designated roadways leading immediately thereto, the utilities, the fire tower, the burn building, the training center, and all other physical structures and facilities located on the real estate located at 1220 Kessler Mill Road, Salem, Virginia used for the purpose of providing fire and emergency services training. Sec. 1-2. Ownership of the Training Center Property. Roanoke County shall make the real estate located at 1220 Kessler Mill Road, Salem, Virginia available for use as the Roanoke Regional Training Center for fire and emergency medical services. Roanoke County shall retain ownership of the land and improvements of this real estate throughout the term of this Agreement. ARTICLE II. SHARING COSTS Sec. 2-1. Cost Sharing Allocations. The costs to operate the Training Center shall be shared by the participating localities based on the following percentages: Roanoke County forty-eight percent (48°0); Roanoke City forty-four percent(44°'0); and City of Salem eight percent (8%). Sec. 2-2. Annual Operating Costs. The costs of operating the Training Center shall be $120,000.00 each fiscal year. Operating costs include, but are not limited to, utilities for the Training Center, maintenance costs for the Training Center, supplies for the Training Center. The costs to operate the Training Center shall be shared by the participating localities in accordance with the cost sharing allocation set forth in Sec. 2-1 and shall be due to Roanoke County as the fiscal agent on or before October 15 each year. Roanoke County's share of the operating cost of the Training Center shall be $57,600.00 annually for the term of this Agreement, Roanoke City's share of the operating costs of the Training Center shall be $52,800.00 annually for the term of this Agreement, and the City of Salem's share of the operating costs of the Training Center shall be $9,600.00 annually for the term of this Agreement. Sec. 2-3. Insurance for Training Center. General liability insurance for the Training Center shall be purchased and funded wholly by Roanoke County. Sec. 2-4. Utilities for the Training Center. Roanoke County is responsible for coordinating with specific utility companies to ensure utilities are kept at the Training Center to include electricity, water, sewer, and trash collection. The costs of utilities for the Training Center shall be shared by the participating localities in accordance with the cost sharing allocation set forth in Sec. 2-1. Sec. 2-5. Maintenance of the Training Center. Roanoke County shall ensure that the building and grounds of the Training Center property are properly maintained and that repairs, when needed, are promptly done. The costs of maintenance of the Training Center shall be shared by the participating localities in accordance with the cost sharing allocation set forth in Sec. 2-1. 2 Sec. 2-6. Costs for Snow Removal. The Committee further described in Article IV may elect to hire snow removal services. The costs of snow removal services shall be shared by the participating localities in accordance with the cost sharing allocation set forth in Sec. 2-1. Sec. 2-7. Costs for Equipment Maintenance and Replacement. The costs to repair and replace equipment for use in fire and emergency medical services training at the Training Center shall be shared by the participating localities in accordance with the cost sharing allocation set forth in Sec. 2-1. ARTICLE III. BUDGET AND FISCAL MATTERS Sec. 3-1. Fiscal Agent. Roanoke County shall serve as the fiscal agent for the Training Center. Sec. 3-2. Budget. The Committee further described in Article IV shall adopt an annual budget for the Training Center in each ensuing fiscal year. The budget shall be submitted by the Committee to the finance offices of the participating localities each year so that the Training Center budget can be included in each participating locality's budget proposals. At the option of the Committee, the budget request in any year may include components for future construction to or other capital improvements for the Training Center, Sec. 3-3. Annual Adjustment of Expenses. At the end of each fiscal year, a financial audit shall be performed in order to adjust any discrepancy or discrepancies between the budgeted payments and each participating locality's actual and appropriate share of expenses for the prior year. Sec. 3-4. Debt. The Committee described in Article IV shall have no authority to incur debt obligations or approve expenditures in excess of the funds appropriated to it by the governing bodies of each of the participating localities. However, the Committee may, by unanimous vote, recommend the issuance of new debt or the restructuring of existing debt which would then require the approval of the governing bodies for each of the participating localities. ARTICLE IV. THE TRAINING CENTER COMMITTEE Sec. 4-1. The Training Center Committee. The overall general operations of the Training Center shall be the responsibility of the Training Center Committee (hereinafter referred to as the "Committee") as set forth herein. The Committee shall establish rules for the use of the Training Center, and the Committee shall have discretion to refuse permission for the use of the Training Center, as deemed necessary by the Committee. Sec. 4-2. Committee Membership. The Committee shall consist of the following nine (9) members: (i) the Roanoke County Fire and Rescue Chief; (ii) an appointee of the Roanoke County Fire and Rescue Chief; (iii) the Roanoke County Battalion Chief of Training; (iv) the Roanoke City Fire and Rescue Chief; (v) an appointee of the Roanoke City Fire and Rescue Chief; (vi) the Roanoke City Battalion Chief of Training; (vii)the City of Salem Fire and Rescue Chief; (viii) an appointee of the City of Salem Fire and Rescue Chief; and (ix)the City of Salem Battalion Chief of Training. 3 Sec. 4-3. Committee Bylaws. The Committee shall adopt and be governed by bylaws which shall be subject to approval by the Fire and Rescue Chiefs of Roanoke County, Roanoke City, and the City of Salem. Sec. 4-4. Committee Chair. The Committee shall have a Chair who shall be a member of the Committee and who shall have all rights of membership in the Committee, including the right to vote. The Chair shall rotate each calendar year between the participating localities in the following order: the Roanoke County Fire and Rescue Chief or his or her designee, the City of Roanoke Fire and Rescue Chief or his or her designee, the City of Salem Fire and Rescue Chief or his or her designee. Sec. 4-5. Committee Meetings. The Committee shall meet at least quarterly. Notice of meetings shall be provided to all members at least five (5) business days prior to said meeting, unless said notice is waived in writing by all members. Sec. 4-6. Quorum. A quorum necessary to act at any meeting of the Committee shall be five (5) members. If fewer than five affirmative votes are received for approval of any formal action of the Committee, then there must be at least one affirmative vote from a representative of each of the three participating localities. Sec. 4-7. Training for Non-Participating Localities. The Committee shall have the authority and the discretion to grant or deny requests from non-participating localities to place and remove personnel into the fire and emergency services training at the Training Center, and the Committee shall have the authority to determine the cost of the training provided to personnel from non-participating localities. Any revenue generated from training provided to personnel from non-participating localities shall be used as operating costs for the Training Center. ARTICLE V.WITHDRAWAL OF A PARTY Sec. 5-1. Withdrawal. Any party to this Agreement may withdraw and terminate such locality's participation in this Agreement as set forth herein: (1) Such party's governing body must take appropriate action by ordinance authorizing such withdrawal and termination; and (2) The party seeking to withdraw from this Agreement shall deliver in person or by certified mail return receipt requested a formal written notice to each of the individuals listed under Sec. 6-3 of this Agreement on or before June 30 of the then current fiscal year, but which notice shall not be effective until midnight on June 30 of the following fiscal year. The purpose of this notice requirement is to give the non-withdrawing party or parties at least twelve (12) months' notice of the withdrawing party's decision to no longer participate in the Agreement. Sec. 5-2. Responsibility of Compliance. Any party to this Agreement which provides notice to withdrawal pursuant to Sec. 5-1 above shall be responsible for complying with such Agreement until the effective date of the withdrawal notice as referred to in Sec. 5-1 above. 4 Sec. 5-3. Withdrawing Party's Interest in Assets. Any party withdrawing from this Agreement shall not be entitled nor receive any financial or other compensation, adjustment, or credit of any type for purchased asset(s) with regional funds. All items purchased by a locality either by direct contribution or grant for the benefit of the Training Center shall remain that locality's property. Sec. 5-4. Future Operation of the Training Center. Upon a party's notification of withdrawal pursuant to Sec. 5-1, the nonwithdrawing parties, in their sole discretion, may continue the operations of the Training Center under this Agreement with such modifications as they deem appropriate or under a new agreement as such nonwithdrawing parties deem appropriate. However, such modifications or new agreement shall not alter the financial obligations of the withdrawing party. The withdrawing party shall have no vote or right to object to the actions of the nonwithdrawing parties regarding any modifications to this Agreement or a new agreement, so long as the withdrawing party's financial obligations are not altered. The withdrawing party shall also have no further right to use or receive the benefits of the Training Center operations after the effective date of withdrawal. Sec. 5-5. Cooperation Upon Withdrawal. The withdrawing party shall cooperate with the nonwithdrawing parties in order to provide for a smooth transition of operations and control to such nonwithdrawing parties, including, but not limited to, executing any documents and providing any information the nonwithdrawing parties may reasonably request. Sec. 5-6. Rights of the Nonwithdrawing Parties. If at any time the nonwithdrawing parties decide to no longer operate the Training Center, such parties may do so only upon such terms and conditions as such parties deem appropriate in accordance with the direction of the governing body of each nonwithdrawing party. Sec. 5-7. Right to Rescind Notice of Withdrawal. Any withdrawing party may rescind such party's notice to withdraw only during the first 60 days after the date such notice was given. After such 60-day time period, the withdrawing party may request that such withdrawal notice be rescinded, but any such rescission request shall require the written consent of all of the nonwithdrawing parties to be effective. Sec. 5-8. Withdrawing Party's Responsibility for Debt. No party may withdraw from any authority that has outstanding bonds without the unanimous consent of all the holders of such bonds unless all such bonds have been paid or cashed or United States government obligations have been deposited for their payment. Any withdrawing party shall continue to be responsible for its share of any debt for capital improvements made to the Training Center, and any allocation of debt payments shall be made by the withdrawing party based upon the percentage cost sharing terms provided for in Sec. 2-1 for one year following its withdrawal from this Agreement. ARTICLE VI. MISCELLANEOUS Sec. 6-1. Effective Date. The effective date of this agreement shall be July 1, 2024. Sec. 6-2. Term. The term of this Agreement shall commence on July 1, 2024, and shall terminate on June 30, 2027, unless sooner terminated or further extended as provided for herein. The parties hereto may choose to extend this agreement for one additional two (2) year term by written 5 agreement of all parties, unless one or more of the participating localities chooses to withdraw from this Agreement in accordance with the process outlined in Article V. Sec. 6-3. Notices. This Agreement may be executed in any number of counterpart copies, each of which shall be deemed an original, but all of which together shall constitute a single instrument. Sec. 6-6. Severability. The invalidity, illegality, or unenforceability of any provision of this Agreement as determined by a court of competent jurisdiction shall in no way affect the validity, legality, or enforceability of any other provision hereof. 6 Sec. 6-7. Waiver. No failure or delay of any party to insist on strict observance of any provision of this Agreement, and no custom or practice of the parties at variance with the terms hereof, shall be deemed a waiver of any provision of this Agreement in any instance. Sec. 6-8. Dispute Resolution. Any dispute, disagreement, or controversy arising among the parties hereto as to the operation of the Training Center, if not resolved by the parties within thirty (30) days of the date such dispute, disagreement, or controversy arose, may be resolved through non-binding mediation. Any dispute related to, arising out of, or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Roanoke County, Virginia. Sec. 6-9. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia. Sec. 6-10. Entire Agreement. This Agreement and the attachments hereto constitute the full agreement among the parties. This Agreement may only be amended by written amendment adopted by each of the participating localities. Sec. 6-11. Liability of the Parties. To the extent permitted by Virginia law, each party agrees that, as between the parties, it shall be responsible for the acts and omissions of its employees and agents that are within the scope of their duties which cause injury to persons or property, including any violation of any environmental law or regulation or other responsibility imposed by law directly resulting from their use of the Training Center. Each party shall maintain its own workers' compensation and public official's liability insurance coverage. Nothing herein shall be interpreted as an assumption of joint or several liability or as an indemnification of any party by any of the others. Nothing herein shall be deemed a waiver of sovereign immunity or any other legal defense available to the parties. The provisions of this Agreement shall be for the sole benefit of the parties hereto, and no other person or entity is entitled to enforce any provision of this Agreement. In the event of a third party liability claim not covered by this paragraph, the parties hereto shall share in all costs of defense and in any monetary judgment or settlement of such claim in the proportions set forth in Sec. 2-1, unless otherwise mutually agreed upon between the parties. Sec. 6-12. Ownership of Personal Property Upon Termination. Upon termination of this Agreement, ownership of any party's personal property which has not been formally transferred to the Committee shall be retained by that party and may be removed from the Training Center. Upon termination of this Agreement, the County shall retain ownership of the real estate located at 1220 Kessler Mill Road, Salem, Virginia and shall have and receive ownership of all fixtures, personal property, equipment, and other assets of the Committee unless otherwise mutually agreed to in writing by the parties. Each party shall execute any documents reasonably requested by the County to evidence the County's ownership of all assets formerly owned or controlled by the Committee. A quorum of the Council must be physically assembled at the primary or central 1 meeting location. The Council members present must approve the participation; however,the decision shall be based solely on the criteria in this resolution,without regard to the identity of the member or matters that will be considered or voted on during the meeting. The Clerk or Deputy Clerk shall record in the Council's minutes the specific nature of the emergency, personal matter or disability and the remote location from which the absent member participated.
