ANNOUNCEMENTS:
2. PRESENTATIONS AND ACKNOWLEDGEMENTS:
Mayor Cobb advised that, going forward, the 2:00 pm meeting would begin
with the Council Members providing "shout-outs" or announcing community
events recently attended. The Council Members made the following
announcements:
Council Member Powers "shouted out" the cohort eleven graduation of.the
summer interns and thanked all staff that worked with Human Resources and
the interns.
Council Member Volosin "shouted out" the Bochasanwasi Akshar
Purushottam Swaminarayan (BAPS) Charities Annual Walkathon held on
Saturday, May 30.
Council Member Nash "shouted-out" the BAPS Charities Annual Walkathon
and the Melrose Branch Library Fun Day event.
Vice-Mayor McGuire "shouted out" the Mountain View and Old Southwest
Annual Neighborhood Picnic and the City's Stormwater Division progress with ..
stream restoration and improvements.
Council Member Sanchez-Jones"shouted-out" the City's teen apprenticeship
program, and all City departments that were represented at the Melrose
Branch Library Fun Day.
Council Member Hagen "shouted out" the Bochasanwasi Akshar Purushottam
Swaminarayan (BAPS) Charities Annual Walkathon, the Taubman Museum
Sidewalk Art Show and the event held at the 611 train.
Mayor Cobb "shouted out" the Melrose Branch Library Fun Day and advised
that throughout the day over 1,200 people attended the event, the 2026
Roanoke Lebanese Festival from May 29 to May 31, and the Fire-EMS
department for the prompt response to a recent fire in Northeast Roanoke.
Proclamation declaring June 2026 as Pride Month.
Mayor Cobb read and presented the proclamation to representatives from the
Roanoke Diversity Center, The Drop-In Center, Southwest Virginia Pride,
Metropolitan Church of the Blue Ridge, Roanoke Pride, Youth Saga, Ladies
and Gents of the Blue Ridge, and House of Expression.
Proclamation declaring June 2026 as Gun Violence Awareness Month.
Mayor Cobb and Council Member Nash read and presented the proclamation
to Renea and Theo Taylor of FEDUP, and Kathy Cohen, Chair, Gun Violence
Prevention Commission.
Recognition of Chief of Police Scott Booth.
The City Manager recognized Chief Booth as the 2026 Inductee into the
Evidence-Based Policing Hall of Fame.
Mayor Cobb announced that Council would address the item under Item 9,
Unfinished Business, regarding a request of the City of Roanoke to propose
amendments to Chapter 36.2, Zoning, of the Code of the City of Roanoke
(1979), as amended, intended to facilitate context-sensitive housing
development; to promote community health and wellness; to encourage
purposeful land use to make changes to the use tables for multiple purpose,
industrial, and planned unit development districts; and to make changes to
clarify and correct elements of the zoning code, such amendments being for
the public purposes of promoting public health, public safety, and good
zoning practice.
He advised that the matter was held over from the May 18, 2026, City Council
Meeting which was automatically adjourned, pursuant to Section 2-15 (a),
Rules of Procedure, Code of the City of Roanoke (1950), as amended. It was
the desire of the Council to continue and ultimately close the public hearing on
Monday, July 6, at 7:00 pm, and the three remaining speakers from May 18
could speak under Hearing of Citizens Upon Public Matters at any meeting
prior to the continued public hearing date or speak first at the public hearing
on July 6.
Council Member Volosin moved to continue the May 18 public hearing on the
Zoning text amendments as previously described on the June 1 agenda as
Item 9.1, to July 6, 2026, at 7:00 pm. Additional notice will be provided for that
date. The motion seconded by Council Member Hagen and adopted (6-0,
Council Member Sanchez-Jones was not-present when the vote was recorded)
3. HEARING OF CITIZENS UPON PUBLIC MATTERS: None.
The City Council sets this time as a priority for citizens to be heard. All matters will be
referred to the City Manager for response, recommendation or report to the Council, as
she may deem appropriate.
4. CONSENT AGENDA: APPROVED (7-0)
C-1. A communication from the City Clerk advising of the resignation of Danielle
Johnson as a member of the Equity and Empowerment Advisory Board,
effective May 26, 2026.
RECOMMENDED ACTION: Accepted the resignation and received and
filed the communication.
C-2. Reports of qualification of the following individuals:
Valerie Koeppel as a member of the Gun Violence Prevention Commission for
a three-year term of office, commencing April 1, 2026 and ending March 31,
2029;
Sarah Karpantyas a member of the Mill Mountain Advisory Board for a three-

Francis Maguire as a member of the Parks and Recreation Advisory Board for

COMMENTS OF THE CITY MANAGER.
The City Manager offered the following comments.
I'm pleased to share that Fallon Park Pool opened for the season this past
weekend, and Washington Park Pool will open on Saturday, June 6. We look
forward to welcoming families and residents throughout the summer and
providing safe, enjoyable opportunities for recreation in our community.
The New River Conservancy has completed the planting of approximately 175
trees, shrubs, and other native plants to help restore the tree canopy at the
former CeeBreeze property on. Syracuse Avenue NW, adjacent to the Lick Run
Greenway. In addition to the plantings, the Conservancy provided soil
amendments, compost, and biochar, which City staff incorporated into the site
to improve soil health, structure, and organic content.

3. DIRECTOR OF REAL ESTATE VALUATION: None.

officials to execute Amendment No. 3 to an Economic Development
Performance Agreement among the City of Roanoke, Virginia, the
Economic Development Authority of the City of Roanoke, Virginia, and
Riverdale Southeast, LLC, Riverdale Woods, LLC, Industry Drive Partners,
LLC, 802 River Avenue, LLC, 826 River Avenue, LLC, Riverdale Med I, LLC,
and Riverdale WL, LLC; authorizing the City Manager, or designee, to take
such actions and execute such documents as may be necessary to
provide for the implementation, administration, and endorsement od such

Title: Proposed Code Amendment -Section 2-321, Towing Advisory Board,
Division 3, Advisory Boards, Article XIV, Authorities, Boards, Commissions
and Committees, Chapter 2, Administration.
Background:
This code amendment amends the number of members and the makeup of the towing
advisory board. The board shall consist of nine (9) members to include three (3)
representatives of local law enforcement agencies, three (3) towing and recovery operators,
and three (3) members of the general public and shall be appointed by city council for such
terms as the council may direct:

Administration, to amend the number of members and the makeup of the board.

IN THE COUNCIL OF THE CITY OF ROANOKE,VIRGINIA,
AN ORDINANCE amending and reordaining subsection (a) of §2-321, Towing
Advisory Board, Code of the City of Roanoke (1979), as amended, to amend the number
of members and the makeup of the towing advisory board; establishing an effective date;
and dispensing with the second reading of this ordinance by title.
BE IT ORDAINED by the Council of the City of Roanoke that:
1. The Code of the City of Roanoke (1979), as amended, is hereby amended
and reordained by amending the following section:
§2-321. Towing Advisory Board.
(a) There is hereby created in the city a towing advisory board, to
advise the city council with regard to the appropriate provisions of the city's
ordinances, contracts, and agreements related to towing services. The board shall
consist of seven (7) nine (9) members. The members shall include three (3)
representatives of local law enforcement agencies, three (3) towing and recovery
operators, and one' (1) three (3) members of the general public, and shall be
appointed by city council for such terms as the council may direct. However, no
vacancies of members of the general public shall prevent the advisory board from
meeting or taking any action authorised pursuant to this section. Any vacancy
shall be filled by the council for the unexpired portion of a term.
(b) Members of the board shall serve without compensation.
(c) Any,member of the board may be removed by council upon good
cause appearing to the council.

2. This Ordinance shall become effective upon passage.
3. Pursuant to,Section 12 of the Charter of the City of Roanoke, the second
reading of this ordinance by title is hereby dispensed with.

Background:
This code amendment amends the number of members and the makeup of the youth services
citizen board by reducing the number of members from seventeen to ten. If amended, the
board shall thereafter consist of one (1) non-voting Council member liaison, seven (7) citizen-
at-large members with experience in youth programming, one (1) student from William
Fleming High School, and one 1(1) student from Patrick Henry High School.

BE IT ORDAINED by the Council of the City of Roanoke as follows:
1. Section 17-31, Created; composition; appointment, terms of members; restriction on
membership; filling of vacancies, Article III, Youth Services Citizen Board, Chapter 17, Human
Resources, Code of the City of Roanoke (1979) as amended, is amended and reordained to read and
provide as follows:
Sec. 17-31. Created; composition; appointment, terms of members; restriction on
membership; filling of vacancies.
There is hereby created a city of Roanoke youth services citizen board. The board
shall consist of seventeen ten(4-7 10)voting members appointed by the city council
for terms of up to ef-three (3) years for each member of the board, other than the
two (2) student members who will each serve a one-year term beginning July 1st
and ending June 30th.
The initial terms of the
members of the board,other than the student members, shall be staggered and city
council shall appoint€ems three(4 3)members who shall each have initial terms of
one (1) year; feuf two(42) members who shall each have initial terms of two (2)
years; and fwe two (52) members who shall each have terms of three (3) years.
Council shall appoint at;least one (1) non-voting council member annually, who
shall serve as liaison between the board and city council, who shall not be counted
for the purpose of determining a quorum. The city clerk shall notify council
promptly if any vacancy occurs. Appointments to fill vacancies shall be for the
unexpired term of the member whose term becomes vacant.

Board, Chapter 17, Human Resources, Code of the City of Roanoke (1979) as amended, is
amended and reordained to read and provide as follows:
Sec. 17-32. Qualification of members.
The board shall consist of members as follows:
(a) At-least one One (1) member shall be a member of city council, who is non-
voting and sery as liaison;
(b) Five Seven(5 7)members shall be representatives of public and private agencies
serving youth;
(c) One (1) member shall be, at the time of the appointment, a student at William
Fleming High School;
(d) One (1) memberi shall be, at the time of the appointment, a student at Patrick
Henry High School;

2. This Ordinance shall be effective July 1, 2026.
3. Pursuant to Section 12 of the Roanoke City Charter,the second reading by title of this

State of the Road 2025 Report
Celebrating Progress, Partnership, and Momentum on
Williamson Road

A lot has happened in the past year for the Greater
Williamson Road Area Business Association, and it gives me
great pleasure to share those happenings with you.
Today is about celebrating where Williamson Road is,
recognizing how far we've come, and talking about where we're
headed next.
In 2025, Williamson Road continued its transformation
from a historic commercial corridor into a thriving, people-
centered business district powered by collaboration,
reinvestment, and community pride.

Through strategic partnerships, targeted programming, and
sustained advocacy GWRABA strengthened small businesses,
supported property improvements, increased corridor visibility,

and created meaningful opportunities for connection between
residents, entrepreneurs, and investors.
Our role is simple, but not necessarily easy: we support
businesses; we advocate investment, and we work every day to
make sure Williamson Road is seen, valued, and included in the
future of our City grid our County.
This year's progress reflects a clear truth: Williamson Road
is not just growing f it is re-emerging with purpose and re-
emerging with real momentum.

Supporting existing businesses while welcoming new ones
remained a cornerst 1 ne of GWRABA's work in 2025. During
this past year, we worked directly with several businesses along

the corridor — ranging from long-standing legacy businesses to
brand-new entrepreneurs.
This corridor matters — not just economically, but culturally
and historically — and the work happening here impacts the
entire region. Our goal isn't just business survival, it's business
confidence. And we're starting to see that confidence grow.
Some Key. 2025 Outcomes
directly supported more than 100 businesses through
technical assistance, referrals, and one-on-one engagement.
Many new businesses opened or announced along the
corridor, contributing to a more diverse mix of retail, dining, and
service offerings.
City end: El Dorado Jewelry; Grab & Go Food &
Grocery Market; also Palucho's Barbershop; Taqueria
Rosita; Tropicana Bar & Grill; Perkseus LLC; Home Sense

in Towne Square; (and Moka Mobile Phones & Electronic
Repairs. Also, Virginia Prosthetics changed hands and
rebranded their name to ForMotion Clinic Virginia.
Increased participation in GWRABA programs also grew.
GWRABA's growth is moving in a phenomenal upwards
i
direction — our luncheon's which once attracted a much smaller
group, now attract close to 150 business owners and managers
each month. Thanks to our great networking — and all of you.
GWRABA served as a connector and advocate, helping
businesses navigate permit forms, answering financing
conversations, marketing challenges, and post-pandemic
operational realities ensuring that growth along Williamson
Road is both inclusive and sustainable.
2025 marked continued momentum in physical
reinvestment along Williamson Road an essential driver of

confidence and economic vitality. One of the clearest signs of
progress in 2025 was what could actually be seen when one
traveled down Williamson Road.
Highlights:
Advancement of façade and property-improvement
initiatives encouraging private reinvestment began. With the
façade grant money GWRABA received from US DOT as part
of the transportation long-term plan for part of the road, we were

able to assistant 5 different properties with their façade needs
(Porter's Automotive, Minute Muffler, American Motel,
Richee Freeze, and1A & E Auto Sales).
Our interest and motivation with continued façade and
property-improvement initiatives continue as we look to begin
work with the Blue Cow Ice Cream factory just off Williamson
Road on the City side, to be followed by an apartment complex
on Clarendon Avenue, NW, just off Williamson Road.

Further strengthened relationships with property owners
focused on long-term corridor stewardship.
Ongoing collaboration with City departments and
economic-development partners were key in this growth.
GWRABA has been involved with working with the
Transportation Department in the City to replace some
sidewalks and curbing on the City end of the Road in an effort
for pedestrians and those using wheelchairs to have an easier
walk rather than having to traverse along the side of the
roadway.
Continued diversification of businesses along Williamson
Road — welcomed new storefronts, new concepts, new
entrepreneurs and new food aromas — many of whom chose this
corridor because they saw opportunity and support. For true
enjoyment of these new aromas please stay tuned for Williamson
Road's Restaurant Week in later March.

These improvements are doing more than enhancing curb
appeal they are changing perceptions, encouraging foot traffic,
and signaling that Williamson Road is aplace worth investing

in.
In 2025, Williamson Road wasn't just open for business —
it was alive with activity.
Williamson Road became a high-attendance corridor
hosting an event that brought residents, families and visitors
together. As way of example — the best example:
Commonwealth Day of Play 2025 was one of our huge
successes, and one we are extremely p roud of. When contacted
by the Governor's Office we jumped on board — the purpose
behind the Day was to encourage both kids and parents to put
down their electronic devices for a day and 'go outside.' Can't
tell people to go outside without giving them something to do.

Thus — we partnered with Brookside Par 3 Golf Course as our
venue, we worked with First Responders, Blue Cow Ice Cream,
a food vendor, Sam is Club, and many other area business
owners -- and with only 3 weeks to plan we held an event that
attracted more than 360 kids and their parents/guardians
Best part — no phones and the biggest smiles and laugher ever!
As a follow-up to the Commonwealth Day of Play, 5Points
Creative, and Bryant Ryberg, our marketing partner, had
submitted information regarding this day and its 'outcome to the
Blue Ridge Chapter of Public Relations Society of America, an
organization that reviews and chooses what I term as "the
Grammy's of the PRworld. " After reviewing all the entrants,
our Commonwealth Day of Play, under the category "Special
Events" was awarded the 2025 Summit Gold Award.
And just as we were enjoying our win, the Blue Ridge
Chapter announced that they next look at all the winners and

from that group choose a Best in Show —yep! We received Best
in Show award!
We are so proud of this seemingly simple event that said
and did so much! And thank you to all of those who had a hand
in making this event a success. Plans for Commonwealth Day
of Play 2026 will be; beginning soon —please join us!
Continued business promotion initiatives that drove
customers directly into local storefronts also included
Restaurant Week.
Strategic storytelling that elevated Williamson Road
through digital campaigns, earned media, and community
partnerships. We choreographed and taped a BUZZ 4Good 45-
minute segment talking about the history of the road and some
of its issues that made the road famous as well as what the road
is facing today. We also highlighted relationships with
businesses. In anticipation of our Commonwealth Day of Play,

we worked with Blue Ridge PBS and released an hour-long
podcast talking about the road, the event and inviting all to

attend.
These efforts reinforced Williamson Road as a destination

not just a drive-through and strengthened the emotional

connection people feel to the corridor. People are reminded that
moments and time at events regarding Williamson Road build
pride, create memories and remind people that Williamson Road
is alive and evolving.
GWRABA continued, and continues, to serve as a trusted
voice for Williamson Road.
In 2025 this voice was heard with:
A stronger collaboration with City leadership, public
agencies, and civic partners.

A representation of corridor interests in planning,
infrastructure, and economic-development discussions; being
able to serve as a voice representing business voices in planning
conversations.
Convening businesses, nonprofits, and institutions around
shared goals thus strengthening these partnerships.
By staying consistently at the table, GWRABA ensured that
Williamson Road's needs, opportunities, and successes were
both heard and acted upon. The Road's progress is tied directly
to collaboration — and 2025 strengthened those relationships in
meaningful ways.

Another point of pride this year has been the continued
growth of The Williamson our co-workingand shared office
work space.
2025 Results:
Expanded use by small businesses, nonprofits, and
community groups I we had more than 467 requests for
conference room use; more than 152 requests for desk
rentals; and our private offices have remained full and rented
on a long-term basis.
We also offered increased visibility as a gathering space for
problem-solving, learning, and networking. We have had such
groups as the Roanoke County Police Foundation, Lanford
Brothers, AFLAC Board meetings, several different law
offices, CMIT Solutions using space for onboarding.new
clients and employees, Hispanic Community Book Club, and

Capital Region USA to name a few of the groups reserving
conference rooms on a regular basis.
All of the organizations that use and continue to use The
Williamson reinforce that Williamson Road is not just a
commercial strip — it's a center for ideas and action.
Looking Ahead: Building on Momentum
As we move into 2026, GWRABA's voice will continue to be
heard loud and strong. It remains focused on:
Deepening business support and technical assistance
Encouraging continued private and public investment with
the City
Expanding programming that brings people into the
corridor

thereby elevating Williamson Road's identity as a vibrant,
inclusive destination.

Event wise: Restaurant Week (March 17-24); Golf
Tournament (June 5); Commonwealth Day of Play (August);
Bourbon & BBQ Event in collaboration with the Hotel
Roanoke; Facade ;Grant Work; Cones with Cops (summer)
and an on-going Monthly event we are calling GWRABA's
Business Clinic — we will have 2 or 3 seasoned experts in the
office on a particular day on a regular basis — the community
will be invited to drop in and be helped with questions and
ideas they may have with regards to issues with existing, new
and/or start-up businesses. More to come.
So very much - We are building on momentum — not
starting from scratch.

The State of the Road 2025 reflects more than
accomplishments + it reflects momentum, a reflection of a
collective effort.
Momentum created by business owners who took risks —
who are opening / continuing their business dream.
Momentum fueled by partners who said yes.
Momentum sustained by a community that believes in
Williamson Road, believes in what's possible on the Road.
GWRABA is proud to stand at the center of this work —
and even more excited for what's ahead. The State of the
Road 2026 will continue to reflect this momentum and grow
and strengthen this collective effort.

AN ORDINANCE authorizing the acceptance of State Funds from the Office of Children's
Services ("OCS"), authorizing the execution of any required documents on behalf of the City;
appropriating funds detailed more fully infra, and dispensing with the second reading of this
ordinance by title.
WHEREAS, the Children's Services Act ("CSA") of 1993 establishes funds to purchase
services for at-risk youth and their families.
WHEREAS, the State Executive Council for Children's Services is responsible for
establishing policies that support purposes of the CSA.
WHEREAS, the programs offered by the CSA are State mandated and reimbursed by the
OSC. A local match from the City is required.
THEREFORE, BE IT ORDAINED by the Council of the City of Roanoke as follows:
1. The City of Roanoke does hereby accept increased State Funds from the OCS,in the
amount of$2,966,669, with a local match in the amount of$1,011,802, for a total of$3,978,471.
Such funds being more particularly described in the City Manager's Report dated June 1, 2026.
2. The City Manager,or designee,is hereby authorized to execute and file,on behalf of
the City, any and all docume is required to accept such State Funding. All such documents to be
approved as to form by the City Attorney.
3. The City Manager, or designee, is further directed to furnish such additional
information as maybe required by the OCS in connection with acceptance of the foregoing Grant.
4. The following sections of the State Fund appropriations be,and the same are hereby
amended and reordained to read and provide as follows:

Title: Appropriation a d Allocation of funding for the Children's Services Act.
Background:
The Children's Services Act (CPA) is the name of a 1993 law that establishes a single state
pool of funds to purchase services for at-risk youth and their families. State funds, combined
with local community funds, are managed by local interagency teams, who plan and oversee
services for youth. The State Eicecutive Council for Children's Services (SEC) is the
supervisory body responsible for establishing programmatic and fiscal policies that support the
purposes of the CSA. The Office of Children's Services (OCS) is the administrative entity
responsible for implementing tHe SEC's decision.
Considerations:
The majority of programs offered to the community by the City of Roanoke CSA Office are
mandated. These mandated programs and services are reimbursed by the Office of Children's
Services and require a local match.
The reimbursement rates are as follows:

69.28% - State share
Community-Based Services 84.64 %

The 2024-25 Title IV,Pad A,Student Support and Academic Enrichment Federal Programs grant provides federal assistance to Roanoke City Public
Schools for improving students'academic a iovement. The program aids in increasing the capacity of the school division to provide all students with
access to a well-rounded education,to irnpro school conditions for student learning,and to enhance the use of technology in order to improve the

Title: A report of the Ri•anoke City School Board requesting appropriation of
funds for various educational programs; and a report of the City Manager
recommending t at City Council concur in the request.
Background:
The 2024-25 Title IV, Part A, S udent Support and Academic Enrichment Federal Programs
grant provides federal assistan e to Roanoke City Public Schools for improving students'
academic achievement. The pr gram aids in increasing the capacity of the school division to
provide all students with acces to a well-rounded education, to improve school conditions for
student learning, and to enhance the use of technology in order to improve the academic
achievement and digital literacY of all students. This appropriation aligns the total with the
revised award amount. The grthnt period will end September 30, 2026. This is.a continuing
program.
State Operated Programs contitutes educational services provided at the Roanoke Valley
Juvenile Detention Home and{he Virginia Department of Health's Roanoke Child
Development Clinics. This app opriation aligns the total with the revised award amount. This is
a continuing program that will be fully reimbursed by state funds.
This program provides federal Title I, Part D Neglected and Delinquent funds to support
literacy initiatives at the Roanoke Valley Juvenile Detention Center. This program will be fully
reimbursed by federal funds and will end September 30, 2026. This is a continuing program.

2026. This is a new award.
Recommended Action:
We recommend that Council c ncur with this report of the School Board and adopt the
attached budget ordinance to establish revenue estimates and to appropriate funding as
outlined.

AN ORDINANCE authorizing the proper City officials to execute an Amendment No. 3
to an Economic Development erformance Agreement ("Performance Agreement") among the
City of Roanoke, Virginia (th "City"), the Economic Development Authority of the City of
Roanoke, Virginia (the "ED "), and Riverdale Southeast, LLC, Riverdale Woods, LLC,
Industry Drive Partners, LLC. 802 River Avenue, LLC, 826 River Avenue, LLC, Riverdale
Med I, LLC, and Riverdale W IL, LLC ("Riverdale"); authorizing the City Manager, or designee,
to take such actions and execute such documents as may be necessary to provide for the
implementation, administration, and enforcement of such Amendment No. 3; and dispensing
with the second reading of this Ordinance by title.
WHEREAS, Riverdale Southeast, LLC, the City, and the EDA entered into a
Performance Agreement dated January 18, 2023, ("Performance Agreement") pursuant to which
Riverdale Southeast, LLC agreed to undertake and perform certain obligations in connection
with the development activities on those certain parcels collectively known as the Roanoke
Industrial Center, all as more specifically described in the Performance Agreement;
WHEREAS, Riverdale Southeast, LLC, the City, and the EDA entered into an
Amendment No. 1 to the Performance Agreement dated March 21, 2023;
WHEREAS, Riverdale Southeast, LLC, Riverdale Woods, LLC, the City, and the EDA
entered into an Amendment o. 2 to the Performance Agreement dated February, 14, 2024;
WHEREAS, at its January 20, 2026 meeting, City Council adopted Ordinance No.
43341-012026 (the "Exem tion Ordinance"), which provides for certain real estate tax
exemptions;

WHEREAS, the parties wish to amend and clarify certain matters relating to the
Exemption Ordinance, tax-related matters, and to adapt the terms of the Performance Agreement
to changing circumstances relat d to the project; and
WHEREAS, Riverdale the City and the EDA desire to amend the Performance
Agreement to address these ma ters in accordance with the terms of Amendment No. 3.
THEREFORE, BE IT ORDAINED by the Council of the City of Roanoke as follows:
1. City Council hereby approves the terms of Amendment No. 3 to an Economic
Development Performance Agreement among the City, the EDA, and Riverdale (the
"Performance Agreement"), s bstantially in the form set forth in the attachment to the Agenda

Report,which provides for certain undertakings and obligations by Riverdale.
2. The City Manager, or designee, is hereby authorized on behalf of the City to
execute the Amendment No. 3 to the Performance Agreement, upon certain terms and conditions

Background: :The City of Roanoke.(City), he Economic Development Authority of the City of Roanoke
(EDA), and Riverdale South ast, LLC, Riverdale Woods, LLC, Industry Drive Partners,
LLC•, 802 River Avenue, LLC, 826 River Avenue, LLC, Riverdale Med I, LLC, and Riverdale '
WL, LLC (collectively, Owners) are seeking to amend the performance agreement
(Agreement) between the p rties dated January 18th, 2023.
The City, EDA, Riverdale So theast,_LLC (Original Owner) entered into,the Agreement -
pursuant to which the Original Owner agreed to undertake and perform certain
obligations in connection with the development activities on certain parcels collectively
known as the Roanoke Indus strial Center located at 1848 9th Street, -1912 9th Street, 0
Progress Drive, 1 745 Progress Drive, and 1906 Progress Drive (Tax Map Numbers
41 70101 , 4170104, 4250301 , 4235003, and 4150305, respectively). These parcels
and others added by amendment are collectively known as the Properties.
The Original Owner agreed to invest, or.cause to be invested, in excess of
$50,000,000.00 in connection with the development activities on a mixed-use
development•project, with related amenities, site improvements, and public
infrastructure (Project) within 17 years following the Original Owner's acquisition of the
Properties. In order to assist with development of the Project, the Original.Owner
requested a forgivable load in the amount of $10 Million fromthe City; which is being
serviced through the EDA. ,
The Agreement has since wice been amended with Amendment No. One approved on
March 23, 2023, in which an additional ownership entity was added and Amendment
No. Two approved on February 14, 2024 to add 802 River Avenue, SE (Tax Map No.
4170401) to the list of properties eligible for Real Estate tax rebate payments available
under the terms'of the Ag eement. -
The Owners are seeking pproval of this Amendment No. Three to address four main
areas of concern tied to 'onditions that were not contemplated by or which did not
exist when the original Agreement or the first two amendments were approved. These
areas are outlined below. -

a. $150 million cap on Owners' projects - The Owners as defined in this
Amendment No. 3 must spend, or cause to be spent, at least $150
million on eligible projects by March 31 , 2040, to continue to receive the
full real estate tax abatement on the Properties.
b. Incentives run with the land - Benefits for any qualifying parcel will
transfer from owner to owner. Transferees will not be eligible to expand
benefits availa le via the Agreement.
Recommended Action:
Approve the terms of Amendment No 3 to the Performance Agreement among the City,
EDA, and collective Owners, as set forth in the attachment to this report, and
determine that such Agreement will continue to stimulate economic development
within the City. Authorize tre City Manager to execute such Amendment No. 3 among
the City, EDA, and collective Owners substantially similar to the one attached to this
report, and to execute such other documents and to take such further actions as may
be necessary to implement, administer, and enforce such Performance Agreement,
with the form of such Agreement to be approved by the City Attorney.

This Amendment No. 3 to the Performance Agreement ("Agreement") is dated as of
, 2026 by, between and among the City of Roanoke, Virginia, a Virginia municipal
corporation (the "City"), the Economic Development Authority of the City of Roanoke,
Virginia, a body politic and corporate and a political subdivision of the Commonwealth of
Virginia under the Industrial Development and Revenue Bond Act (the "Authority"), Riverdale
Southeast, LLC, a Virginia limited liability company ("Riverdale"), Riverdale Woods, LLC, a
Virginia limited liability company ("RW"), Industry Drive Partners, LLC, a Virginia limited
liability company, 802 River Avenue, LLC, a Virginia limited liability company, 826 River
Avenue, LLC, a Virginia limited liability company, Riverdale Med I, LLC, a Virginia limited
liability company and Riverdale WL, LLC, a Virginia limited liability company, each a
"Party" and together the"Parties."
Recitals
WHEREAS, Riverdale, the City and the Authority entered into a Performance Agreement
dated January 18, 2023 (the lj`Original Performance Agreement") pursuant to which Riverdale
agreed to undertake and pirform certain obligations in connection with the development
activities on those certain pa cels collectively known as the Roanoke Industrial Center, all as

NOW THEREFORE, ' consideration of the foregoing premises, which are expressly
incorporated herein, together with the mutual promises hereinafter set forth, the Parties amend
and restate certain sections of the Performance Agreement:
Section 1. Tax Re\enues.
Section 2.7 of the Performance Agreement is amended and restated to read:
2.7 "Tax Revenues" means all real estate tax revenues the City receives from the
Owner in connection with the Property covering the period beginning on the date the Owner
acquires the Property and terminating on March 31, 2040, except as set forth in Sections 4.1, 4.5
and Section 4.7 and as otherwise set forth herein. For avoidance of ambiguity, the term "tax
revenues" does not include artiy City fee, including but not limited to the stormwater utility fee
provided for in Chapter 11.5 of the Code of the City of Roanoke, Virginia of 1980, as amended.
This provision is not intended to in any way affect the eligibility of the Parties, excluding
the City and the Authority, for any Enterprise Zone incentives as provided in Section 5.1 or any
other waivers or rebates of fees set forth in the Performance Agreement. Notwithstanding the
foregoing, in the event a building permit is issued in connection with construction on'any portion
of the Property that does not meet the criteria for Enterprise Zone incentives, the building permit
fee associated therewith shall be reimbursed to the applicable Owner by the City within thirty
(30) days following the Ownrr's payment of such fee and submission of a written request for
reimbursement accompanied py proof of payment, provided that such reimbursement shall be
available for up to three prof cts in the aggregate among all Owners. The first such project for
which building permit fees may be reimbursed may be a residential project at market rate. Each
of the second and third projects for which building permit fees may be reimbursed shall be a
residential workforce housing project in which not less than twenty percent (20%) of the
residential units are reserved for households earning between eighty percent (80%) and one
hundred twenty percent(120°l0) of the Area Median Income for the City of Roanoke, Virginia, as
determined in accordance with the Virginia Housing guidelines, and such income-restricted units
shall remain so reserved for a!period of not less than fifteen (15) years from the date of issuance
of the certificate of occupancy for the applicable project.
Section 2. Definition of Owner.
Section 2.8 of the Performance Agreement is amended to read:
2.8 "Owner" means, individually and collectively, Riverdale, RW, Industry
Drive Partners, LLC, 802 River Avenue, LLC, 826 River Avenue, LLC, Riverdale Med I, LLC
and Riverdale WL, LLC, or l ny other third party so long as Edward B. Walker and/or Joseph E.
Thompson own,in the aggregate, at least seventy percent (70%) of the ownership interest in such
third party entities. Thee parties identified in this Section 2.8 shall remain Owners
notwithstanding any transfer of any portion of the Property.

Section 3. Exemption Ordinance.
A new Section 2.5A of the Performance Agreement is added to read:
2.5A "Exemption Ordinance" means City of Roanoke Ordinance No. 43341-012026,
adopted by the Council of the City on January 20, 2026, as amended.
Section 4. Proper .
Section 2.10 of the Performance Agreement, as amended by Amendment No. 2, is
amended and restated to read:
2.10 "Property"means the land, buildings, and improvements located, or to be located,
on the parcels of real propertyI situated at 1848 9th Street SE, 1912 9th Street SE, 943 Industry
Avenue SE, 826 River Avenue SE, 850 Industry Avenue SE, 0 Progress Drive SE, 802 River
Avenue SE, 1745 Progress Driive SE, 0 9th Avenue SE, 1906 Progress Drive SE, and 1919 9th
Street SE, designated with City of Roanoke Tax Map Nos. 4170101, 4170104, 4170106,
4170107, 4170108, 4250301, 4250303, 4250305, 4170401, 4170402 and 4170403, including any
portion thereof.
Section 5. Calculation of Tax Rebate Incentive Payments
Section 4.1 of the Performance Agreement is amended and restated to read:
4.1 Calculation of Tax Rebate Incentive Payments. Subject to
Sections 4.5 and 4.7 herein, the Authority shall pay to the Owner the Tax Rebate Incentive
Payments based solely on the Tax Revenues through March 31, 2040; provided, however, that
with respect to any new building or rehabilitation of any existing building for which a certificate
of occupancy is issued on or before March 31, 2040, the Tax Rebate Incentive Payments shall
continue for fifteen (15) years from the date of issuance of such certificate of occupancy,
notwithstanding that such fifteen-year period may extend beyond March 31, 2040.
Section 6. Timin of Payments.
Section 4.3 of the Per ormance Agreement is amended and restated to read:
4.3 Timing of Pa ent. The Authority shall make a Tax Rebate Incentive Payment to
the Owner two times during la calendar year as follows: an amount equal to any Tax Revenues
received by the City from the Owner for the period beginning Jan 1st and ending June 30th and
the period beginning July 1st al
ending December 31st of a given-calendar year shall be paid by
the Authority to the Owner sixty days following notification by the Owner to the City that
payment of the Tax Reves from Owner has been made, but no sooner than sixty days
following the applicable deadline on which the Tax Revenues are due and-owing so long as the
Authority has been apportio+d the necessary funds from the City to make such payments. If any
Tax Rebate Incentive Payment cannot be made as provided in the preceding sentence because the
necessary funds from the City have not been made available to the Authority, all accrued but
unpaid Tax Rebate Incentive Payments due to the Owner shall be paid in whole or in part within
thirty (30) days following receipt of funds by the Authority from the City. The City agrees to

promptly transfer to the Authority an amount equal to the Tax Revenues paid to the City by the
Owner. Except as set forth ink Section 4.5 and Section 4.7 below, the Authority shall have no
obligation to make any Tax Rebate Incentive Payment for real estate taxes paid to the City after
March 31, 2040. 1
Section 7. Tax Incentive for Replacement of Unredevelopable Structures.
A new Section 4.5 of the Performance Agreement is added to read:
4.5 Real Estate Tax Rebate Incentive Payments Related to Unredevelopable
Structures. Notwithstanding anything in this Article IV to the contrary, if(i) a structure on the
Property is demolished and replaced, in whole or in part and (ii) such replacement structure is
' disqualified from exemption under the Exemption Statute, then the owner of the parcel on which
the replacement structure is constructed shall receive Tax Rebate Incentive Payments for the
replacement structure for a pe iod of fifteen (15) years from the date of issuance by the City of.
Roanoke of a certificate of occupancy for the replacement structure, provided that such
certificate of occupancy is issued on or before March 31, 2040, and such payments shall be made
on the same rebate schedule a$ set forth in Section 4.3. Notwithstanding the-foregoing, if a party
is not an Owner or if the O IwI ners, in the aggregate, have spent $150,000,000 as provided in
Section 4.7 below, the Tax Rebate Incentive Payments shall not include real estate taxes paid on
the value of the land. In add''tion, for (i) new construction, the Tax Rebate Incentive Payments
shall be equal to the real estate taxes paid based solely on the increase in the assessed value of
the property at the time a Ce i ificate of Occupancy is issued and (ii) improvements to existing
structures, the Tax Rebate Incentive Payments shall be equal to the real estate taxes paid based
solely on the increase in a$essed value of the improvements, at the time a Certificate of
Occupancy is issued following the. construction. For the avoidance of doubt, Tax Rebate
Incentive Payments under this Section 4.5 are subject to Section 4.7.
Section 8. Incenties Run with the Land.
A new Section 4.6 of the Performance Agreement is added to read:
4.6 Incentires Run with the Land. If the owner of a parcel of property has ,
qualified to receive Tax Rebate Incentive Payments and elects to transfer the property, the
transferee, and any subsequeit transferee, shall be entitled to receive the Tax,Rebate Incentive
Payments the owner would lave been entitled to receive if the property was not transferred. A
transferee shall succeed to, and shall not enlarge or diminish, the Tax Rebate Incentive Payment
entitlement of the transferririg owner. The eligibility for and receipt of Tax Rebate Incentive
Payments under this Article IV shall apply to each parcel created from the subdivision of the
Property, and the qualification of any parcel for such Tax Rebate Incentive Payments shall be
determined based_solely on the improvements located on that parcel, independent of any other
portion of the Property.

Section 9. Sunset of Tax Rebate Incentive Payments
A new Section 4.7 of tle Performance Agreement is added to read:
4.7 Sunset of Tax Rebate Incentive Payments. Notwithstanding
anything set forth in the Performance Agreement to the contrary, at such time as the Owners
have spent, in the aggregate, One Hundred Fifty Million Dollars ($150,000,000.00) on soft and
hard costs related to,projects on which building permits have been issued (the "$150M
Threshold"), any discrete construction, rehabilitation, or redevelopment project on any portion of
the Property for which a building permit has not been issued as of the date the $150M Threshold
is met shall not be eligible foil Tax Rebate Incentive Payments under this Agreement, except as
provided in Section 4.5. Notwithstanding the foregoing, Tax Rebate Incentive Payments equal to
one hundred percent (100%) of the real estate taxes paid shall continue to.be paid to an Owner
with respect to any unimproved portion of the Property until the earliest of(i) the sale or other
transfer of such portion to a party that is not an Owner, (ii) the commencement of construction of
new improvements or rehabilitation of existing improvements on such portion, or (iii) March 31,
2040. For the further avoidance of doubt, any discrete construction, rehabilitation, or
redevelopment project for which a building permit has been issued prior to the date the $150M
Threshold is met shall remain eligible for Tax Rebate Incentive Payments and any other benefits
under the Performance Agreement to which such project would otherwise be entitled, and such
Tax Rebate Incentive PaymeInts and other benefits shall continue to be earned and paid in
accordance with the terms of the Performance Agreement notwithstanding the subsequent
satisfaction of the$150M Thrshold.
Section 10. Binding Effect.
This Amendment No. 3 is made pursuant to, and in accordance with, Section 8.28 of the -
Performance Agreement and is binding upon the Parties in accordance with its terms. In the
event of a conflict between this.Amendment No. 3 and the terms of the Original Performance
Agreement or any prior amendment thereto, this Amendment No. 3 shall control. For purposes
of this Section, a "conflict" 'includes any provision of the Original Performance Agreement or
any prior amendment thereto that cannot be given full effect alongside this Amendment No. 3,
whether or not such provision is facially inconsistent with this Amendment No. 3.
Section 11. Replalement of References to Anniversary Date.
Any reference in the 1erformance Agreement to the seventeenth (17th) anniversary, or to
a date or period determined by reference thereto, is hereby replaced with March 31, 2040.
Section 12. Legal Zees for Future Amendments.
In the event the Owners desire to further amend the Original Performance Agreement, the
Owners shall be responsible for, and shall reimburse to the City and the Authority, the
reasonable legal fees and exilenses incurred by the City and the Authority in connection with the
negotiation, drafting, and execution of each such future amendment, up to a maximum amount of
Ten Thousand Dollars ($10,000.00) per amendment. For the avoidance of doubt, the foregoing
cap shall reset and apply sep rately to each future amendment to the Performance Agreement.

Section 13. Historic Placard.
In the event any historical building located on the Property is demolished or removed, the
Owners shall, at their sole cost and expense, place a historic placard or marker along.9th Street
commemorating the buildings. For purposes of this Section 13, "historical building" means any
building located on the Property that is listed on, or eligible for listing on, the Virginia
Landmarks Register or the National Register of Historic.Places. The form, content, design,
materials, and exact location of any such placard or marker shall be subject to the prior
reasonable approval of the City.
