AN ORDINANCE authorizing the acceptance of State Funds from the Office of Children's Services("OCS") authorizing the execution of any required documents on behalf of the City; appropriating funds detailed more fully infra, and dispensing with the second reading of this ordinance by title. WHEREAS, the Children's Services Act ("CSA") of 1993 establishes funds to purchase services for at-risk youth and their families. WHEREAS, the State Executive Council for Children's Services is responsible for establishing policies that support purposes of the CSA. WHEREAS, the programs offered by the CSA are State mandated and reimbursed by the OSC. A local match from the City is required. THEREFORE, BE IT ORDAINED by the Council of the City of Roanoke as follows: 1. The City of Roanoke does hereby accept increased State Funds from the OCS, in the amount of$2,966,669, with a local match in the amount of$1,011,802, for a total of $3,978,471. Such funds being more particularly described in the City Manager's Report dated June 1, 2026. 2. The City Manager, or designee, is hereby authorized to execute and file, on behalf of the City, any and all documents required to accept such State Funding. All such documents to be approved as to form by the City Attorney. 3. The City Manager, or designee, is further directed to furnish such additional, information as may be required by the OCS in connection with acceptance of the foregoing Grant. 4. The program aids in increasing tho capacity of the school division to provide all students with access to a well-rounded education,to improve school conditions for student learning,and to enhance the use of technology in order to improve the academic achievement and digital literacy of all students. AN ORDINANCE authorizing the proper City officials to execute an Amendment No. 3 to an Economic Development Performance Agreement ("Performance Agreement") among the City of Roanoke, Virginia (the "City"), the Economic Development Authority of the City of Roanoke, Virginia (the "EDA"), and Riverdale Southeast, LLC, Riverdale Woods, LLC, Industry Drive . Partners, LLC, 802 River Avenue, LLC, 826 River Avenue, LLC, Riverdale Med I, LLC, and Riverdale WL, LLC ("Riverdale"); authorizing the City Manager, or designee, to take such actions and execute such documents as may be necessary to provide for the implementation, administration, and enforcement of such Amendment No. 3; and dispensing with the second reading of this Ordinance by title. WHEREAS, Riverdale Southeast, LLC, the City, and the EDA entered into a Performance Agreement dated January 18, 2023, ("Performance Agreement") pursuant to which Riverdale Southeast, LLC agreed to undertake and perform certain obligations in connection with the development activities on those certain parcels collectively known as the Roanoke Industrial Center, all as more specifically described in the Performance Agreement; WHEREAS, Riverdale Southeast, LLC, the City, and the EDA entered into an Amendment No. 1 to the Performance Agreement dated March 21, 2023; WHEREAS, Riverdale Southeast, LLC, Riverdale Woods, LLC, the City, and the EDA entered into an Amendment No. 2 to the Performance Agreement dated February 14, 2024; WHEREAS, at its January 20, 2026 meeting, City Council adopted Ordinance No. 43341-012026 (the "Exemption Ordinance"), which provides for certain real estate tax exemptions; WHEREAS, the parties wish to amend and clarify certain matters relating to the Exemption Ordinance, tax-related matters, and to adapt the terms of the Performance Agreement to changing circumstances related to the project; and WHEREAS, Riverdale, the City and the EDA desire to amend the Performance Agreement to address these matters in accordance with the terms of Amendment No. 3. THEREFORE, BE IT ORDAINED by the Council of the City of Roanoke as follows: 1. City Council hereby approves the terms of Amendment No. 3 to an Economic Development Performance Agreement among the City, the EDA, and Riverdale (the "Performance Agreement"), substantially in the form set forth in the attachment to the Agenda Report, which provides for certain undertakings and obligations by Riverdale. 2. The City Manager, or designee, is hereby authorized on behalf of the City to execute the Amendment No. 3 to the Performance Agreement, upon certain terms and conditions as set forth in the Agenda Report. The Amendment No. 3 shall be substantially similar to the one attached to such Agenda Report and in a form approved by the City Attorney. The Amendment No. 3 will also be subject to the approval of the EDA. 3. The City Manager, or designee, is further authorized to take such actions and execute such documents as may be necessary to provide for the implementation, administration, and enforcement of the Amendment No. 3 to Performance Agreement. Such other documents shall be in a form approved by the City Attorney. 4. AN ORDINANCE authorizing acceptance of reimbursement from Western Virginia Water Authority ("WVWA") for utility work associated with the Wasena Bridge Replacement Project; authorizing execution of any required documents on behalf of the City; appropriating reimbursed funds detailed more fully infra; and dispensing with the second reading of this ordinance by title. WHEREAS, the Wasena Bridge Replacement Project consisted of demolition and replacement of the existing bridge including the water and sanitary sewer lines; WHEREAS, WVWA owns and operates the water and sanitary sewer infrastructure within the project area and during the project development phase identified the infrastructure as being in need of replacement; WHEREAS, the work was included in the bridge replacement contract administered by the City; and WHEREAS, WVWA has agreed to reimburse the City for the associated costs, as more particularly described in the City Manager's Report dated June 15, 2026. THEREFORE, BE IT ORDAINED by the Council of the City of Roanoke as follows: 1. The City Ma I ager, or designee, is authorized to take such actions and execute such documents as may be necessary to implement, administer, and accept reimbursement, with any such documents being approved as to form by the City Attorney. 2. (the "Applicant") by the issuance of its tax-exempt multifamily housing revenue bonds in an aggregate principal amount not to exceed $10,500,000 (the "Bonds"), the proceeds of which would be loaned to the -- Applicant to finance and/or reimburse the Applicant for all or a portion of(1) the costs of acquisition, construction and rehabilitation of Westwood Village Apartments, a multifamily apartment complex located in the City of Roanoke at 748 Westwood Boulevard, Roanoke, Virginia 24017, consisting of 113 units contained in seventeen (17) two-story, walk-up residential buildings, totaling approximately 125,000 • square feet of space, including a laundry facility, a playground, a leasing office, and the potential addition of a community room (collectively, all such facilities are referred to as the "Project"); (2) the costs of funding capitalized interest on the Bonds and any required reserve funds for debt service on the Bonds; and (3) the costs of issuance of the Bonds, in each case as applicable and permitted by law; and WHEREAS, under the Act, the Authority is authorized to issue bonds to finance facilities such as the Project, and the Project is located within the jurisdictional boundaries of the City of Roanoke, Virginia (the "City"); and WHEREAS, Section 147(f) of the Internal Revenue Code of 1986, as amended (the-"Code"), and Section 15.2-4906 of the Code of Virginia 1950, as amended (the "Virginia Code"), require approval by the City Council of the City (the "Council"), as the applicable elected governmental unit having jurisdiction over the area in which the Project is to be,located and as the governing body of the locality on behalf of which the Bonds of the Authority are to be issued, of the issuance of any private activity bonds by the Authority after the Authority has held a public hearing to consider the issuance of such bonds, as one of the acts required in order for the interest on such bonds to qualify for .exemption from the imposition of federal income tax; and WHEREAS, the Authority held a public hearing on April 27, 2026 in compliance with Section 147(f) of the Code, and Section 15.2-4906 of the Virginia Code, and after such public hearing, adopted an Inducement Resolution authorizing, among other things, the Applicant to proceed with the steps necessary for issuance of the Bonds, subject to the adoption of this resolution by the Council to approve the issuance of the Bonds, and final approval of the issuance of the Bonds by the Authority; and WHEREAS, the Authority has recommended that the Council approve the issuance of the Bonds; and WHEREAS, a copy of the Authority's Inducement Resolution with respect to the Bonds and a summary of the statements made at the public hearing with respect to the Bonds have been filed with the Council; and WHEREAS, the Bonds, as exempt facility bonds issued under Section 142(d) of the Code, will necessitate that the Applicant secure an allocation of private activity housing bond cap (the "PAB Allocation") from the Virginia Department of Housing and Community Development in order for interest on the Bonds to be exempt from the imposition of federal income tax; and WHEREAS, the Applicant's plan of finance contemplates and includes an allocation of low-income housing tax credits for the Project, if available under applicable law and regulations (the "LIHTC Application"); NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Roanoke that: 1. Solely to the extent required by Section 147(f) of the Code and Section 15.2-4906 of the Virginia Code, the Council hereby approves the issuance by the Authority of the Bonds in the maximum aggregate principal amount of $10,500,000 to assist the Applicant in undertaking the financing of the Project and the related costs described in the recitals above. Each of the City Manager or any Deputy City Manager, and the Clerk of this Council is hereby authorized to take such further actions and execute and deliver such other documents, instruments, certificates, or other correspondence (including without limitation any acknowledgements of support necessary in connection with the PAB Allocation or the LIHTC Application), as are not inconsistent with this Resolution and may be necessary or appropriate in the judgement of bond counsel and counsel for the Authority, for the issuance of the Bonds by the Authority. 2. The approval of the issuance of the Bonds as required by Section 147(f) of the Code does not constitute an endorsement to a prospective purchaser or beneficial owner of the Bonds of the proposed use of the proceeds of the Bonds or the creditworthiness of the Applicant, and, as required by Virginia law, the Bonds shall provide that neither the Commonwealth of Virginia, the City nor the Authority shall be obligated to pay the principal, or premium, if any, of the Bonds or the interest thereon or other costs incident thereto except from the revenues and monies pledged therefor, and neither the faith and credit nor the taxing power of the Commonwealth of Virginia, the City or the Authority shall be pledged thereto. 3. W., Roanoke, Virginia 24017, consisting of 84 units contained in seven (7) three-story, walk-up residential buildings, totaling approximately 84,000 square feet of space, including an accessory building containing a leasing office and community room, and a playground, and the potential addition of a laundry facility (collectively, all such facilities are referred to as the "Project"); (2) the costs of funding capitalized interest on the Bonds and any required reserve funds for debt service on the Bonds; and (3) the costs of issuance of the Bonds, in each case as applicable and permitted by law; and WHEREAS, under the Act, the Authority is authorized to issue bonds to finance facilities such as the Project, and the Project is located within the jurisdictional boundaries of the City of Roanoke, Virginia (the "City"); and WHEREAS, Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), and Section 15.2-4906 of the Code of Virginia 1950, as amended (the "Virginia Code"), require approval by the City Council of the City (the "Council"), as the applicable elected governmental unit having jurisdiction over the area in which the Project is to be located and as the governing body of the locality on behalf of which the Bonds of the Authority, are to be issued, of the issuance of any private activity bonds by the Authority after the Authority has held a public hearing to consider the issuance of such bonds, as one of the acts-required in order for the interest on such bonds to qualify for exemption from the imposition of federal income tax; and WHEREAS, the Authority held a public hearing on April 27, 2026 in compliance with Section 147(f) of the Code, and-Section 15.2-4906 of the Virginia. Code, and after such public hearing, adopted an Inducement Resolution authorizing, among other things, the Applicant to proceed with the steps necessary for issuance of the Bonds, subject to the adoption of this resolution by the Council to approve the issuance`of the Bonds, and final approval of the issuance of the Bonds by the Authority; and WHEREAS, the Authority has recommended that the Council approve the issuance of the Bonds; and WHEREAS, a copy of the Authority's Inducement Resolution with respect to the Bonds and a summary of the statements made at the public hearing with respect to the Bonds have been filed with the Council; and WHEREAS, the Bonds, as exempt facility bonds issued under Section 142(d) of the Code, will necessitate that the Applicant secure an allocation of private activity housing bond cap (the "PAB Allocation") from the'Virginia Department of Housing and Community Development in order for interest on the Bonds to be exempt from the imposition of federal income tax; and WHEREAS, the Applicant's plan of finance contemplates and includes an allocation of low-income housing tax credits for the Project, if available under applicable law and regulations (the "LIHTC Application"). NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Roanoke that: 1. WHEREAS, the City of Roanoke, has made application to the Council of the City of Roanoke, Virginia ("City Council"), to have the property located at 2202, 2302, and 2326 Williamson Road, N. E., and 0, 112, and 116 Forest Hill Avenue, N. E., bearing Official Tax Map Nos. 3090218, 3090234, 3090237, 3090215, 3090216, and 3090217 (respectively), rezoned from CN, Commercial-Neighborhood District; CG, Commercial- General District, and RM-1, Residential District, to INPUD, Institutional Planned Unit Development District; WHEREAS, the City Planning Commission, after giving proper notice to all concerned as required by §36.2-540, Code of.the City of Roanoke (1979), as amended, and after conducting a public hearing on the matter, has made its recommendation to City Council; WHEREAS, a public hearing was held by City Council on such application at its meeting on June 15, 2026, after due and timely notice thereof as required by §36.2-540, Code of the City of Roanoke (1979), as amended, at which hearing all parties in interest and citizens were given an opportunity to be heard, both for and against the proposed rezoning; and WHEREAS, this Council, after considering the aforesaid application, the recommendation made to City Council by the Planning Commission, the City's Comprehensive Plan, and the matters presented at the public hearing, finds that the public necessity, convenience, general welfare and good zoning practice, require the rezoning of the subject property, and for those reasons, is of the opinion that the hereinafter described property should be rezoned as herein provided. THEREFORE, BE IT ORDAINED by the Council of the City of Roanoke that: . • 1. Section,36.2-100, Code of the City of Roanoke (1979), as amended, and • the Official Zoning Map, City of Roanoke, Virginia, dated December 5, 2005, as amended, be amended. :to reflect that the :property located at 2202, 2302, and 2326 Williamson Road, N. E., and 0, 112, and 116 Forest Hill Avenue, N. E., bearing Official Tax Map Nos: 3090218, 3090234, .3090237i 3090215, .3090216, and 3090217 • (respectively) be, and is hereby rezoned from CN, Commercial-Neighborhood District; CG, Commercial-General District, and RM-1, Residential District to.INPUD, Institutional Planned Unit Development District, as. set forth in .the .Zoning Amendment Original Application dated April 27, 2026. 2.
